Between the City of Ukiah and the Pinoleville Pomo Nation
Government-to-Government Statement: The City of Ukiah and the Pinoleville Pomo Nation recognize
one another as neighboring governments with distinct histories, authorities, and responsibilities, united
by a shared interest in the long-term prosperity, environmental stewardship, cultural heritage, and
quality of life of the Ukiah Valley.
The Parties further recognize that meaningful collaboration is strengthened by mutual respect,
transparency, trust, and open communication. Through this Agreement, the Parties express their shared
commitment to explore opportunities for partnership in good faith while protecting confidential
information exchanged during that process. Nothing in this Statement creates any legal obligation
beyond those expressly set forth in this Agreement.
This Confidentiality and Good Faith Collaboration Agreement ("Agreement") is entered into as of
____ _, 2026 ("Effective Date"), by and between the City of Ukiah, a California municipal
corporation ("City"), and the Pinoleville Pomo Nation, a federally recognized Indian Tribe ("Nation").
The City and the Nation are collectively referred to as the "Parties."
RECITALS
A.The City is currently a party to an Exclusive Negotiating Agreement concerning certain real property
located in Mendocino County, California (the "Project").
8.The Parties desire to evaluate the feasibility of jointly acquiring, financing, developing, owning,
operating, and/or stewarding all or portions of the Project in a manner that advances the interests of
both Parties and serves the broader Ukiah Valley community.
C.In evaluating a potential partnership, the Parties anticipate sharing financial, legal, technical,
strategic, environmental, planning, and other confidential information.
D.The Parties recognize that a successful collaboration depends upon mutual trust, open
communication, and appropriate protection of confidential information.
NOW, THEREFORE, the Parties agree as follows:
1.Purpose
The purpose of this Agreement is to facilitate open and candid discussions and the exchange of
information necessary for the Parties to evaluate a potential collaborative relationship regarding the
Project.
This Agreement is intended to encourage good-faith discussions while protecting confidential
information exchanged during those discussions.
