Extending Term Through June 30, 2027
This First Amendment to the Professional Services Agreement ("Amendment") is
entered into by and between the City of Ukiah ("CLIENT") and AP Triton, LLC
("CONSULTANT"), collectively referred to as the "Parties."
RECITALS
WHEREAS, the Parties entered into a Professional Services Agreement effective
September 1, 2025 ("Agreement") for consulting services; and
WHEREAS, the Agreement expired on June 30, 2026; and
WHEREAS, the Parties desire to continue their contractual relationship by extending the
term of the Agreement for an additional one-year period while leaving all other terms and
conditions unchanged.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties
agree as follows:
1. Extension of Term
The Parties acknowledge that they have continued to operate under the terms of the
Agreement following its expiration on June 30, 2026. Accordingly, this Amendment shall be
effective retroactively as of July 1, 2026 , and the term of the Agreement is hereby
extended through June 30, 2027, thereby ratifying and continuing the Agreement without
interruption.
2. No Other Changes
Except as expressly modified by this Amendment, all terms, conditions, provisions,
attachments, compensation, and obligations contained in the Professional Services
Agreement shall remain unchanged and in full force and effect and are hereby ratified and
confirmed.
3. Ratification
Except as expressly amended herein, the Professional Services Agreement is ratified and
affirmed in all respects.
