AMENDMENT NO. 5
TO
PROFESSIONAL SERVICES AGREEMENT 2223-180-A5
BETWEEN
HILDEBRAND CONSULTING and THE CITY OF UKIAH
This Amendment No. 5, entered on June 16, 2026, revises the Agreement for
Professional services dated March 23, 2023, between the City of Ukiah and Hildebrand
Consulting, for professional consulting services relating to specialized financial analysis
for water and wastewater utilities.
This Amendment No. 5 adds an additional Scope of Work and an additional $9,750, as
described in Exhibit 1. This revises the total, not-to-exceed amount to $67,300.
Except as expressly amended by this Amendment, all other terms remain unchanged and
in full force and effect.

Subject: Proposal for Continued As-Needed Specialized Utility Financial Analysis
Dear Mr. Buffalo,
In response to your recent request, Hildebrand Consulting, LLC is pleased to submit this proposal to
provide the City of Ukiah with continued specialized financial analysis for water and wastewater
utilities. As part of the regional annexation process, the City continues to integrate its operations and
finances with multiple water and wastewater agencies in the Ukiah Valley. Hildebrand Consulting is
uniquely positioned to help the City with the requested financial analysis, having been engaged with
most of those regional utilities since 2019, including the City of Ukiah, Ukiah Valley Sanitation District,
Redwood Valley County Water District, Willow County Water District, Calpella County Water District
and Millview County Water District. Our scope of work has included water and sewer financial plans
and rate studies.
The scope of services for this continued engagement may include, but are not limited to:
1)Specialized financial analysis of City water services and neighboring water districts .
2)Other specialized financial analysis as requested.
We propose to work at the City’s direction for an additional amount of $9,750. It is our practice to bill
clients monthly for actual time. We do not anticipate any billable expenses for this project. Mark
Hildebrand’s hourly billing rate is $250.
