AMENDMENT NO. 4 TO UKIAH VALLEY BASIN GROUNDWATER
SUSTAINABILITY AGENCY PROFESSIONAL SERVICES AGREEMENT WITH
WEST YOST {AGREEMENT NO. 23-01
This Amendment to Agreement No. 23-01 is entered into by and between the Ukiah
Valley Basin Groundwater Sustainability Agency, a political subdivision of the State of
California, hereinafter referred to as "UVBGSA", and West Yost, hereinafter referred to
as"CONSULTANT".
WHEREAS, Agreement No. 23-01 was entered into on March 10, 2022; and
WHEREAS, the first amendment to Agreement No. 23-01 was entered into on
September 8, 2022; and
WHEREAS, the second amendment to Agreement No. 23-01 was entered into on 1l ql 2�
August 19, 2024; and
WHEREAS, the third amendment to Agreement No. 23-01 was entered into on January
9, 2025, to extend the scope of services provided by CONSULTANT to include tasks
related to transitioning administrative services of the UVBGSA to the City of Ukiah and
for other services that do not include administering the UVBGSA; and
WHEREAS, the UVBGSA and CONSULTANT agree by this Amendment No. 4 to
Agreement No. 23-01 to extend the contract term through December 31, 2025, so that
CONSULTANT can continue to provide services related to transitioning the
administration of the UVBGSA to the City of Ukiah and for other services that do not
include administering the UVBGSA; and
WHEREAS, the UVBGSA and CONSULTANT agree there is sufficient allowance in the
existing budget for CONSULTANT to complete the extended scope of work under this
Amendment, such that no modification to the existing not-to-exceed will be necessary
for purposes of this Amendment; and
WHEREAS, the UVBGSA and CONSULTANT agree that CONSULTANT will no longer
provide services to UVBGSA for Directing Technical Consultants or Legal Coordination
under the extended scope of work, and therefore that such services should be removed
from the Definition of Services by way of this Amendment; and
WHEREAS, upon execution of this document by the UVBGSA and CONSULTANT, this
document will become part of the aforementioned Agreement No. 23-01 and shall be
incorporated therein; and
WHEREAS, Page 1 of the contract shall be eliminated and replaced in its entirety
as follows:

PROFESSIONAL SERVICES AGREEMENT WITH WEST YOST, IN THE AMOUNT
OF $469,902, TO PERFORM SERVICES FOR THE PERIOD BEGINNING UPON
EXECUTION OF THE AGREEMENT THROUGH DECEMBER 31, 2025
This Agreement is by and between the UKIAH VALLEY BASIN GROUNDWATER
SUSTAINABILITY AGENCY, hereinafter referred to as "UVBGSA", and WEST YOST,
hereinafter referred to as "CONSULTANT".
WITNESSETH
WHEREAS, pursuant to Article 5 Section 5.2.7 of the Joint Powers Agreement Forming
the Ukiah Valley Basin Groundwater Sustainability Agency (JPA), UVBGSA shall have
the power to make and enter into contracts necessary to the full exercise of the Agency's
power; and,
WHEREAS, in order to meet the various requirements of a groundwater sustainability
agency under the Sustainable Groundwater Management Act (Part 2.74 of the California
Water Code), UVBGSA is in need of specialized administrative services; and,
WHEREAS, UVBGSA desires to obtain CONSULTANT for its administrative services;
and,
WHEREAS, CONSULTANT is willing to provide such services on the terms and
conditions set forth in this AGREEMENT and is willing to provide the same to UVBGSA.
NOW, THEREFORE it is agreed that UVBGSA does hereby retain CONSULTANT to
provide the services described in Exhibit "A", and CONSULTANT accepts such
engagement, on the General Terms and Conditions hereinafter specified in this
Agreement, the Additional Provisions attached hereto, and the following described
exhibits, all of which are incorporated into this Agreement by this reference:

Exhibit D ePayables Information
The term of this Agreement shall be from the date this Agreement becomes fully executed
by all parties (the "Effective Date"), and shall continue through December 31, 2025.
The compensation payable to CONSULTANT hereunder shall not exceed four hundred
and sixty-nine thousand nine hundred two dollars and zero cents ($469,902) for the term
of this Agreement.

WHEREAS, EXHIBIT A — DEFINITION OF SERVICES to the contract shall be
eliminated and replaced in its entirety as follows:
ADMINISTRATIVE SERVICES
CONSULTANT shall support the General Manager of the Ukiah Valley Basin
Groundwater Sustainability Agency with the following general administrative
services:
1. Board and Committee Meetings: Prepare meeting materials, attend meetings
and complete meeting follow-up administrative tasks.
2. Attend Technical Advisory Committee Meetings: Preparing meeting materials,
attending meetings and completing meeting follow-up administrative tasks.
3. GSP Implementation Oversight: Administrative work required for GSP
implementation, including:
o Review Executive Order well permit applications
o Annual Report and Project Management Action (PMA) coordination
o Miscellaneous support and engagement meetings
4. Fiscal and Contract Management: Contract and invoice management, monthly
financial reporting and annual GSA budget preparation.
5. Website and Email and Maintenance: Costs associated with maintaining
the GSA website and email service.
6. Administration and Management of RFS Implementation: Supporting Rate and
Fee implementation, which includes coordinating with the county, water
purveyors, billings and appeals.
CONSULTANT has the capacity and expertise to perform additional administrative
services, including grant management, graphic design, legislative advocacy,
participation in regional initiatives, and GSP technical services; however, these
services are not included in the Agreement amount currently authorized and may
require amendment to this Agreement, if requested by UVBGSA.
