1 AGREEMENT FOR SALE OF CONDUIT BETWEEN SONIC TELECOM, LLC ("SONIC") AND THE CITY OF UKIAH ("UKIAH") DATE: MARCH 13th, 2026 AGREEMENT FOR SALE OF CONDUIT THIS AGREEMENT FOR SALE OF CONDUIT ("Agreement"), is made and entered into as of the 13th day of March, 2026 (the "Effective Date"), by and between Sonic Telecom, LLC, a California Limited Liability Company ("Sonic") and the City of Ukiah, a California general law city and municipal corporation ("Ukiah") (each, a “Party,” and together, the “Parties.”). RECITALS: A.Sonic has installed multiple segments of underground conduit in the public right of way in Ukiah (the "Sonic Conduit") and B.Following Ukiah’s inspection and testing of the Sonic Conduit and a determination that it will meet the City’s needs, Ukiah desires to purchase from Sonic, and Sonic desires to sell to Ukiah, the Sonic Conduit, on an “as is, where is” basis. NOW THEREFORE, for and in consideration of the mutual covenants and agreements herein contained and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows 1.Sale of Conduit. Upon written notice from City affirming its decision to purchase the Sonic Conduit, after conducting the inspection of the conduit pursuant to Section 2, below, Sonic agrees to convey to Ukiah, and Ukiah agrees to purchase from Sonic, the Sonic Conduit, which consists of underground conduit installed in multiple segments, and any associated handholes, manholes and other ancillary improvements, all as depicted on Exhibit B attached hereto and incorporated herein by this reference. COU No. 2526-192 2 Upon execution of this Agreement by both Parties, written approval of the conduit by City following the inspection authorized in Section 2 and receipt by Sonic of full payment by Ukiah, Sonic shall convey to Ukiah good and clear title to the Sonic Conduit, free and clear of all liens and encumbrances. Transfer of title shall be evidenced by a bill of sale substantially in the form attached hereto as Exhibit B. 2. Right to Inspect. Prior to tendering its payment for the Sonic Conduit as specified in Paragraph 3 below, Ukiah shall have the right to inspect the Sonic Conduit, and to conduct non-destructive and non-invasive tests of the integrity and continuity of the Sonic Conduit. Ukiah shall give Sonic three (3) business days’ prior notice of all such inspection and testing, and Sonic shall be allowed to have Sonic personnel present during all such inspection and testing. 3. Purchase Price and Payment. The purchase price for the Sonic Conduit shall be $63,100.00. The Purchase Price shall be paid to Sonic on or before March 31, 2026. If Ukiah fails to remit payment in full by March 31, 2026, Ukiah shall be deemed to be in material breach of this Agreement and this Agreement shall automatically terminate and be of no further force or effect, with all right, title, and interest in the Sonic Conduit remaining with Sonic. The check shall be made payable to Sonic Telecom, LLC. 4. Warranty. Sonic warrants that it is the true and lawful owner of the Sonic Conduit, and that the Sonic Conduit is free and clear of all liens and encumbrances. EXCEPT AS SET FORTH IN THIS SECTION, SONIC MAKES NO WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO THE SONIC CONDUIT, INCLUDING ANY WARRANTY OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE, AND ALL SUCH WARRANTIES ARE EXPRESSLY DISCLAIMED. UKIAH AGREES THAT IT IS PURCHASING THE SONIC CONDUIT ON AN “AS-IS, WHERE IS” BASIS, AND THAT SONIC SHALL HAVE NO OBLIGATION TO REPAIR OR REPLACE ANY PORTION OF THE SONIC CONDUIT THAT IS DISCOVERED TO HAVE DEFECTS DURING ANY INSPECTION OR TESTING CONDUCTED BY UKIAH. 5. General. 5.1 Notices. Either Party may by similar notice given, change the address(es) to which future notices or other communications shall be sent. 5.2 Damages. Notwithstanding any provision of this Agreement to the contrary, neither Party shall be liable to the other Party for any special, incidental, indirect, punitive or consequential costs, liabilities or damages, whether foreseeable or not, arising out of, or in connection with, such Party's performance of its obligations under this Agreement. 5.3 Modification. This Agreement may not be rescinded, amended or otherwise modified except by a writing executed by an authorized representative of both Sonic and Ukiah. 5.4 Complete Agreement. This Agreement and any other written agreement expressly referenced herein represent the entire understanding between Ukiah and Sonic with respect to the sale of the Sonic Conduit covered hereunder, and incorporate all prior and contemporaneous understandings, whether written or oral, between the Parties. This Agreement supersedes all other prior oral or written agreements concerning the sale of the Sonic Conduit covered hereunder. This Agreement may not be rescinded, amended, or otherwise modified except by a writing executed by the authorized representatives of both Parties. 5.5 Dispute Resolution. If the Parties are unable to resolve the dispute through informal dispute resolution, then either Party may invoke the formal dispute resolution procedure described in this Section 5.5. Disputes under this Agreement that are not resolved by the Informal Dispute Resolution process shall be subject to mandatory arbitration, and shall be submitted to a single arbitrator pursuant to the Commercial Arbitration Rules of the American Arbitration Association, or pursuant to such other provider of arbitration services or rules as the Parties agree to in writing. The arbitrator must be knowledgeable of telecommunications issues, including the engineering and construction of telecommunications facilities. Each arbitration will be held in San ta Rosa, California, unless the Parties agree otherwise in writing. The Parties will request that the arbitration hearing commence within sixty (60) calendar days of the demand for arbitration. The arbitrator will control the scheduling to process the matter expeditiously. The Parties may submit written briefs upon a schedule the arbitrator determines. The 4 Parties will request that the arbitrator rule on the dispute by issuing a written opinion within thirty (30) calendar days after the close of hearings. The Federal Arbitration Act, 9 U.S.C. §§ 1-16, not state law, will govern the arbitrability of all disputes. Notwithstanding any rule of the AAA Commercial Arbitration Rules to the contrary, the arbitrator will have no authority to award punitive damages, exemplary damages, consequential damages, multiple damages, or any other damages not measured by the prevailing Party’s actual damages, and may not, in any event, make any ruling, finding, or award that does not conform to the terms and conditions of this Agreement. The times specified in this Section 5.5 may be extended or shortened upon written, mutual agreement of the Parties or by the arbitrator upon a showing of good cause. Each Party will bear its own costs of these procedures, including attorneys’ fees. The Parties will equally split the arbitration fees. The arbitrator’s award will be final and binding , and judgment upon the arbitrator’s award may be entered in any court having jurisdiction thereof. 5.6 Public Relations. This Agreement shall not be construed as granting Ukiah or Sonic any right to use any of either Party's or its affiliates' trademarks, service marks or trade names, or otherwise refer to either Party in any marketing, promotional or advertising materials or activities. Without limiting the generality of the foregoing, neither Party shall disclose (i) the terms and conditions of this Agreement, or (ii) the existence of the Agreement or any contractual relationship between the Parties, and shall not issue any publication or press release relating directly or indirectly to (i) or (ii) above, without the prior written consent of both Parties. 5.7 Counterparts. This Agreement may be executed in one or more counterparts, all of which taken together shall constitute one and the same instrument. 5.8 Signature Authority. Each Party represents and warrants that the individual signing this Agreement on its behalf has full authority to bind that Party to the terms of this Agreement. Sonic hereby warrants to Ukiah that immediately prior to the delivery of this Bill of Sale, Sonic was the owner of the full legal and beneficial title to the Sonic Conduit and that Sonic had the good and lawful right to sell the same, and that good and marketable title to the Sonic Conduit is hereby vested in Ukiah free and clear of all liens, claims, encumbrances and right of others.
