The meeting was held in person and at the following virtual link: nttps://usO2ljveb.zoom.us/i/o58'1-i 272249. Chair Tim Prince called the meeting to order at 5:04 p.m. CHAIR TIM PRINCE PRESIDING. Roll was taken with the following Directors Present: T. Baarsch - Bogart, B. Mahaffey, and Chair S. Bogart (Calpella Board) M. DeMartini, J. Cardoza, B. Ross, and Chair T. Prince (Millview Board). Directors Absent: None. Staff Present: Phil Williams — City of Ukiah Counsel, Chris Neary — Outside Counsel. Sean White, City of Ukiah — Water Resources? Your willingness to make unused contract water available to other District customers and Redwood Valley County Water District is greatly appreciated. The benefits to making your unused water available for transfer include aiding in the health of the District's water license by putting Project Water to beneficial use as well as reducing your annual invoice. The quantity of water actually transferred may not be equal to the quantity made available in the transfer. The final accounting will be reflected on your next annual invoice. It will indicate the final acre feet quantity transferred and the dollar amount savings. Please note that the price of surplus water sold to Redwood Valley County `later District is set by the terms of the 1980 Stipulated Judgement (see below for link to web based document.) The final price per acre feet changes annually based on RRFC operational costs and may be less than the current contract rate of $66.00 per acre foot. The final dollar amount recouped from the sale of the transferred quantity will be the amount deducted from your invoice. Please review and sign the enclosed Water Transfer Amendment and return to the District. A fully signed copy will be returned to you for your records. RECITALS. 1.1 District has identified a need for water from the Redwood Valley County Water District ("Redwood"). 1.2 Customer has agreed to make certain Project Water available to Redwood from Customer's Contract Quantity under its Agreement under the terms and conditions set forth in this Amendment. NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: 2. TERM. The term of this Amendment shall be for the 2025 contract year only. 3. REDUCTION IN CONTRACT QUANTITY. During the Term, Customer agrees to reduce its Contract Quantity under the Agreement by up to acre feet ("Reduced Contract Quantity") from its current Contract Quantity of 1,159.15 acre feet. (Customer Initial: District Initial: 3.1 Notwithstanding Section 6.1 of the Agreement, Customer shall have no obligation to pay District full cost for the difference between the Reduced Contract Quantity and the Contract Quantity. 3.2 Notwithstanding Section 12 of the Agreement, Customer's voluntary agreement to the Reduced Contract Quantity shall have no effect on Customer's right to divert and use such water in compliance with the Agreement in subsequent years. 4. EXECUTION AND COUNTERPARTS. This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. 5. CONTINUED VALIDITY. Except as expressly amended by this Amendment during the Term, the Agreement remains in full force and effect between the Parties.
