RRFC and RVCWD are sometimes referred to individually herein as a "Party" and collectively as the "Parties". RECITALS WHEREAS, RRFC and RVCWD desire to collaborate on the development and submission of an annexation application to the Mendocino County Local Agency Formation Conlinisslon ("LAFCo") to extend the boundaries of RRFC to incorporate the entire service area of RVC«TD ("LAFCo Application") in order to be eligible to enter into a Uniform Water Supply and Purchase Agreement with RRFC; and WHEREAS, RRFC and RVCWD entered a Memorandum of Understanding (MOU) to identify roles and responsibilities for development of an annexation application to the LAFCo, effective August 1, 2024; and 'WHEREAS, RRFC and RVCWWD desire to amend certain provisions of the MOU which set forth terms and conditions of cost sharing for the LAFCo Application; and NOW, THEREFORE, in consideration of the foregoing recitals of fact, the mutual covenants described herein; and for other good and valuable consideration, the receipt and --------sirfh iency of which -are hereby ac-ktioNvledged. tlie-Partieg agree-to-amend-the-M OU--as-follows:--------.—.-__.. A. Section 1 — Scope of Work. The following changes are made to Section 1 of the MOU 1. The following section is amended to read: "(c) RRFC's legal counselshallprepare all required CEQA documentation for the LAFCo Application and shall assist RRFC with development and review of the LAFCo Application as necessary. RRFC shall be the lead agency for CEQA purposes, and RVCWD shall be a responsible agency." 2. The following is added to the list of "Reimbursable Expenses": "(f) RRFC may use its own employee resources for the preparation of the LAFCo Application at an hourly weighted rate of S95.00 per hour." B. COUNTERPARTS. This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instniment. C. NO OTHER CHANGES. Except as otherwise expressly set forth in this Amendment, the Agreement shall not be amended or modified and the Agreement, as amended hereby, is hereby ratified and confirmed and shall continue in full force and effect between the Parties. MENDOCIlVO COUNTY RUSSIA ' RIVER FLOOD CONTROL AND WATER CONSERVATION LIIPROVEMENT DISTRICT Christopher Watt Board President Date: REDWOOD 17ALLEY COUNTY NVA.TER DISTRICT Date: Adam Gaska Board President Resolution #25-02 of the Redwood Valley County eater District Resolution of Support for the Mendocino County Russian River Flood Control & Water Conservation Improvement District Request to the Mendocino County Local .Agency Formation Commission to Initiate Proceedings for the Annexation of the Redwood Valley Count), Water District Boundary WHEREAS, Mendocino County Russian River Flood Control & Water Conservation Improvement District (RRFC) desires to initiate proceedings pursuant to Part 3 of the Cortese-I-nox-Hertzberg Local Government Reorganuzation Act of 2000 (GOB" j56000 et seq.) for a Change of Organization consisting of an annexation to incorporate the remaining jurisdictional boundaries of the Red'wood Valley County' titer District (RVCNN,D) not already located v"itlniu the RRFC Jurisdictional boundary, as set forth in the attached Exhibit A attached hereto and incorporated herein by reference. WHEREAS, the RVC\XD Board is dedicated to creating a lasting solution for the Redwood galley comnnunity that -,t-ill support increased -,rater supply reliability for our agricultural community. WHEREAS, the R-\TCW,D Board wishes to convey to the Mendocino Local Agency Formation Commission its support in being annexed into RRFC in order to enable the RVCWID to enter into a Unifornn Water Supply- c& Purchase Agreement with RRFC; thereby creating a more reliable grater supply for RVCXZD. WHEREAS, both RRFC and RVC\'\D Irish to partner in an annexation application as evidenced by the following actions: 1. On April 1, 2024, RRFC adopted Resolution No. 24-01, a Covvviturert to Collaboiztte mith Red ©od I'a1IqColtnD1Vater Dismzct irl Deuelopil�g a Local .Agei9y .Formation Co»u»issio✓r -4mlexat1o11 -Applicatiou; and 2. Subsequently, on April 18, 2024, RVC\Z%D adopted a similar resolution (Resolution No. 24- 01); and 3. RRFC and RVCV7D entered a Memorandum of Understandirng (IMOL) to identify' roles and responsibilities for development of an annexation application to the LAFCo, effective August 1, 2024. WHEREAS, eligibility for the proposed annexation includes: 1. The proposed annexation area is within the RRFC current LAFCo approved Sphere of Influence; and 2. The proposed annexation area is -,within RRFC's State NVater Resources Control Board Nvater right license 13898 place of use. WHEREAS, the reasons for the proposed annexation are as follows: 1. RRFC can currently only provide RVCR,'D water surplus to RRFC customer demand Nvhen available as outlined in the 1980 Superior Court of the State of California No 42059 Stipulated Judgement and pursuant to California State Vriater Resources Control Board Water Right Order \X7R 79-15; and 2. Annexation of RVC\ND into the RRFC boundary would alloxv for regular contracting of water under a Uniform Water Supply (� Purchase Agreement, creating a'more stable water supply- for the R\TC\K.D. WHEREAS, the proposed annexation -,would be subject to the follovnng terms and conditions: 1. It-,voiild not consist of a consolidation of services nor a consolidation of RRFC and RVCV D. 2. It twoinld not negate, supersede, or otherwise impact tlne Stipulated Judgment No 42059. WHEREAS, the Board has considered the oral and/or twritten testinnony° for adoption of this Resolution of Support. NOW, THEREFORE, BE IT RESOLVED, by the RVCVTD Board of Directors as follows: This Resolution is hereby- approved and adopted by the RVC\\7M Board in support of the RRFC request for 1\Iendocino County.
