CALL TO ORDER: Director Nevill called the meeting to order at 6:31 p.m.
ROLL CALL: Roll Call was taken, Director Gordon not present.
MINUTES: Approval/Correction of Minutes: September g, 2024
Director LaRue made a motion, seconded by Director Hildreth, to approve the Minutes for
September g, 2024. This motion was passed with a unanimous aye vote.
FINANCIAL STATEMENT - Director Hildreth made a motion, seconded by Director Nevill, to
approve the Financial/Pay Bills for November 2024. This motion was passed with a unanimous
aye vote.

Staff Reports
a. General Manager
i. GM Walker reported that the Burke Hill Well 7 motor is in need of repairs
that includes a new top shaft from Performance Pump and the estimate
for the motor retirind of $12,000 from Vincent Electric where the motor
was sent to.

a. Report on Eel -Russian Project Authority — (ERPA) — Special Meeting December
17, 2024, updates to follow.
b. Report on Water Districts' Projects — Ongoing Meter change outs in Milhriew
continue approximately 500 to change, Soo have been done. Hopland
wastewater treatment plant lift station motor shorted out and needs to be sent
out for repair.

Report on Ukiah Valley Water Authority (UVWA), billing for Redwood Valley and
Millview is currently being done by City of Ukiah. City staff reading with Willow
operators to ensure same reads and billing is seamless. City of Ukiah would like
to know what other water authorities are joining the JPA by March.
New Business
a. Consideration of 2024-2025 Fiscal Audit
Director Hildreth made a motion, seconded by Director LaRue, to approve the 2024-2025 Fiscal
Audit. This motion was passed with a unanimous aye vote.
b. Consideration of Revised Ukiah — Willow Intertie Agreement
Director Hildreth made a motion, seconded by Director LaRue, to approve the Revised Ukiah -
Willow Intertie Agreement. This motion passed with a unanimous aye vote.

Adopting an Initial Study/Mitigated Negative
Declaration (IS/MND) and Mitigation Monitoring
and Reporting Program (MMRP) for Water Main
Replacement
WHEREAS, the Willow County Water District (WCWD) Board of Directors
proposes a Water Main Replacement (Project) to establish a reliable water
source for customers of the WCWD; and
WHEREAS, the proposed Project would be along three sections of the
existing water main at Laws Avenue (1,000 linear feet), Pomo Lane (550
linear feet), and Canyon Drive (1,000 linear feet) located south and west of
the City of Ukiah in Mendocino County, California; and
WHEREAS, the WCWD prepared an Initial Study/Mitigated Negative
Declaration (IS/MND) for the proposed Project consistent with California
Environmental Quality Act (CEQA) Guidelines §15o63; and
WHEREAS, an IS/MND was circulated for public review from January 28,
2025, to February 28, 2025, and State review from January 28, 2025, to
February 28, 2025 (State Clearinghouse No. 202501o834); and
WHEREAS, the WCWD received one (1) written comment during the
public and state review process, and the WCWD has considered the comment
received; and
WHEREAS, the WCWD revised the IS/MND in response to the comment
received during the public and State review process; and
WHEREAS, revisions to the IS/MND were in response to written
comments on the Project's impacts identified in the IS/MND and are not new
avoidable significant impacts, and therefore are not considered substantial
revisions,
in accordance with CEQA Guidelines §15073.5, recirculation is not
required; and
WHEREAS, a Mitigation Monitoring and Reporting Program (MMRP),
attached hereto as Exhibit A, has been prepared based upon the IS/MND,
consistent with the requirements of Public Resources Code Section 21o81.6,
the MMRP lists all mitigations measures and is designed to ensure
compliance during project implementation; and
WHEREAS, pursuant to CEQA Guidelines §15074, all documents and files
which constitute the record of all proceedings upon which the decisions
associated with the Project are on file with the WCWD; and
V%THEREAS, in accordance with applicable provision of law, the WCWD
Board of Directors held a public hearing on March 10, 2025, at which time
the WCWD Board of Directors heard and received all relevant testimony and
evidence presented orally or in writing regarding the Project. All interested
persons were given an opportunity to hear and be heard regarding the
Project; and
WHEREAS, the WCWD Board of Directors has reviewed this Resolution
and finds that it accurately sets forth the intentions of the WCWD Board of
Directors regarding the Project.
NOW, THEREFORE, BE IT RESOLVED, that the WCWD Board of
Directors matte the following findings:
1. The IS/MND has been properly prepared and circulated for public
review in accordance with CEQA; and
2. The WCWD has reviewed the IS/MND and considered the document
and all comments received before malting a decision of the Project;
and
3. On the basis on the whole record before it, including the IS/MND
and comments received therein, the WCWD Board of Directors finds
that there will be no significant environmental effects resulting from
the Project, provided that mitigation measures in the IS/MND are
incorporated into the Project; and
4. The IS/MND reflects the WCWD Board of Director's independent
judgement and analysis of the potential environmental effects of the
Project; and
5. The Project has been processed in accordance with the applicable
provisions of CEQA. All noticing and review periods required by
CEQA have been satisfied.
Be it Further Resolved, that the WCWD hereby adopts the IS/MND and
adopts the MMRP attached hereto as Exhibit A.

ASSIGNMENT AND ASSUMPTION AGREEMENT
This Assignment and Assumption Agreement ("Agreement") is entered on March 1, 2025
("Effective Date"), by and among the City of Ukiah ("City"), a general law municipal
corporation, Willow County Water District ("Willow"), a County Water District, and is
consented to by the Ukiah Valley Sanitation District ("UVSD"), a county sanitation district.
Recitals
A. Willow and UVSD entered into a Master Services Agreement ("MSA') on May 19,
2019, pursuant to which Willow agreed to perform the duties of District Manager for
UVSD as described in Exhibit A to the MSA (Statement of Work to Be Performed),
hereafter, "District Manager Services"; and
B. In May 2020, UVSD and Willow agreed to an addendum to the MSA wherein Willow
would perform all administrative services for UVSD, including billing and collection
services; and
C. Since October 2020, Urban Futures, Inc., agreed to provide District Manager
Services and since April 2023, CliftonLarsonAllen LLP (CLA) has expanded its
services (in addition to reconciling accounts, preparing journal entries and capital
asset and depreciation schedules, and preparing financial statements) to
maintaining the District's accounting and finance records, managing accounts
payables and receivables, and preparing 1099's and the SCO report (collectively,
"Accounting and Financial Management Services"); and
D. On May 17, 2021, Willow and UVSD entered the Second Amendment to Master
Services Agreement pursuant to which Willow agreed to perform services described
in Exhibit A, entitled Statement of Work which includes ("Billing and Collection
Services") which it continues to provide;
E. Willow has become a party to the Joint Exercise of Powers Agreement ("JPA") among
Millview County Water District, Redwood Valley County Water District, Willow and
City creating the Ukiah Valley Water Authority ("UVWA"); and
F. Effective March 1, 2024, the Fifth Amendment to the Master Services Agreement
adopted the fees and charges for Billing and Collection Services currently in effect;
and
G. On October 3, 2018, UVSD and the City entered an Operating Agreement that
included provisions governing billing and collection of revenue from UVSD
customers (Article II, subsections B and D.b (3).)
AGREEMENT
Now, therefore, in consideration of the foregoing recitals, which are incorporated herein
by this reference, and the terms and conditions stated below and for other good and
valuable consideration the receipt and adequacy of which are hereby acknowledged, the
City, Willow and UVSD hereby agree as follows:
1. Subject to the provisions of Section 3 below, as of the Effective Date Willow hereby
assigns to the City all of its rights and obligations under the MSA as amended.
2. Subject to the provisions of Section 4 below, as of the Effective Date, City hereby
accepts Willow's assignment and assumes Willows obligations under the MSA as
amended;
3. On and after the Effective Date Willow shall have no liability or responsibility for the
operation and maintenance of the UVSD waste collection system or for Billing and
Collection Services performed by City after the Effective Date or any other claims,
demands, causes of action or liability therefor. Willow agrees to indemnify and defend the
City from and against any claims, demands, liability, costs or other obligations arising out
of Willow's negligent or willfully wrongful act or omission in its performance of services
pursuant to the MSA prior to the Effective Date. On and after the Effective Date Willow
shall have no liability or obligations arising out of or related to the City's performance under
the MSA, as amended. City agrees to indemnify and defend Willow from and against any
liability, claim, cost or obligation arising out of the City's negligent or willfully wrongful act
or omission in performing services under the MSA after the Effective Date.
4. In assuming the MSA the City does not assume any responsibility or liability for claims,
demands, causes of action, expenses, damages, injuries or other liability or financial
responsibility of any kind arising prior to the Effective Date out of or related to Willow's
provision of services to UVSD under the MSA, as amended.
5. The UVSD Board of Directors approves the assignment and assumption of the MSA by
Willow and the City pursuant to and in accordance with this Agreement and acknowledges
that the provision of billing and collection services by the City is governed exclusively by the
MSA and no provision of the Operating Agreement concerning billing and collection
services shall apply to or affect the City's provision of services to UVSD pursuant to the
MSA, as amended.
6. The MSA shall terminate on June 30, 2025.
WHEREFORE, the Parties have entered into this Agreement as of the Effective Date.
