CALL TO ORDER: The Willow County Water District held a Regular Meeting on May 12, 2025, the meeting was legally noticed on May 9, 2025. The meeting was held in person and via zoom. Chair G. Nevill called the meeting to order at 6:31 p.m. CHAIR G. NEVILL PRESIDING. ROLL CALL: Roll was taken with the following Directors Present: D. Gordon, M. Hildreth, R. LaRue and Chair G. Nevill. Directors Absent: None. Staff Present: Jared Walker, Deputy Director of Water Resources, Liz Patton, Billing and Customer Service Manager and Kim Saylor, Deputy Clerk. APPROVAL OF MINUTES: a. Approval of the Minutes of 2025-05-12 Willow Water Minutes. Motion/Second: Gordon / LaRue to approve the Minutes of May 12, 2025, a Regular Meeting as submitted. The City of Ukiah is working on a uniform fee structure which will be discussed at the UVWA meeting. Goal is for all shut-off, reconnect and other associated fees to be the same. UNFINISHED BUSINESS a. Report on Eel -Russian Project Authority — (ERPA) IWPC met last week, URRWA issued a 60-day notice of withdrawal. b. Report on Water Districts' Projects: Canyon Drive Water Main Replacement was awarded to Westpac Construction. c. Report on Ukiah Valley Water Authority (UVWA) GM, Walker reported that Last week's meeting was cancelled, a special meeting is happening on August 24, 2025 at UVCC. NEW BUSINESS None. Lease Term • Initial Term: One (1) year. • Renewal: Lease shall automatically renew for successive one-year terms unless terminated by either party with not less than three (3) months' advance written notice prior to the expiration of the then -current term. 4. Rent • Base Rent: $4,000 per month. • Payment Due: On the first (1st) day of each calendar month. 5. Utilities • Rent shall be inclusive of all standard utilities for the Premises (e.g., electricity, water, gas, sewer, and trash). 6. Use • Tenant shall use the Premises for general office purposes, subject to compliance with applicable laws, regulations, and zoning requirements. 7. Governing Law • The lease shall be governed by and construed in accordance with the laws of the State of California. 11. Non -Binding Effect • This Term Sheet is intended solely as a summary of material terms and does not constitute a binding lease agreement, except with respect to provisions expressly stated to be binding (if any).
