HomeMy WebLinkAboutBig Blu Soul Revue 2026-02-17Big blu soul revue AGREEMENT OF SERVICES TO BE PROVIDED This binding agreement dated ____________________________, is between City of Ukiah (hereinafter referred to as “Client”) and the live music band Big Blu Soul Revue (hereinafter referred to as “Band”), for live music performance services at Client’s “Sundays in the Park” concert event on Sunday, August 16, 2026, in Ukiah, California. SECTION 1. SUMMARY OF SERVICES PROVIDED: Band agrees to perform live music for Client’s Sundays in Park live concert event on Sunday, August 16, 2026. Band will perform two sets of music from 6:00 p.m. until 8:00 p.m., with a 15-minute break in between sets. SECTION 2. EVENT DETAILS: ▪Event: Sundays in the Park (live concert) ▪Event Date: Sunday, August 16, 2026 ▪Venue: Todd Grove Park ▪Venue Address: 600 Live Oak Avenue, Ukiah, California 95482 ▪Band Load-In: Approximately 4:00 p.m. ▪Soundcheck: Approximately 4:45 until 5:45 p.m. ▪Band Performance Time: 6:00 p.m. until 8:00 p.m. SECTION 3. EVENT SCHEDULE: Band will perform at the Client's event. A general schedule of events, including setup, band set times, etc., is listed on the below. Any additional requirements, additions or changes to the schedule can be made in writing, preferably by email between Client and Band. STAGE, SOUND AND SETUP REQUIREMENTS: Client will supply a shaded performance stage, sound system and lightning system, staffed with sound engineer(s) and lightning technician(s), as appropriate for Band to perform for full length of event. ▪Band requests the performance area be approximately be at least 18 feet by 16 feet o Please note: The band cannot perform directly on grass or dirt Band will provide their own instruments as appropriate to perform for full length of event. Band will supply technical rider, including stage plot and list of technical inputs no later than 30 days prior to the event date. In addition, the Band will require the following at the venue: ▪4 or more electrical outlets within 15 feet of the band performance space o Please Note: The Band generally requests one to two 20-amp circuits of electricity to run their music equipment ▪Space nearby to store instrument cases, gear, etc. SECTION 5. TRAVEL, LODGING, HOSPITALITY AND MEALS: Client agrees to provide reasonable hospitality for Band and their touring party as outlined below. Band will send a full Hospitality Rider to Client within fourteen (14) days of this executed Agreement and shall be incorporated herein by reference. ▪Lodging: Client shall provide clean, comfortable hotel accommodations for Band and their touring party for the night of performance. Rooms shall be in a reputable hotel located within reasonable proximity to the venue. Rooming requirements will be detailed in the full Hospitality Rider. o Hotel room charges and applicable taxes shall be paid by Client. Band shall be responsible for incidental personal expenses, unless otherwise agreed. ▪Meals and Catering: Client shall provide meals and beverages for Band and touring party on the day of performance, including: o A hot meal or approved meal buyout o Access to bottled water, soft drinks and some alcoholic beverages o Backstage snacks o Specific catering requirements, dietary needs, or buyout amounts will be detailed in the full Hospitality Rider. Page of 2 7 ▪Dressing Room / Backstage Area: Client shall provide a clean, private backstage or dressing room area with adequate seating, climate control, and access to restroom facilities. ▪Incorporation of Full Rider: Band will send full Hospitality Rider to Client within fourteen (14) days of this executed Agreement. Upon delivery, it shall become part of this Agreement and Client agrees to comply with its reasonable terms. SECTION 6. FEES AND PAYMENT: ▪Total Fee for Band's Services: $4,000.00 for a six-piece Band o Deposit Fee to secure Band’s services: Client to pay a $2,000.00 payment (50% of Total Fee for Band’s Services) to secure the Band’s services, to be paid by electronic payment, check or money order payable to: Jason Movrich. This fee is non-refundable. Please note a 3.5% fee will be added to the total fee for services. If you wish to make a credit card payment, please email Jason Movrich and we will send you a direct link for payment. ▪Additional Equipment Fees (if required): o After the Band has discussed the event details with the Client, if it is determined additional equipment, sound, lightning, video or staging equipment is required for the Band to perform, the Band will determine cost of acquiring equipment required and communicate additional costs in writing (by email) to the Client. Any additional costs will be agreed to by both the Client and the Band, with any additional fees charged back to the Client. An addendum would then be added to this agreement, outlining the additional costs. ▪Liability Insurance (if required): If Client or the venue requests that the Band provide a liability insurance policy, the Band can purchase a single-event insurance policy to cover the event. Any costs incurred from the purchase of a single-event insurance policy will be charged to the Client and added as an addendum to this agreement. A copy of the insurance policy would be sent to both the venue and Client. ▪Overtime Fee: For any additional Band performance requested by Client after the scheduled ending time of 8:00 p.m., Client will be charged an additional $2,000.00 per hour, with one-hour minimum, to be paid in cash or check on the event date, payable to: Jason Movrich. SECTION 7. CANCELLATION/POSTPONEMENT POLICY: Client Cancellation: Should the Client decide to cancel the Band’s services, a written notification (preferably by email) must be sent from the Client to the Band. The following fees will be charged to the Client, with payment due within seven (7) days of the written notice from the Client to the Band. Payment options are listed in Section 6 of this agreement: Page of 4 7 ▪31 days or more prior to event date: 50% of the Total Fee for Services ▪30–15 days prior to event date: 75% of the Total Fee for Services ▪14 days or less prior to event date: 100% of Total Fee for Services Postponement: Should the Client need to postpone the event date for any reason, Client will provide written notice to Band (preferably by email). Subject to Band availability, all fees paid may be applied to the new event date. If the Band is unavailable to perform on revised event date, Client to pay all fees based on the cancellation fees schedule listed previously in this section of the agreement. Band Cancellation: If Band is unable to perform at the Client’s event other than Client cancellation or Postponement, Band will refund any fees paid by Client. SECTION 8. SPECIAL PROVISIONS: ▪Advertising: Client will cover all advertising expenses promoting the event. ▪Tickets for purchase: There will be no tickets sold or admission charged for the event. ▪Band Name & Likeness: Band shall have the right to pre-approve any Client usage of Band’s name and likeness for promotional and other purposes. Client shall submit any proposed print or web artwork to Band for approval prior to any use. ▪Photography: Client shall have the right to photograph (non-flash photography only) for the entire performance for internal, archival purposes. ▪Video Recording: Client shall have the rights to video record there Band’s performance for internal and archival purposes only, provided a copy of video recordings be furnished to Band within seven (7) days of the event. All video recording arrangements are subject to Band’s approval. Client shall not have rights to distribute any video recordings for profit without written consent from Band. SECTION 9. FORCE MAJEURE: Neither Client nor Band shall be held liable for failure to perform any part of this Agreement when such failure is caused by events beyond the reasonable control of the affected party, including but not limited to: acts of God, natural disasters, acts of government, epidemics or pandemics, war, terrorism, labor strikes, riots, venue damage or closure, power outages, or other unforeseeable circumstances that make performance impossible, unsafe, or illegal ("Force Majeure Event”). Page of 5 7 In the event of a Force Majeure Event: ▪The affected party must notify the other as soon as reasonably possible. ▪The performance will be rescheduled if both Client and Band agree and scheduling allows. SECTION 10. GOVERNING LAW: This Agreement will be governed, construed, and enforced in accordance with the laws of the State of California and the County of Mendocino, without regard to its conflict of laws rules. SECTION 11. SAFETY GUIDELINES: Client and Band agree to adhere to all safety guidelines set forth by the U.S. Federal government, State of California, County of Mendocino and Center for Disease Control and Prevention. After discussing with the Venue, Client and Band can agree on any additional safety guidelines that may be required for the event.
