AMENDMENT NO. 2
TO
PROFESSIONAL SERVICES CONTRACT 2324-215
BETWEEN
E SOURCE LLC and THE CITY OF UKIAH
This Amendment No. 2, entered on December 18, 2025 revises the Agreement for
consulting services related to project management services to transition Millview and
Redwood Valley water billing to the City’s CIS software dated June 6, 2024 between the
City of Ukiah and E Source LLC, as follows.
This Amendment No. 2 adds an additional Scope of Work and $29,325, as described in
Exhibit 1. This revises the total, not-to-exceed amount to $269,535.
Except as expressly amended by this Amendment, all other terms remain unchanged and
in full force and effect.

Onboarding Project Management Services
Amendment Proposal

E Source Companies, LLC (“E Source”) is providing this change order at the request of City of Ukiah
Utility Services (“City”) to reflect changes to the duration of the Water District and Ukiah Valley
Sanitation District onboarding project.
Scope of Work
To ensure continuity of service and alignment with the project’s needs, E Source is requesting additional
hours for the ongoing consulting services of John Beichman, Executive Consultant.
The Ukiah Valley Sanitation District (“UVSD”) was postponed. While some initial work has begun, the
projected go live date for this effort is now mid-July 2026, with first bills expected to be issued in August
2026.
In addition, two additional efforts not directly related to the remaining onboarding of UVSD are ongoing
at the City and for which the City has requested Mr. Beichman’s assistance:
Milsoft’s upgrade of the City’s CIS to their most recent release which was delayed from Q2 of 2025
until Q1 of 2026;
Implementation of a significant change to the City’s shutoff for non-payment process which
included development work on the part of Milsoft.
Our estimate of Mr. Beichman’s time to work on all of these items, starting in December 2025 is provided
in the following table.
Fee
The fee to implement this amendment is $29,325. The hours in the table above reflect the carryover of
160 hours from the original project and 115 incremental hours as documented in our email of
November 14, 2025 sent to Mary Horger.
