CONTRACT #1819190 - PROFESSIONAL PLANNING SERVICES
AGREEMENT
FOR A GENERAL PLAN UPDATE, ENVIRONMENTAL IMPACT REPORT,
AND OTHER RELATED ADVANCED PLANNING SERVICES
This Amendment No. 8, entered on March 21, 2025, revises the Agreement for professional
services dated March 21, 2019, between the City of Ukiah and Mintier Harnish for
professional consulting services relating to professional planning services for a General
Plan Update, Environmental Impact Report, and other related advanced planning services.
This Amendment No. 8 adds additional Scope of Work, and an additional $10,000, as
described in Exhibit 1. This revises the total, not-to-exceed amount to $785,968.
Except as expressly amended by this Amendment, all other terms remain unchanged and
in full force and effect.

Subject: Ukiah Climate Action Plan Change Order
Per City of Ukiah (City) request, Rincon Consultants, Inc. (Rincon) is submitting this Change Order for additional
Climate Action Plan (CAP) scope to complete as needed CAP edits, final document graphic design, and project
management. The draft CAP is currently undergoing review and receiving comments as part of the public
review period. Based on the comments received from the public, there may be the need for additional edits
to the CAP and client meetings. Additionally, after the draft CAAP has been reviewed by the public and updated
to address comments, Rincon will complete the final CAP in In-Design to provide a high quality and visually
appealing plan. These additional tasks will be completed based on direction from the City on a time and
materials expense reimbursement basis in accordance with Rincon’s 2025 standard fee schedule (see
attached). The additional services will not exceed $10,000. Rincon anticipates the work scope changes
presented in this Change Order would occur through April 2025.
All work would be performed in accordance with the work scope outlined above and the terms and conditions
in the existing original contract between Mintier Harnish and Rincon dated April 2, 2024. No other services
would be provided without the City’s express written authorization. To authorize, please provide approval in
writing of this scope change proposal, so that Mintier Harnish can provide a corresponding no-cost scope
amendment to their April 2, 2024, agreement with Rincon.

Direct Costs. Other direct costs associated with the execution of a project, that are not included in the hourly rates above, are billed
at cost plus 16%. These may include, but are not limited to, laboratory and drilling services, subcontractor services, authorized travel
expenses, permit charges and filing fees, mailings and postage, performance bonds, sample handling and shipment, rental
equipment, and vehicles other than covered by the above charges.
Annual Escalation. Standard rates subject to 3.5% annual escalation, on January 1.
Payment Terms. All fees will be billed to Client monthly and shall be due and payable upon receipt or as indicated in the contract
provisions for the assignment. Invoices are delinquent if not paid within 10 days from receipt or per the contractually required
payment terms.
