AGREEMENT
FOR A GENERAL PLAN UPDATE,ENVIRONMENTAL IMPACT REPORT,
AND OTHER RELATED ADVANCED PLANNING SERVICES
This Amendment No. 7, entered on September 18, 2024, revises the Agreement for
professional services dated March 21,2019,between the City of Ukiah and Mintier Harnish
for professional consulting services relating to professional planning services for a General
Plan Update, Environmental Impact Report, and other related advanced planning services.
This Amendment No. 7 adjusts the scope of work, as outlined in Exhibit 1,by adding and
deducting certain tasks, with no impact on the current total not to exceed contract amount
of$775,968.
Except as expressly amended by this Amendment, all other terms remain unchanged and
in full force and effect.

Subject: Ukiah Climate Action Plan + Initial Study-Negative Declaration Scope Change Proposal
Per City of Ukiah (City) request, Rincon Consultants, Inc. (Rincon) is submitting this scope change proposal to
1) add scope for additional Climate Action Plan (CAP) project management and meetings time with City staff
as well as to 2) deduct scope related to attendance at public meetings. The following section details the
specific tasks that make up this scope change proposal. Below we explain the adjustments related to existing
contract tasks.
Added Scope of Work
Task 1.2 Project Management and Meetings
The original scope/budget assumed a project timeline of 10 months of project management and
administration time as well as up to 18 30-minute MS Teams meetings.Specifically,this scope/budget change
now instead assumes a project timeline of 13 months of project management and administration time(project
kickoff was beginning of April 2024 and CAP adoption is anticipated for end of April 2025) as well as up to 13
60-minute MS Teams meetings. Note that 6 60-minute MS Teams meetings have already occurred on June
18, July 16, July 30, August 6, August 20, and September 3. Therefore, we now have 7 60-minute MS Teams
meetings remaining. We anticipate these remaining meetings will occur through December 2024 while the
Draft CAP measures/actions list is finalized, the balancing act survey is prepared and distributed, the Draft
CAP measures/actions quantification/substantial evidence report is prepared and submitted for City review
by November, and the Administrative Draft CAP document is prepared and submitted for City review by
December.
Deducted Scope of Work
Task 4.1 Community Workshops and Online Survey
Rincon will deduct attendance and preparation for the 2nd community workshop.
Task 4.3 Sustainability Working Group Focus Session
Rincon will deduct attendance and preparation for the sustainability working group focus session.
Task 4.4 CAP Public Hearings
Rincon will deduct attendance and preparation for both CAP public hearings.
Task 6.5 IS-ND Hearing + NOD
Rincon will deduct attendance and preparation for the IS-ND adoption hearing.

Scope Change Proposal
Schedule and Cost
Rincon anticipates the work scope changes presented in this proposal would occur through April 2025. The
costs related to the added and deducted tasks described in this proposal are presented in Table 1 below.

All work would be performed in accordance with the work scope outlined above and the terms and conditions
in the existing original contract between Mintier Harnish and Rincon dated April 2, 2024. Additional services
beyond those identified herein would be provided, at the City's request, on a time and materials expense
reimbursement basis in accordance with Rincon's 2024 standard fee schedule (see attached). No other
services would be provided without the City's express written authorization. This scope change proposal cost
estimate is in effect for a period of 30 days during which time the elements of this proposal are negotiable to
meet the needs of the proposed updated work scope. To authorize, please reply all to provide approval in
writing of this scope change proposal, so that Mintier Harnish can provide a corresponding no-cost scope
amendment to their April 2, 2024 agreement with Rincon.

Direct Costs.Other direct costs associated with the execution of a project,that are not included in the hourly rates above,are billed
at cost plus 16%.These may include,but are not limited to,laboratory and drilling services,subcontractor services,authorized travel
expenses, permit charges and filing fees, mailings and postage, performance bonds, sample handling and shipment, rental
equipment,and vehicles other than covered by the above charges.
Annual Escalation.Standard rates subject to 3.5%annual escalation,on January 1.
Payment Terms.All fees will be billed to Client monthly and shall be due and payable upon receipt or as indicated in the contract
provisions for the assignment. Invoices are delinquent if not paid within 10 days from receipt or per the contractually required
payment terms.
