HomeMy WebLinkAboutAssembly Rules Committee - Suite D Lease 2324-192 - Contract - signedFIFTH AMENDMENT TO LEASE This Fifth Amendment to Lease is made and entered into as of the 9th day of April, 2024, by and between Ukiah Valley Conference Center (the "Lessor') and the ASS EMBLY RULES COMMITTEE, CALIFORNIA STATE ASSEMBLY {the "Rules Committee"). RECITALS A The Lessor and the Assembly Rules Committee entered into a lease, dated February 1, 2015 (the "Original Lease"), whereby the Lessor leased to the Assembly Rules Committee certain office space located at 200 South School Street, Suite D, Ukiah, CA 95482 (the "Premises"). The Original Lease was amended by that certain First Amendment to Lease, dated January 1, 2015, and amended by that certain Second Amendment Lease, dated October 25, 2017, and amended by that certain Third Amendment Lease, dated December 18, 2018, and amended by that certain Fourth Amendment Lease dated December 1, 2021, and amended by that certain Fifth Amendment dated April 9, 2024 by and between the Lessor and the Assembly Rules Committee. The Original Lease, as amended by the First Amendment, may be referred to herein as the "Lease". B.By this Fifth Amendment to Lease, Lessor and Assembly Rules Committee desire to extend the term of the lease and to otherwise modify the Lease as provided herein. In consideration of the foregoing recitals and the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows: AGREEMENT 1.Extended Lease Term: The lease termination date shall be extended such that the Lease shall be month-to-month except as otherwise provided by this paragraph, either party may terminate this Lease by giving written notice to the other party at least sixty (60) days prior to the date when the termination is to become effective. 2.Rent: The Rent shall be amended to the amount of Six Hundred and Thirty-three and 0/100 Dollars ($ 633 .42) payable on the tenth (10 th ) day of each month. 3.Notices: All notices, correspondence and warrants to the Lessor shall be made as follows: Ukiah Valley Conference Center 200 S. School Street Ukiah, CA 95482 Telephone: (707) 463-6701 Email: mimaldonado@cityofukiah.com Except as set forth in this Fifth Amendment, all of the provisions of the Lease shall remain unchanged and in full force and effect.
