AMENDMENT NO. 1
TO
PROFESSIONAL SERVICES AGREEMENT
BETWEEN
WEST YOST and THE CITY OF UKIAH
This Amendment No. 1, entered on February 27, 2024, revises the Agreement for the
preparation of the RRWA 2023-2024 Work Plan dated July 7, 2023 between the City of
Ukiah and West Yost.
•Additional consulting services related to grant funding opportunities for the City
Santa Rosa, Sonoma County, Sonoma Water and City of Windsor detailed in the
Scope of Work as per Exhibit 1.
•Adds an additional $42,884.00 to the contract, for a revised amount not-to-exceed
$691,515.00.
Except as expressly amended by this Amendment, all other terms remain unchanged and
in full force and effect.

SUBJECT: Proposal for Grant Support and Operators Forum Services for RRWA 2023-2024 Work Plan
Amendment
Dear Andrew:
The purpose of this letter proposal is to provide the City of Ukiah with a proposed Scope of Services,
Budget and Schedule for Grant Support and Operator Forum tasks for an amendment to the Russian River
Watershed Association 2023-24 Work Plan. The two tasks were developed by the Executive Programs and
Initiatives Committee and approved by the Board of Directors on October 26, 2023.
SCOPE OF SERVICES
The following is a list of the key tasks necessary to perform this proposed scope of services, each further
described below:
•Task C12. Grant Support
•Task C13. Operators Forum
Task C12. Grant Support
West Yost will support grant funding opportunities for participating member agency projects, with staff
researching and reporting upcoming funding opportunities. Regional coordination is a key component of
successful grant applications, and with significant funding anticipated to be available in the near term,
staff will focus on projects with regional competitiveness. The budget adjustment for this task would add
$16,308 to the 2023-2024 Work Plan with costs to be divided evenly between the participating agencies:
Santa Rosa, Sonoma County, Sonoma Water, and Windsor.
Task C12 Assumptions
•Development and submission of funding applications is an additional optional service not included.
•West Yost anticipates a total of 74 labor hours for this task. Hours above and beyond this amount will
be performed only after receiving written authorization and a corresponding budget augmentation.
Task C12 Deliverables
•West Yost will report upcoming funding opportunities to participating member agencies on an
ongoing basis.

Task C13. Operators Forum
West Yost will provide staff to support and facilitate development of an Operators Forum for participating
agencies. Tasks will include member agency coordination, correspondence, scheduling, and agenda
development required to convene a quarterly working group comprised of local agency operation staff to
identify potential cost saving measures through regional information sharing. West Yost will develop
summary notes of these meetings to share with participating agency staff and a summary report with
recommendations and action items identified throughout the year. The goal of convening an Operators
Forum is to increase collaboration and identify efficiencies amongst treatment operators that are facing
similar challenges, including rate pressures, staffing shortages, regulatory compliance, etc. The budget
adjustment for this task would add $26,576 to the 2023-2024 Work Plan to be divided evenly between the
participating agencies: Santa Rosa, Sonoma County, Sonoma Water, and Windsor.
Task C13 Assumptions
• A maximum of two work group meetings are assumed for the remainder of the 2023-24 fiscal year.
Task C13 Deliverables
• West Yost will provide and distribute a summary report and notes after quarterly work group meetings.
PROJECT BUDGET
West Yost’s proposed level of effort and budget for each of the tasks described above is shown in Table 1.
West Yost will perform the scope of services described above on a time-and-expenses basis, at the billing
rates set forth in West Yost’s attached 2023 Billing Rate Schedule, with a not-to-exceed budget of $42,884.
Any additional services not included in this scope of services will be performed only after receiving written
authorization and a corresponding budget augmentation.

SCHEDULE
West Yost anticipates providing Task C12 and C13 deliverables on an ongoing basis as needed to
administer the contract. Work completion is expected prior to June 30, 2024.

2023 Billing Rate Schedule
LABOR CHARGES
(DOLLARS PER HOUR)
■ Hourly rates include Technology and Communication charges such as general and CAD computer, software,
telephone, routine in-house copies/prints, postage, miscellaneous supplies, and other incidental project expenses.
■ Outside Services such as vendor reproductions, prints, shipping, and major West Yost reproduction efforts, as well as
Engineering Supplies, etc. will be billed at actual cost plus 15%.
■ The Federal Mileage Rate will be used for mileage charges and will be based on the Federal Mileage Rate applicable to
when the mileage costs were incurred. Travel other than mileage will be billed at cost.
■ Subconsultants will be billed at actual cost plus 10%.
■ Expert witness, research, technical review, analysis, preparation and meetings billed at 150% of standard hourly rates. Expert
witness testimony and depositions billed at 200% of standard hourly rates.
■ A Finance Charge of 1.5% per month (an Annual Rate of 18%) on the unpaid balance will be added to invoice amounts
if not paid within 45 days from the date of the invoice.
