The purpose of this agreement is to state the terms and conditions under which ARTIST will render services to PURCHASER. DATE:Sunday, August 18, 2024 LOAD IN:TBD LOCATION:Todd Grove Park SOUND CHECK:TBD 600 Live Oak Ave DOORS OPEN:TBD Ukiah, CA 95482 BACKLINE:Provided by ARTIST SHOWS:2 x 60-minute sets PA & LIGHTS:Provided by PURCHASER Starting at 6:00 pm MERCH:N/A TICKET PRICE:N/A Free Admission ARTISTS GUESTS:N/A Free Admission CAPACITY:Thousands OPENING ACT:N/A ARTIST'S FEE:$6,000.00 plus 8 hotel rooms To be paid by company check made payable to TLove Partners, Inc. Fed ID 45-5583753 PROMOTION/PUBLICITY: ARTIST will be afforded headliner status in all advertising, listings, and announcements for this engagement. RIDERS:The riders to this agreement shall be deemed incorporated herein. CANCELLATION:A "force majeure event" is defined as a performance prevented by fire, casualty, strike pandemic lock-down, war, illness, accident or any other cause not within the control of PURCHASER or ARTIST, as the case may be. In the event that PURCHASER cancels the engagement for reasons other than a force majeure event at any time up to and including thirty days before the scheduled event, PURCHASER shall pay a cancellation fee equal to 50% of ARTIST'S fee set out above. If PURCHASER cancels the event less than thirty (30) days before the scheduled event for reasons other than a force majeure event, PURCHASER shall pay a cancellation fee equal to 100% of ARTIST'S fee set out above. ARTIST may cancel any performance because of a force majeure event. If ARTIST has received a deposit for a performance canceled by a force majeure event, ARTIST will refund any deposit within 10 days of cancellation. If the performance is canceled because of a force majeure event, PURCHASER will be responsible for any non-cancellable travel and accommodation expenses, or cancellation fees related to the same. AGREEMENT:The term "Agreement" as used herein will include any future written amendments, modifications, or any supplements made hereto. ARBITRATION & CONTROLLING LAW:This contract shall be interpreted according to the laws of the State of California. The parties irrevocably agree to submit to the Judicial Arbitration and Mediation Society ("JAMS") for binding arbitration any dispute arising out of the performance or interpretation of the terms of this agreement. Said arbitration shall be conducted in accordance with the rules of JAMS and shall be held in San Francisco, California. The award of the arbitrators can be enforced by any court with proper jurisdiction. INSURANCE:ARTIST has general liability insurance coverage of one million dollars. PURCHASER agrees to pay costs incurred for any certificates requested by PURCHASER. Should PURCHASER request multiple additional insured entities listed in the certificate of insurance, PURCHASER agrees to cover these costs. More than 4 additional insured requests average $1,000.00 in insurance broker costs per certificate of insurance requested specific to an event. PURCHASER agrees to cover these costs should they arise. LIABILITY:Swan Entertainment acts herein only as agent for ARTIST and assumes no liability for the acts or omissions of either PURCHASER or ARTIST. THE PARTIES ACKNOWLEDGE THAT EACH HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY ITS TERMS. Preferably a meat entree (served no later than 90 minutes before showtime - earlier preferred). Or, a $200.00 cash meal buyout. DRESSING ROOM FOOD/BEVERAGES (ready at sound check. Items in bold can be omitted for daytime shows): Please have in the dressing room at sound check: ●1 case of non-carbonated bottled water ●1 vegetable tray ●1 assorted deli tray w/condiments ●1 loaf wheat bread ●1 bag tortilla chips ●1 pint salsa or hummus ●10 lbs. clean ice in a container or cooler ●12 plastic cups ●8 hand towels ●12 beers (anything but IPA) ●1 bottle premium tequila 750 Ml MUSTACHE HARBOR DRESSING ROOM, STAGE & ELECTRICAL RIDER DRESSING ROOM: PURCHASER will provide ARTIST with a private, secure, fully covered dressing room with a coat rack, a mirror, chairs, and access to bathroom facilities. The dressing room should comfortably accommodate 10 people. STAGE SIZE: PURCHASER will provide the ARTIST with a safe, fully covered, and professional stage no smaller than 24 feet wide by 16 deep.ARTIST WILL BE PAID RAIN OR SHINE. ELECTRICAL: PURCHASER will provide 4 (four) 20-amp power circuits located on or close to the stage/performance area.
