RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF UKIAH APPROVING CONTRACT WITH
TUDOR ENGINEERING COMPANY FOR LAKE
MENDOCINO POWER PROJECT
BE IT RESOLVED that that certain Agreement for
Engineering Services attached hereto and made a part hereof
is hereby approved and the Mayor and Clerk are authorized
to execute same on behalf of the City.

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT, made and entered into this 7th day
of_ May ,1980, by and between the City of Ukiah,
California ("Ukiah") and TUDOR ENGINEERING COMPANY, a California
Corporation ("Tudor").
WITNESSETH:
WHEREAS, Ukiah desires to construct a hydroelectric gen-
erating facility at the outlet of Coyote Dam, Lake Mendocino, and
WHEREAS, in connection with the work, Ukiah desires to engage
Tudor to provide the necessary engineering services, (the
"Engineering Services"); and
WHEREAS, Tudor is qualified by experience to provide the
Engineering Services for the work and Tudor has offered to pro-.
vide the Engineering services on the terms set forth herein;
NOW, THEREFORE, it is agreed by and between the parties
as follows:
1. ~mployment of Tudor. Ukiah hereby retains and
employs Tudor, and Tudor hereby accepts such employment to per-
form the Engineering Services in the maaner and for the compensa-
tion hereinafter specifically provided.
2. project Description. The project consists of a
hydroelectric generating plant at a site at the base of the
existing Coyote Dam, Lake Mendocino, California.
3. Engineering Services. The engineering services
which Tudor will perYorm under this Agreement.will include but
not be limited to data collection, preliminary design, reports,

presentations, final design, preparation of estimates, assistance
in obtaining construction bids, consultation during construction,
construction inspections and such other engineering services as
requested in writing by Ukiah.
4. Compensation. Ukiah shall compensate Tudor for the
Engineering Services described in Section 3. hereof by paying to
Tudor an amount equal to Direct Salary Costs, plus Company-Wide
Burden, plus General and Administrative Expense and Profit, plus
Direct Non-Salary Expense attributable to the Project, as such
terms are defined herein. "Direct Salary Cost" is based upon the
cost of direct wages paid to Tudor's personnel for time directly
chargeable to the Project. The Company-Wide Burden shall be
salary additives which include, but are not limited to, sick
leave pay, vacation pay, holiday pay, unemployment insurance,
excise and payroll taxes, contributions for social security,
workmen's compensation insurance, retirement benefits,~ group life
insurance and medical insurance. For purposes of this.Agreement,
the "Company-Wide Burden" shall be an amount which shall be
computed by multiplying the Direct Salary Cost by a factor of
0.45.
The General and Administrative Expense and. Profit
is a factor which providea compensation for Tudor's overhead and
profit. General and Administrative Expense and Profit shall be
an amount which shall be computed by multiplying the Direct
Salary Cost by 1.35. .
"Direct Non-Salary Expenses" include the following:
a. Cost and services directly applicable to the
Project, such as surveys, subsurface borings and explorations,
computer rental and programming costs, commercial printing and
binding, and similar costs that are not applicable to Tudor's
general overhead.

b. Identifiable communication expenses such as
long distance telephone, telegraph, cable, express charges and
postage other than for general correspondence.
c. Identifiable reproduction costs applicable to
the Project such as printing of drawings, photostating, multi-
lithing, printing, and similar costs.
d. Living and traveling expenses of Tudor's
employees when away from home office on business connected with
the Project, which shall include the actual costs of automobile
rental or reimbursement of $0.20 per mile when. Tudor's vehicles
are used.
· 5. Payment. Payment shall be made to Tudor for all
Engineering Services rendered by Tudor under the terms and con-
ditions of this Agreement on the basis of invoices submitted to
Ukiah monthly. Payments shall be made within thirty (30) days
after' receipt by Uki~h of the corresponding invoice. Tudor shall
keep complete, detailed and accurate records of all time charges
and reimbursable expenses incurred.
6. Control of the Work. Prior to proceeding with each
phase of the work Tudor shall be given a work order for such work
by Board. Tudor agrees to use its best efforts to perform the
work within the limitations of the estimated Cost of the work.
Such cost estimate shall not be exceeded by Tudor without prior
written approval of the Board.
7. Progress and Coordination. Tudor agrees to
diligently prosecute each phase of the Engineering Services as
directed by Ukiah. Tudor shall coordinate its work with Ukiah
through the Public Works.Department and the Project Manager.

8. Changes. Ukiah may from time to t~me make changes
in the scope of Engineering Services, including the deletion of
services and the addition of services, by giving written notice
of the change to Tudor. Tudor agrees to comply.with the notice
of change in the Engineering Services promptly upon its receipt
of such notice, and'shall use its best efforts to minimize any
costs or delay resulting from such change in the Engineering
Services. In the event that the change of the Engineering
Services results in an increase or decrease in the amount of the
estimated cost thereof, the estimate will be revised as mutually
agreed between Ukiah and Tudor.
9.. Duties of Tudor. With respect to the performance
of its services, Tudor will exercise that degree of skill and
judgment commensurate with that which is normally exercised by
recognized professional engineering firms with respect to
services of a similar nature, including compliance with applic-
able federal, state and local laws, ordinances and regulations.
10. Termination. At its option, Ukiah may terminate
this Agreement at any time by written notice to Tudor, and
whether or not Tudor is in default. Upon termination, Tudor
shall be paid amounts due under this Agreement up to the date of
termination. Tudor shall terminate the work in an orderly manner
and within a period of not to exceed thirty (30) days after
notice to terminate has been received from Ukiah, unless Ukiah
authorizes a longer period in writing. Upon termination of this
Agreement by Ukiah for any reason other than a default by Tudor,
shall also pay to Tudor the following additional amounts:
a. The cost of settling and paying any claims
arising out of the termination of any subcontracts previously
approved by Ukiah.

b. The cost of settling any claims arising Out of
the termination of the Agreement, including accounting, legal,
clerical and other expenses reasonably attributable to prepara-
tion of settlement claims.
c. The cost of additional services by Tudor to
close out this Agreement computed in accordance with Section 4
hereof.
IN WITNESS WHEREOF, this Agr.eement has been executed by
the parties hereto the day and year first above written.

WORK ORDER NO. 1
In accordance with the agreement between the City of
Ukiah and Tudor Engineering Company dated May 7, 1980
Tudor Engineering Company is hereby directed to proceed with the
following activities (as more thoroughly described in the Licens-
ing Loan Application by the City of Ukiah to. the Department of
Energy, October 1979):
Prepare environmental impact reports to fulfill
the requirements of NEpA and CEQA.
Prepare an FERC License Application.
Approval is hereby granted for the expenditure of funds
up to $45,500 estimated as the cost of the work.
