COUNo.___________AGREEMENTFORPROFESSIONALCONSULTINGSERVICESThisAgreement,madeandenteredintothis_____dayof________ __,2020(“EffectiveDate”),byandbetweenCITYOFUKIAH,CALIFORNIA,hereinafterreferredtoas“City”andSHNConsultingEngineersandGeologists,aCorporationorganizedandingoodstandingunderthelawsofthestateofCalifornia,hereinafterreferredtoas“Consultant”.RECITALSThisAgreementispredicatedonthefollowingfacts:a.CityrequiresconsultingservicesrelatedtoTestingServicesfortheDowntownUtilityReplacementandRoadDietProjects,SpecificationNumbers19-17and19-18.b.Consultantrepresentsthatithasthequalifications,skills,experienceandproperlylicensedtoprovidetheseservices,andiswillingtoprovidethemaccordingtothetermsofthisAgreement.c.CityandConsultantagreeupontheScope-of-WorkandWorkScheduleattachedheretoasAttachment“A”,describingcontractprovisionsfortheprojectandsettingforththecompletiondatesforthevariousservicestobeprovidedpursuanttothisAgreement.TERMSOFAGREEMENT1.0DESCRIPTIONOFPROJECT1.1TheProjectisdescribedindetailintheattachedScope-of-Work(Attachment“A”).2.0SCOPEOFSERVICES2.1AssetforthinAttachment“A”.2.2.AdditionalServices.Additionalservices,ifany,shallonlyproceeduponwrittenagreementbetweenCityandConsultant.ThewrittenAgreementshallbeintheformofanAmendmenttothisAgreement.3.0CONDUCTOFWORK3.1TimeofCompletion.ConsultantshallcommenceperformanceofservicesasrequiredbytheScope-of-WorkuponreceiptofaNoticetoProceedfromCityandshallcompletesuchserviceswithin550daysfromreceiptoftheNoticetoProceed.ConsultantshallcompletetheworktotheCity’sreasonablesatisfaction,evenifcontractdisputesariseorConsultantcontendsitisentitledtofurthercompensation.4.0COMPENSATIONFORSERVICES4.1BasisforCompensation.FortheperformanceoftheprofessionalservicesofthisAgreement,Consultantshallbecompensatedonatimeandexpensebasisnottoexceedaguaranteedmaximumdollaramountof$32,954.LaborchargesshallbebaseduponhourlybillingratesforthevariousclassificationsofpersonnelemployedbyConsultanttoperformtheScopeofWorkassetforthintheattachedAttachmentB,Std—ProfSvcsAgreement-November20, COUNo.___________whichshallincludeallindirectcostsandexpensesofeverykindornature,exceptdirectexpenses.ThedirectexpensesandthefeestobechargedforsameshallbeassetforthinAttachmentB.ConsultantshaltcompletetheScopeofWorkforthenot-to-exceedguaranteedmaximum,evenifactualtimeandexpensesexceedthatamount.4.2Changes.ShouldchangesincompensationberequitedbecauseofchangestotheScope-of-WorkofthisAgreement,thepartiesshallagreeinwritingtoanychangesincompensation.“ChangestotheScope-of-Work”meansdifferentactivitiesthanthosedescribedinAttachment“A”andnotadditionaltimetocompletethoseactivitiesthanthepartiesanticipatedonthedatetheyenteredthisAgreement.4.3Sub-contractorPayment.Theuseofsub-consultantsorotherservicestoperformaportionoftheworkofthisAgreementshallbeapprovedbyCitypriortocommencementofwork.Thecostofsub-consultantsshallbeincludedwithinguaranteednot-to-exceedamountsetforthinSection4.1.4.4TermsofPayment.PaymenttoConsultantforservicesrenderedinaccordancewiththiscontractshallbebaseduponsubmissionofmonthlyinvoicesfortheworksatisfactorilyperformedpriortothedateoftheinvoicelessanyamountalreadypaidtoConsultant,whichamountsshallbedueandpayablethirty(30)daysafterreceiptbyCity.Theinvoicesshallprovideadescriptionofeachitemofworkperformed,thetimeexpendedtoperformeachtask,thefeeschargedforthattask,andthedirectexpensesincurredandbilledfor.InvoicesshaltbeaccompaniedbydocumentationsufficienttoenableCitytodetermineprogressmadeandtosupporttheexpensesclaimed.5.0ASSURANCESOFCONSULTANT5.1IndependentContractor.Consultantisanindependentcontractorandissolelyresponsibleforitsactsoromissions.Consultant(includingitsagents,servants,andemployees)isnottheCity’sagent,employee,orrepresentativeforanypurpose.ItistheexpressintentionofthepartiesheretothatConsultantisanindependentcontractorandnotanemployee,jointventurer,orpartnerofCityforanypurposewhatsoever.Cityshallhavenorightto,andshallnotcontrolthemannerorprescribethemethodofaccomplishingthoseservicescontractedtoandperformedbyConsultantunderthisAgreement,andthegeneralpublicandallgovernmentalagenciesregulatingsuchactivityshallbesoinformed.ThoseprovisionsofthisAgreementthatreserveultimateauthorityinCityhavebeeninsertedsolelytoachievecompliancewithfederalandstatelaws,rules,regulations,andinterpretationsthereof.NosuchprovisionsandnootherprovisionsofthisAgreementshallbeinterpretedorconstruedascreatingorestablishingtherelationshipofemployerandemployeebetweenConsultantandCity.Consultantshallpayallestimatedandactualfederalandstateincomeandself-employmenttaxesthatareduethestateandfederalgovernmentandshallfurnishandpayworker’scompensationinsurance,unemploymentinsuranceandanyotherbenefitsrequiredbylawforhimselfandhisemployees,ifany.ConsultantagreestoindemnifyandholdCityanditsofficers,agentsandemployeesharmlessfromandagainstanyclaimsordemandsbyfederal,stateorlocalgovernmentagenciesforanysuchtaxesorbenefitsduebutnotpaidbyConsultant,includingthelegalcostsassociatedwithdefendingagainstanyaudit,claim,demandorlawsuit.Std—ProfSvcsAgreement-November20,2008PAGE2OF7 _____ConsultantwarrantsandrepresentsthatitisaproperlylicensedprofessionalorprofessionalorganizationwithasubstantialinvestmentinitsbusinessandthatitmaintainsitsownofficesandstaffwhichitwilluseinperformingunderthisAgreement.5.2ConflictofInterest.ConsultantunderstandsthatitsprofessionalresponsibilityissolelytoCity.ConsultanthasnointerestandwillnotacquireanydirectorindirectinterestthatwouldconflictwithitsperformanceoftheAgreement.ConsultantshallnotintheperformanceofthisAgreementemployapersonhavingsuchaninterest.IftheCityManagerdeterminesthattheConsultanthasadisclosureobligationundertheCity’slocalconflictofinterestcode,theConsultantshallfiletherequireddisclosureformwiththeCityClerkwithin10daysofbeingnotifiedoftheCityManager’sdetermination.6.0INDEMNIFICATION6.1InsuranceLiability.WithoutlimitingConsultant’sobligationsarisingunderParagraph6.2ConsultantshallnotbeginworkunderthisAgreementuntilitprocuresandmaintainsforthefullperiodoftimeallowedbylaw,survivingtheterminationofthisAgreementinsuranceagainstclaimsforinjuriestopersonsordamagestoproperty,whichmayarisefromorinconnectionwithitsperformanceunderthisAgreement.A.MinimumScopeofInsuranceCoverageshaltbeatleastasbroadas:1.InsuranceServicesOffice(“ISO)CommercialGeneralLiabilityCoverageFormNo.CG20101001andCommercialGeneralLiabilityCoverage—CompletedOperationsFormNo.CG20371001.2.ISOFormNo.CA0001(Ed.1/87)coveringAutomobileLiability,Code1“anyauto”orCode8,9ifnoownedautosandendorsementCA0025.3.Worker’sCompensationInsuranceasrequiredbytheLaborCodeoftheStateofCaliforniaandEmployersLiabilityInsurance.4.ErrorsandOmissionsliabilityinsuranceappropriatetotheconsultant’sprofession.Architects’andengineers’coverageistobeendorsedtoincludecontractualliability.B.MinimumLimitsofInsuranceConsultantshallmaintainlimitsnolessthan:1.GeneralLiability:$1,000,000combinedsinglelimitperoccurrenceforbodilyinjury,personalinjuryandpropertydamageincludingoperations,productsandcompletedoperations.IfCommercialGeneralLiabilityInsuranceorotherformwithageneralaggregatelimitisused,thegeneralaggregatelimitshallapplyseparatelytotheworkperformedunderthisAgreement,ortheaggregatelimitshallbetwicetheprescribedperoccurrencelimit.2.AutomobileLiability:$1,000,000combinedsinglelimitperaccidentforbodilyinjuryandpropertydamage.Std—ProfSvcsAgreement-November20,2008PAGE3OF7 _____3.Worker’sCompensationandEmployersLiability:Worker’scompensationlimitsasrequiredbytheLaborCodeoftheStateofCaliforniaandEmployersLiabilitylimitsof$1,000,000peraccident.4.ErrorsandOmissionsliability:$1,000,000peroccurrence.C.DeductiblesandSelf-InsuredRetentionsAnydeductiblesorself-insuredretentionsmustbedeclaredtoandapprovedbytheCity.AttheoptionoftheCity,eithertheinsurershallreduceoreliminatesuchdeductiblesorself-insuredretentionsasrespectstotheCity,itsofficers,officials,employeesandvolunteers;ortheConsultantshallprocureabondguaranteeingpaymentoflossesandrelatedinvestigations,claimadministrationanddefenseexpenses.D.OtherInsuranceProvisionsThepoliciesaretocontain,orbeendorsedtocontain,thefollowingprovisions:1.GeneralLiabilityandAutomobileLiabilityCoveraqesa.TheCity,itofficers,officials,employeesandvolunteersaretobecoveredasadditionalinsuredsasrespects;liabilityarisingoutofactivitiesperformedbyoronbehalfoftheConsultant,productsandcompletedoperationsoftheConsultant,premisesowned,occupiedorusedbytheConsultant,orautomobilesowned,hiredorborrowedbytheConsultantforthefullperiodoftimeallowedbylaw,survivingtheterminationofthisAgreement.Thecoverageshallcontainnospeciallimitationsonthescope-of-protectionaffordedtotheCity,itsofficers,officials,employeesorvolunteers.b.TheConsultant’sinsurancecoverageshallbeprimaryinsuranceasrespectstotheCity,itsofficers,officials,employeesandvolunteers.Anyinsuranceorself-insurancemaintainedbytheCity,itsofficers,officials,employeesorvolunteersshallbeinexcessoftheConsultant’sinsuranceandshallnotcontributewithit.c.AnyfailuretocomplywithreportingprovisionsofthepoliciesshallnotaffectcoverageprovidedtotheCity,itsofficers,officials,employeesorvolunteers.d.TheConsultant’sinsuranceshallapplyseparatelytoeachinsuredagainstwhomclaimismadeorsuitisbrought,exceptwithrespecttothelimitsoftheinsurer’sliability.2.Worker’sCompensationandEmployersLiabilityCoverageTheinsurershallagreetowaiveallrightsofsubrogationagainsttheCity,itsofficers,officials,employeesandvolunteersforlossesarisingfromConsultant’sperformanceofthework,pursuanttothisAgreement.StU—ProfSvcsAgreernent-November20,2008PAGE4OF7 COUNo.3.ProfessionalLiabilityCoverageIfwrittenonaclaims-madebasis,theretroactivitydateshallbetheeffectivedateofthisAgreement.Thepolicyperiodshallextendforthecontractperiod.4.AllCoveragesEachInsurancepolicyrequiredbythisclauseshallbeendorsedtostatethatcoverageshallnotbesuspended,voided,canceledbyeitherparty,reducedincoverageorinlimitsexceptafterthirty(30)dayspriorwrittennoticebycertifiedmail,returnreceiptrequested,hasbeengiventotheCity.E.AcceptabilityofInsurersInsuranceistobeplacedwithadmittedCaliforniainsurerswithanA.M.Best’sratingofnolessthanA-forfinancialstrength,AAforlong-termcreditratingandAMB-1forshort-termcreditrating.F.VerificationofCoverageConsultantshallfurnishtheCitywithCertificatesofInsuranceandwithoriginalEndorsementseffectingcoveragerequiredbythisAgreement.TheCertificatesandEndorsementsforeachinsurancepolicyaretobesignedbyapersonauthorizedbythatinsurertobindcoverageonitsbehalf.TheCertificatesandEndorsementsaretobeonformsprovidedorapprovedbytheCity.Wherebystatute,theCity’sWorkers’Compensation-relatedformscannotbeused,equivalentformsapprovedbytheInsuranceCommissioneraretobesubstituted.AllCertificatesandEndorsementsaretobereceivedandapprovedbytheCitybeforeConsultantbeginstheworkofthisAgreement.TheCityreservestherighttorequirecomplete,certifiedcopiesofallrequiredinsurancepolicies,atanytime.IfConsultantfailstoprovidethecoveragesrequiredherein,theCityshallhavetheright,butnottheobligation,topurchaseanyorallofthem.Inthatevent,thecostofinsurancebecomespartofthecompensationduethecontractorafternoticetoConsultantthatCityhaspaidthepremium.G.SubcontractorsConsultantshallincludeallsubcontractorsorsub-consultantsasinsuredunderitspoliciesorshallfurnishseparatecertificatesandendorsementsforeachsubcontractororsub-consultant.Allcoverageforsub-contractorsorsub-consultantsshallbesubjecttoallinsurancerequirementssetforthinthisParagraph6.1.6.2Indemnification.Notwithstandingtheforegoinginsurancerequirements,andinadditionthereto,Consultantagrees,forthefullperiodoftimeallowedbylaw,survivingtheterminationofthisAgreement,toindemnifytheCityforanyclaim,costorliabilitythatarisesoutof,orpertainsto,orrelatestoanynegligentactoromissionorthewillfulmisconductofConsultantintheperformanceofservicesunderthiscontractbyConsultant,butthisindemnitydoesnotapplytoliabilityfordamagesfordeathorbodilyinjurytopersons,injurytoproperty,orotherloss,arisingfromthesolenegligence,willfulmisconductordefectsindesignbytheCity,orarisingfromtheactivenegligenceoftheCity.Std—ProfSvcsAgreement-November20,2008PAGE5OF7 _____“Indemnify,”asusedhereinincludestheexpensesofdefendingagainstaclaimandthepaymentofanysettlementorjudgmentarisingoutoftheclaim.Defensecostsincludeallcostsassociatedwithdefendingtheclaim,including,butnotlimitedto,thefeesofattorneys,investigators,consultants,expertsandexpertwitnesses,andlitigationexpenses.ReferencesinthisparagraphtoCityorConsultant,includetheirofficers,employees,agents,andsubcontractors.7.0CONTRACTPROVISIONS7.1OwnershipofWork.AlldocumentsfurnishedtoConsultantbyCityandalldocumentsorreportsandsupportivedatapreparedbyConsultantunderthisAgreementareownedandbecomethepropertyoftheCityupontheircreationandshallbegiventoCityimmediatelyupondemandandatthecompletionofConsultant’sservicesatnoadditionalcosttoCity.DeliverablesareidentifiedintheScope-of-Work,Attachment“A”.AlldocumentsproducedbyConsultantshallbefurnishedtoCityindigitalformatandhardcopy.Consultantshallproducethedigitalformat,usingsoftwareandmediaapprovedbyCity.7.2GoverningLaw.ConsultantshallcomplywiththelawsandregulationsoftheUnitedStates,theStateofCalifornia,andalllocalgovernmentshavingjurisdictionoverthisAgreement.TheinterpretationandenforcementofthisAgreementshallbegovernedbyCalifornialawandanyactionarisingunderorinconnectionwiththisAgreementmustbefiledinaCourtofcompetentjurisdictioninMendocinoCounty.7.3EntireAgreement.ThisAgreementplusitsAttachment(s)andexecutedAmendmentssetforththeentireunderstandingbetweentheparties.7.4Severability.IfanytermofthisAgreementisheldinvalidbyacourtofcompetentjurisdiction,theremainderofthisAgreementshallremainineffect.7.5Modification.NomodificationofthisAgreementisvalidunlessmadewiththeagreementofbothpartiesinwriting.7.6Assignment.Consultant’sservicesareconsidereduniqueandpersonal.Consultantshallnotassign,transfer,orsub-contractitsinterestorobligationunderalloranyportionofthisAgreementwithoutCity’spriorwrittenconsent.7.7Waiver.Nowaiverofabreachofanycovenant,term,orconditionofthisAgreementshallbeawaiverofanyotherorsubsequentbreachofthesameoranyothercovenant,termorconditionorawaiverofthecovenant,termorconditionitself.7.8Termination.ThisAgreementmayonlybeterminatedbyeitherparty:1)forbreachoftheAgreement;2)becausefundsarenolongeravailabletopayConsultantforservicesprovidedunderthisAgreement;or3)CityhasabandonedanddoesnotwishtocompletetheprojectforwhichConsultantwasretained.ApartyshallnotifytheotherpartyofanyallegedbreachoftheAgreementandoftheactionrequiredtocurethebreach.Ifthebreachingpartyfailstocurethebreachwithinthetimespecifiedinthenotice,thecontractshallbeterminatedasofthattime.Ifterminatedforlackoffundsorabandonmentoftheproject,thecontractshallterminateonthedatenoticeofterminationisgiventoConsultant.CityshallpaytheConsultantonlyforservicesStd—ProfSvcsAgreement-November20,2008PAGE6Of7 Mr.DanielFloresProposalforConstructionMaterialsTestingServices,DowntownStreetscapeProject,Ukiah,CAApril21,2020Page2CompactionTestingBasedontheanticipatedamountofindividualcompactiontestsrequestedintheRFP(35testsontrenchbackfill,45testsonwatermainandservicesbackfill,35testsonaggregatebase,and35testsonasphaltpaving),andthecumulativetotallengthanddepthofutilitytrenches,roadways,andtheamountofworkdaysanticipated,weestimateanaverageof(2)sitevisitsperweek,assumingatotalof(60)sitevisitsfortrenchandroadwaycompactiontesting.Weproposetoprovide2hoursofon-sitesoilscompactiontestingservicesforeachsitevisit.Lateraltrenchescanbetestedforrelativecompactiononarandombasisatthediscretionoftheprojectinspector.Ourtestingtechnicianwillalsoprovidesubgradeandaggregatebasecompactiontestingfortheroadwayimprovementsuponthecompletionofthesewerandwatermainsinstallationoneachofthethreeroads.AllsoilscompactiontestingwillbeperformedinaccordancewithCaltransmethodCT231(nuclearmethod).SubsequentasphaltpavingwillbetestedinaccordancewithCaltranstestmethodCf375(nuclearmethod).Weproposetoperformtheasphaltpavementcompactiontestingonatotalofsixindividualdayswhentheanticipatedtotaldailyquantityofasphaltisatleast300tonsorgreater.MaterialsTestingThetestingtechnicianwillcollectconstructionmaterialssamplesasrequiredintheProjectspecificationsandtransportthemtoourCaltranscertifiedWillitslaboratoryfortestingandanalysis.ThescopeofservicesformaterialstestingrequestedintheRFPwillrequirecompactioncurves(CT216)formaximumdensityandwerecommendtheaggregatebasetobetestedforqualityrequirements(SandEquivalentCT217,andSieveAnalysisCT202).Samplingoftrenchbackfillmaterialforthepurposeofqualitytestingcanbeperformedwhileonsiteforcompactiontestingandleadtimeforlaboratorytestingandreportingoftestresultsaretypicallywithin48hoursofsamplinginthefield.Aminimumofonefullfive-gallonbucketofmaterial,sampledinaccordancewithCaltranssamplingmethodCT125,isrequiredtoensuretheminimumamountofmaterialstoperformlaboratoryqualitytesting.SamplingeventswillbecoordinatedwiththecityofUkiahInspectorand/orthecontractor’srepresentative.Forasphaltpavementcompactiontesting(CT375)werecommendsamplingandtestingtheasphaltonsiteforamaximumdensityanalysis(AASHTOT209)duringpavingoperationstoensuretheproperdegreeofcompactionisachieved.ProposedFeeWeunderstandthattheProjectisprojectedtohaveaconstructionperiodof500workingdays.Becauseconstructionprojectsoftenproceedonaschedulethatisunforeseeable,wehaveestimatedourcostsbaseduponanassumptionthatourscopeofserviceswillbecompletedin66nonconsecutiveworkingdays.Ourestimatedfeesarebasedondailyrates,includingtwohoursonsite,plustravelexpenses,forthenumberofworkingdaysanticipatedforourscopeofworkontheProject.SHNdoesnothaveminimumtimechargespersitevisitandwewillinvoicetheCityonlyfortimespentperformingtherequiredservices.Wherepossible,wewillcombinemultipletasksintoonetriptoreducetestingandinspectioncostsfortheproject.Weproposetoprovidetherequiredservicesonaccruedtimeandexpensesassetforthbelowandthefinalcostwillnotexceed$32,954.Additionaltesting,ifrequired,willbebilledatthedailyrateshownbelow.Thisproposalistobeconsideredafirmofferforaminimumperiodofthirty(30)daysafterthesubmittaldate.SeeAppendixAforSHN’scurrentitemizedhourlyrateandtestingfeeScheduleofCharges.Lcj0
