PARTICIPANT PURCHASE CONFIRMATION
The undersigned Participant hereby subscribes to the following Eligible Contract Purchase and agrees to purchase electric
capacity and energy from NCPA pursuant to the Power Purchase Agreement(PPA)designated below, supplemented and
modified as follows:
a) Seller: NCPA approved Counter-party
b) Purchaser: NCPA
c) Period of Delivery: September 2020-December 2023 as listed in the attached table
d) Schedule(Days and Hours): Same as Above
e) Maximum Delivery: _Total of 12,623 MWH corresponding to quantities in the attached table
f) Delivery Point(s): NP15
g) Type of Product: CAISO Firm Transaction
h) Contract Quantity Maximum Energy: Quantities as shown in attached table or lower amounts as directed by
the Designated Representative prior to the offer due date
i) Contract Price: As shown in attached table
j) Transmission Path for the Transaction: N/A
k) Form of Power Purchase Agreement: Will be from NCPA a1212roved counterparty list.

Except to the extent herein provided for, no amendment or modification to the Agreement shall be enforceable unless
reduced in writing and executed by both Parties. Those persons executing this Participant Purchase Confirmation and the
Parties hereby warrant that they are authorized to do so.
