Introduction
We've produced this proposed Scope of Work and Budget at CITY OF UKIAH request. We've made every
effort to respond with concise,defined deliverables and budgets to ensure all party's goals and
expectations are met.
EV Digital Toolkit Components
The following EV Digital Tool Kit Components are available in the ChooseEV Toolkit. Once you have
selected the tools you would like to purchase, we will develop a custom budget using the pricing table
included in the EV Toolkit Budget Summary section of this document. Tools are licensed annually with a
renewal date that coincides with the Effective Date of the attached SAAS Agreement.

EV Digital Toolkit Configuration & Integration Overview
EV Toolkit Configuration
The EV toolkit requires a variety of fairly simple configuration tasks and can typically be launched
approximately 1-3 weeks after contract execution.The toolkit is modular and various components can be
launched in increments and additional components can be added in the future.General process:
1. Review configuration and integration options
2. Select integration option and determine resource requirements
3. Design integration
4. Page content configuration and adjustment
S. Testing
6. Integrate links in utility website as needed
7. Launch (and promote!)
Integration Optlons
There are various routes we can take to get the EV content integrated into utility web presence.We can
determine the best route during the configuration and integration phase. Integration should not require any
extensive programming work for either party. Integration can be achieved through various routes(one or
more can be utilized simultaneously)—examples:
• Individual pages utilizing our system page template
• Mini site
• Embedded content(iframe)
Fee structure
• Up front configuration and year one licensing cost is billed upon contract execution
• Annual licensing fee for use is billed at the beginning of each 12 month cycle
Custom Content Editing Labor Limits
The ChooseEV Toolkit is designed to be a"lightly managed service," meaning,the annual Fees include
limited update labor support from the ChooseEV team. Our objective is to provide Customers with limited
support on an as-needed basis.We generally do not track support hours, but in order to set expectations
appropriately,we will commit to a guarantee .5 hours per month for Customer requested updates. If
requests exceed .5 hours per month,Company has the right to bill customer at an agreed upon rate of
$120/hour. No billing or fee accumulation will occur without prior approval from Customer. We typically do
not exceed this amount of time with any of our hundreds of utility customers and are happy to connect you
with any existing customer to discuss our services and level of customer service.
Additionally,the ChooseEV system includes a custom content management system (CMS)that Customers
can use to make general updates to text, kWh rates, incentives etc.

Incentive Management Overview
The ChooseEV Toolkit includes a directory of available incentives.This list is regularly managed by ChooseEV
staff, and at minimum,is reviewed quarterly. We do not guarantee the accuracy or completeness of this
incentive information.We manually aggregate this information and are available upon request to add new
information and can edit existing information. Additionally, incentives can be managed directly by
Customers through the ChooseEV CMS.This includes creating custom incentives and turning off/on
incentives included in the system.
Additional Content Expenses
The ChooseEV system includes a set of base content that can be customized in various ways. Font,
formatting and color adjustments are included in the annual Fees, however Customers may need to pay for
any additional assets they would like to utilize in their customization of the experience.This includes custom
imagery, like page background images and or custom iconography or illustrations.

TERMS AND CONDITIONS
DEFINITIONS
Company.Yenter Group Corporation, owner and manager of the ChooseEV software platform.
Customer.CITY OF UKIAH
Services. Company is providing Customer an annual license to use a select set of tools from the ChooseEV"
platform, a customizable, hosted, managed, software as a service("SaaS"), platform to use to deliver
information through the internet.This Agreement for Services is a license to the Customer defined in this
Agreement. Customer may not use the tools and Services to promote offers or deliver information on
behalf of other utilities without written permission from the Company.Services may not be sub-licensed
without express written permission from the Company. Use of Services by additional utilities or other sub-
licensees will require additional license fees for Services.
Third Party.Any Individual or entity not party to this Agreement,as defined in this Definitions Section.
ChooseEV.The ChooseEV platform is a software platform,owned and managed by Yenter Group
Corporation.The platform is licensed to entities and integrated into websites to facilitate communications
about electric vehicles.ChooseEV is a registered trademark of the Yenter Group Corporation.
SAAS SERVICES AND SUPPORT
Subject to the terms of this Agreement,Company will use commercially reasonable efforts to provide
Customer the Services in accordance with the Scope of Work description included in this Agreement.
Subject to the terms hereof, Company will provide Customer with reasonable technical support services
required to maintain system uptime with minimal service interruptions.
IMAGE USAGE LIMITS
The ChooseEV Savings Calculator includes images that are licensed from third parties.These images are
licensed based on their views by unique website visitors on a monthly basis. Company reserves the right to
limit views of images on the Savings Calculator to 2,000 unique views per calendar month. Upon reaching
2,000 unique views in a calendar month,as tracked by Google Analytics,the images can optionally be
removed from the experience, leaving a seamless,elegant,alternative experience for website viewers.

INTELLECTUAL PROPERTY OWNERSHIP
a. Ownership of Work.Customer is engaging in an annual license to use the Services resulting from
this Agreement.Company is providing an annual license for Customer to use the Company-owned
ChooseEV proprietary software platform. Customer retains ownership of all Customer Intellectual Property
as defined in Section (b) below.
b. Ownership of Customer Intellectual Property.As between Company and Customer,any Customer
IP provided to Company by Customer shall at all times remain the property of Customer. Company shall
have no rights in Customer IP, except for the limited right to use Customer IP in connection with the
Services during the term of this Agreement as set forth in the subsection titled License to Customer IP.As
between Customer and Company,all of the following,excluding any Company IP,shall be deemed to be
the property of Customer: (i) Data provided by Customer; (ii)all data and information derived or derivable
from the Services.
C. License to Customer IP.Customer grants to Company a non-exclusive, non-transferable, limited
license to use such Customer IP as Customer may provide to Company from time to time, and to make
derivative works based upon Customer IP,all solely during the term of this Agreement and solely for the
benefit of Customer. Company shall not use Customer IP for any purpose other than that of fulfilling
Company's obligations under this Agreement. Company shall at all times treat Customer IP as Confidential
Information.
d. Ownership of Company Intellectual Property.Customer acknowledges that,as between Company
and Customer,any Company IP is the sole and exclusive property of Company. In the event any Company IP
is incorporated into the Services,then Company hereby grants to Customer a non-exclusive,worldwide
license to use, reproduce, publicly perform, publicly display, and digitally perform such Company IP,as
necessary to use, maintain,and further modify the Services,in any media now known or hereafter
discovered.
e. Third Party IP.Services include the use of intellectual properties owned by Third Parties.This
includes, but is not limited to,the vehicle images and vehicle brands used in the Services. Customer may
not use these Third Party owned images or logos outside of the specific use provided in the Services
without express written permission from the intellectual property owners.
f. Residual Rights. Nothing in this Agreement will prevent Company or its employees from using any
general skills and knowledge gained while providing Work pursuant to this Agreement.
INDEMNIFICATION
Company will indemnify Customer against Intellectual property-related third-party claims or liabilities
associated with the compliant use of the Services defined in this Agreement.Company will not be liable for
any non-compliant Customer uses of Third Party IP.Customer will inform Company of any claim or
correspondence from third-parties regarding accusations of infringement prior to incurring and expenses
associated with such a claim.
The indemnity provisions of this Indemnification Section will not apply to the extent that Services were
modified by Customer or were combined by Customer with items not furnished pursuant to this Agreement
and the Third Party claim or proceeding is brought against Customer solely by reason of that modification
or combination.

LIMITATION OF LIABILITY
Notwithstanding anything to the contrary, except for bodily injury of a person,company and its Companies
(including but not limited to all equipment and technology Companies),officers, affiliates, representatives,
contractors and employees shall not be responsible or liable with respect to any subject matter of this
agreement or terms and conditions related thereto under any contract, negligence, strict liability or other
theory:(a)for error or interruption of use or for loss or inaccuracy or corruption of data or cost of
procurement of substitute goods,services or technology or loss of business; (b)for any indirect,exemplary,
incidental,special or consequential damages; (c)for any matter beyond company's reasonable control;or
(d)for any amounts that,together with amounts associated with all other claims,exceed the fees paid by
customer to company for the services under this agreement in the 12 months prior to the act that gave rise
to the liability, in each case,whether or not Company has been advised of the possibility of such damages.
USE RESTRICTIONS
Customer will not,directly or indirectly: reverse engineer,decompile,disassemble or otherwise attempt to
discover the source code,object code or underlying structure, ideas, know-how or algorithms relevant to
the Services,documentation or data related to the Services; modify,translate,or create derivative works
based on the Services or any Software(except to the extent expressly permitted by Company or authorized
within the Services).
TERM AND TERMINATION
Term.Subject to earlier Termination as provided below,the term of this Agreement is Effective Date of
October 15,2021 and a term of three (3)years,ending October 14,2024.
Renewal Date.This Agreement is scheduled to renew for two(2)Terms as defined in the following
Renewal Date Schedule unless Customer elects to exercise Termination as provided below.
Initial Term:
Year 1:October 15, 2021—October 14, 2022
Renewal Date Schedule:
Year 2: October 15,2022—October 14,2023
Year 3:October 15,2023—October 14,2024
Termination. In addition to any other remedies it may have,either party may also terminate this
Agreement upon thirty(30)days' notice (or without notice in the case of nonpayment), if the other party
materially breaches any of the terms or conditions of this Agreement. No refunded pro-rated payments
will be provided to Customer in the event of early Termination unless Termination is initiated by the
Company.
All sections of this Agreement which by their nature should survive termination will survive Termination,
including,without limitation,accrued rights to payment,confidentiality obligations,warranty disclaimers,
and limitations of liability.

WARRANTY AND DISCLAIMER
Company shall use reasonable efforts consistent with prevailing industry standards to maintain the Services
in a manner which minimizes errors and interruptions in the Services and shall perform the Services in a
professional manner. Services may be temporarily unavailable for scheduled maintenance or for
unscheduled emergency maintenance,either by Company or by third-party providers,or because of other
causes beyond Company's reasonable control.Company does not warrant that the Services will be
uninterrupted or error free; nor does it make any warranty as to the results that may be obtained from use
of the Services. Except as expressly set forth in this section,the Services and implementation services are
provided "as is"and company disclaims all warranties,express or implied, including, but not limited to,
implied warranties of merchantability and fitness for a particular purpose and non-infringement.
INSURANCE
Coverage. Company will maintain the following policies of insurance during the term of this Agreement:
a. Commercial General Liability("CGL") insurance with a total limit of at least one million dollars
($1,000,000) per occurrence(occurrence form policy)for bodily injury, property damage and personal
injury.CGL insurance required by this Agreement shall include, but not be limited to,specific coverage for
contractual liability encompassing the Indemnity Section of this Agreement; premises/operations liability;
and products/completed operations liability. In addition,CGL insurance required by this Agreement shall
contain no exclusions for explosion,collapse or underground hazards.
b. Professional_Liability Insurance with a combined single limit of liability of not less than$1,000,000
per claim.
PAYMENT OF FEES
NCPA will be billed for the Services annually in accordance with the billing process is specified in the
MULTI-TASK SERVICES AGREEEMENT BETWEEN THE NORTHERN CALIFORNIA POWER AGENCY AND
D+R INTERNATIONAL LTD,section 2.1 and D+R will make payment to Company within thirty(30)days of
receiving payment for NCPA.
ASSIGNMENT AND TRASFERABILITY
a. Company. Unless Customer grants prior written consent, Company shall not assign any rights or
delegate any duties or obligations pursuant to this Agreement or transfer or otherwise dispose of this
Agreement or any part of it or its rights,title,and interest in it, nor assign any monies due or to become
due under it. Company may(by contract,operation of law or otherwise)assign this Agreement in full to
a third-party entity that obtains a controlling interest in Company(e.g., by a purchase, including a
transfer of securities or otherwise). Customer reserves the right to Terminate this Agreement in the
event a conflict of interest is created by this assignment.
b. Customer.This Agreement is not assignable,transferable or sublicensable by Customer except
with Company's prior written consent.
MISCELLANEOUS
If any provision of this Agreement is found to be unenforceable or invalid,that provision will be limited or
eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and
effect and enforceable. This Agreement is the complete and exclusive statement of the mutual
understanding of the parties and supersedes and cancels all previous written and oral agreements,
communications and other understandings relating to the subject matter of this Agreement,and that all
waivers and modifications must be in a writing signed by both parties, except as otherwise provided herein.

No agency, partnership,joint venture,or employment is created as a result of this Agreement and
Customer does not have any authority of any kind to bind Company in any respect whatsoever.This
Agreement shall be governed by the laws of the State of Washington without regard to its conflict of laws
provisions
PUBLIC PROMOTION
Customer herby gives Company the right to publicly promote information about this Scope of Work and the
associated services through all traditional media formats.This includes, but is not limited to public
disclosure of information about Customer's use of Company Software and Services though a press release
and a listing of Customer(including logo usage)on Company website.
SERVICES AGREEMENT
This Services Agreement("Agreement") is entered into on this 15th day October 2021(the"Effective
Date") between Yenter Group Corporation,a Washington State Corporation ("Company"), and CITY OF
UKIAH("Customer"). This Agreement includes and incorporates the above Scope of Work description,
as well as the attached Terms and Conditions and contains,among other things,warranty disclaimers,
liability limitations and use limitations. There shall be no force or effect to any different terms of any
related purchase order or similar form even if signed by the parties after the date hereof.

performance information about EV. review tool is powered by EV model information acquired through
