PROGRAM Ukiah C.A.R.E.S. (City Assistance for Relief through _Energy Support) is the City sponsored program that has provided financial assistance to customers' electric bills since the inception of the program in October 1998. Assistance through the Public Benefits Fund provides monetary relief to Iow and moderate-income households for the electric portion of their City utility bills. Once determined income eligible, a household can receive relief in the form of a monthly discount and temporary emergency assistance. The City of Ukiah has contracted with the Salvation Army office since 1998 to determine eligibility for the Ukiah C.A.R.E.S. program that provides these benefits for approximately 600 to 800 of the City's 6,000 residential households per year. The process for a potential recipient is simple. City customers can easily be pre- qualified for relief by making a short phone call to the Salvation Army office. The staff is then able to request that the customer come into the office, confidentially interview them regarding their circumstances, process all of the necessary paperwork, and confirm to the City of Ukiah the customers' eligibility by fax. City staff has experienced an excellent and cooperative working relationship with the Salvation Army staff and recommends that this relationship continue. The three-year extension will be at the same compensation rate as specified in the current contract, which is effective through this August 31st. Staff recommends the City of Ukiah renew the contract with Salvation Army to provide these professional services for the Ukiah C.A.R.E.S. program. SERVICES PROVIDED BY CONTRACTOR. Contractor shall provide the services as specified in the attached Program Descriptions, which are identified as Attachment #1 to this Agreement and incorporated herein by reference. If any provision of this Agreement and the Program Descriptions are inconsistent or conflict the provisions of the Agreement shall prevail: 1.1 Contractor shall provide the following services for the duration of this Agreement: a. b. Under the guidelines listed in Attachment #1, as they are written or revised by the City of Ukiah, determine the eligibility for The Emergency Low Income Assistance and Senior Citizen Low Income Assistance Programs offered by the City's Public Utilities Department. Eligibility determination shall include: i. Interview applicants for City of Ukiah Low Income Assistance Programs ii. Require verification of eligibility including but not limited to income of household, occupancy, age of eligible seniors, documented evidence of any exception to guidelines. Maintain records of all applicants regardless of their eligibility Submit to City of Ukiah, written approval of eligible applicants Submit to City of Ukiah, a summary of all applicants quarterly. i. Summary of all applicants shall include a brief reason for rejection of assistance to facilitate the possible development of future additional programs, or expansion of the current Assistance Programs. 1.2 Ukiah shall have the right at all reasonable times on reasonable notice to Contractor to audit its books, records and accounts pertaining to the City of Ukiah Low Income Assistance programs. Contractor shall maintain financial records sufficient according to generally accepted accounting principles to permit an accurate assessment of its finances and transactions. It shall maintain these records in a location reasonably accessible to Ukiah and for a three (3) year period following each of the fiscal years that the records cover. 2. TIME OF PERFORMANCE. Contractor shall provide the services as requested by Ukiah in accordance with a schedule agreed upon as to each service requested. 3. TERM. The term of this Agreement shall cover the period, beginning on September 1,2004, and ending on August 31, 2007, unless extended by mutual written agreement of the parties or terminated as provided in paragraph 9. 4. COMPENSATION. Ukiah shall pay Contractor in accordance with the program budget, which is $35,000.00 for the life of this agreement and paid on a quarterly basis at a rate of $2,917.00. Compensation shall be prorated from the effective date of contract through September 30, 2004 at the rate of $972.00 per month and thereafter, quarterly payments will be made during the months of October, January, April and July until the termination of the contract. 5. METHOD OF PAYMENT. Billings and payments shall be made on a quarterly basis. 6. CONFIDENTIALITY. Contractor hereby agrees that it, and its officers, agents and employees will not disclose or make any other use of information about the business methods, operations, costs, proposals, budgets, and projections of Ukiah or of any other information of a confidential nature pertaining to Ukiah, without the prior written consent of the Finance Director. 7. INDEMNIFICATIONS AND INSURANCE. 7.1 Indemnification. Contractor shall indemnify and hold harmless Ukiah and its officers, agents and employees from and against any claim, loss or damage, including the legal and other costs of defending against any claim of damage or loss by third parties, which rises out of the Contractor's performance under this Agreement, except for claims, losses or damages resulting from the sole and exclusive negligence or other wrongful conduct of Ukiah or its officers, agents and employees. 7.2 Insurance. Contractor shall provide to the City of Ukiah proof of valid liability insurance that meets City of Ukiah requirements. . OWNERSHIP AND RETURN OF DOCUMENTS AND EQUIPMENT. Upon termination of Contractor's services to Ukiah under this Agreement, Contractor agrees to return all written and other materials, which are not matters of public record, and equipment, furnished to it by Ukiah. Any documents, excluding curriculum materials, created by Contractor as part of providing services under this Agreement shall be the property of Ukiah and shall be furnished to Ukiah upon request. 9. TERMINATION. This Agreement may only be terminated by Ukiah: 1) for breach of the agreement; 2) because funds are no longer available to pay Contractor for services provided under this Agreement; or 3) Ukiah has abandoned and does not wish to complete the project for which Contractor was retained. Ukiah shall notify Contractor of any alleged breach of the agreement and of the action required to cure the breach. If Contractor fails to cure the breach within the time specified in the notice, the Agreement shall be terminated as of that time. If terminated for lack of funds or abandonment of the project, the Agreement shall terminate on the date notice of termination is given. Ukiah shall pay the Contractor only for services performed and expenses incurred as of the effective termination date. In such event, all finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs and reports, excluding curriculum materials, prepared by the Contractor under this Agreement shall, at the option of Ukiah, become its property and the Contractor shall be entitled to receive just and equitable compensation for any work satisfactorily completed hereunder, subject to off-set for any direct or consequential damages Ukiah may incur as a result of Contractor's breach of contract. Contractor shall have the right to terminate this Agreement on 60 days prior written notice to Ukiah. In the event of such termination, Ukiah shall be entitled to reimbursement for any excess payments for services or to private payments as appropriate. 10. MODIFICATION OF AGREEMENT. Ukiah may, from time to time, request changes in the scope of the services of the Contractor to be performed hereunder. Such changes, including any increase or decrease in the amount of the Contractor's compensation, which are mutually agreed upon by and between Ukiah and the Contractor, shall be incorporated in written amendments to this Agreement. To be effective, all such changes as referred to in this section must be agreed upon in writing by both parties to this Agreement. 11. ASSIGNMENT. The Contractor shall not assign any interest in this Agreement, and shall not transfer any interest in the same (whether by assignment or novation), without the prior written consent of Ukiah. Contractor shall also obtain Ukiah's prior written approval of any significant changes in Contractor's or employees who provide services under this Agreement or whose services affect its performance under this Agreement. 12. APPLICATION OF LAWS. The parties hereby agree that all applicable Federal, State and local rules, regulations and guidelines not written into this Agreement shall hereby prevail during the period of this Agreement. 13. INDEPENDENT CONTRACTOR. It is the express intention of the parties hereto that Contractor is an independent contractor and not an employee, joint venturer, or partner of Ukiah for any purpose whatsoever. Ukiah shall have no right to, and shall not control the manner or prescribe the method of accomplishing those services contracted to and performed by Contractor under this Agreement, and the general public and all governmental agencies regulating such activity shall be so informed. Those provisions of this Agreement that reserve ultimate authority in Ukiah have been inserted solely to achieve compliance with federal and state laws, rules, regulations, and interpretations thereof. No such provisions and no other provisions of this Agreement shall be interpreted or construed as creating or establishing the relationship of employer and employee between Contractor and Ukiah. Contractor shall pay all estimated and actual federal and state income and self- employment taxes that are due the state and federal government and shall furnish and pay worker's compensation insurance, unemployment insurance and any other benefits required by law for its employees. Contractor agrees to indemnify and hold Ukiah and its officers, agents and employees harmless from and against any claims or demands by federal, state or local government agencies for any such taxes or benefits due but not paid by Contractor, including the legal costs associated with defending against any audit, claim, demand or law suit. Contractor warrants and represents that it is a properly licensed organization with a substantial investment in its business and that it maintains its own offices and staff, which it will use in performing under this Agreement. 14. GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any legal action concerning this Agreement must be filed and litigated in the proper court in Mendocino County. 15. SEVERABILITY. If any provision of the Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force and effect without being impaired or invalidated in any way. 16. INTEGRATION. This Agreement contains the entire agreement amount the parties and supersedes all prior and contemporaneous oral and written agreements, understandings, and representations among the parties. No amendments to this Agreement shall be binding unless executed in writing by all of the parties. 17. WAIVER. No waiver of any of the provisions of this Agreement shall be deemed, or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. 18. NOTICES. EMERGENCY ASSISTANCE PROGRAM A City of Ukiah utility customer can receive up to $350 maximum each twelve-month period (whichever comes first*). The non-electric portion of the household's utility bill must be paid prior to receiving the Emergency Assistance benefit. *If a customer's electric charges do not equal or exceed $350- at the time of the first eligibility period, they may re-apply and become eligible for the remaining balance of the maximum benefit before the end of the twelve-month period. For example, if a customer is eligible to receive emergency funds in the amount of $160- in January and has emergency needs in August of that same year, they may re-apply for a benefit of $190- as long as they meet the eligibility guidelines. The following set of circumstances may be taken into consideration to allow for energy assistance as exceptions to the guidelines. 1. An ENERGY EMERGENCY must be present (applicant has received a Delinquent or Notice of Termination with disconnection of power eminent and as a result of income and assets is unable to pay his/her electric bill in installments), a. Exceptions to this guideline include: i. Unexpected repair or replacement of water heater/refrigerator or heater that created an unusually high electric bill is present. ii. This customer could qualify for assistance without being on a Delinquent or Notice of Termination. . Applicant is unable to complete direct payment amortization to the City of Ukiah. It is possible and acceptable that a customer will contact TSA (The Salvation Army) prior to attempting payment arrangements with City of Ukiah Customer Service Department. . a. b. A. "An emergency response", as used herein and in article 8, chapter 1, part 1, division 2 of the Government Code (commencing with section 53150), means any response by the City's Fire or Police Departments to an incident caused by a driver operating a vehicle under the influence of alcohol and/or drugs, including a response by an emergency vehicle, such as, but not limited to, a police car, fire truck or ambulance. B, Co D. "Incident" means an accident or other emergency, involving one or more vehicles and actual or imminent property damage or personal injury, including death. "Expense of an emergency response", as used herein, means reasonable costs incurred by City departments in making an emergency response, including the salaries and associated overhead of providing police, firefighting, rescue and/or emergency medical services during the response, a reasonable charge for the cost of emergency vehicles used during the response, and the cost of any consumable supplies used during the response. For purposes of this Section, a person is under the influence of an alcoholic beverage or any drug, or the combined influence of an alcoholic beverage and any drug, when as a result of drinking an alcoholic beverage or using a drug, or both, his or her physical or mental abilities are impaired to a degree that he or she no longer has the ability to operate a motor vehicle with the caution characteristic of a sober person of ordinary prudence under the same or similar circumstances. For purposes of this Section, the presumptions described in sections 23152 and 23155 of the Vehicle Code shall apply. E. In no event shall one person's liability for an emergency response exceed one thousand five hundred dollars ($1,500.00). However, if two (2) or more persons have liability under this Section for the expense of a single emergency response, their combined liability may exceed one thousand five hundred dollars ($1,500.00). Citygate has reached its contract funding limit for services under the initial agreement that included researching property and sales tax data within the City limits and surrounding boundaries, holding a Council workshop regarding annexation strategy and procedures, and meeting with Council sub-committee members to discuss a strategy for future annexations. The services outlined in the contract addendum would assist the City with negotiations of an annexation revenue sharing and tax sharing agreement with Mendocino County. The project would include three onsite negotiation sessions using the services of Mr. Braitman, who is well qualified in the issues of annexation and negotiating mutual agreements. Mr. Braitman would meet with the subcommittee to develop the final strategy and philosophy on annexation, with the County CEO and then with the City and County subcommittee council and board members to discuss a strategy and possible tax agreement. Negotiating sessions would be billed at $3,250.00 per session, which would include all of Mr. Braitman's fees and expenses. PROJECT SCOPE AND OBJECTIVE The scope of the project includes up to three discrete on-site negotiating sessions. DeRoos, CMC, President of Citygate Associates and Project Director, has over 20 years experience as a consultant to local government, preceded by 5 years as an assistant to the City Administrator. He is the former Deputy Director of the California Redevelopment Association, and has extensive professional knowledge and experience in community and economic development..lis the Project Director, he will ensure that the resources of the firm are dedicated to successfully completing the project on time and budget, and ensure that all work products meet Citygate 's standard of quality, and the expectations of the City of Ukiah. Mr. Robert Braitman, Project Manager, is a Principal with Braitman and Associates, a firm that provides governmental organization, jurisdictional relations and fiscal analysis. Mr. Braitman has 34 years of experience as a local government administrator in budgeting, local government reorganizations, land use planning and regulation, including more than eleven years of professional consulting experience performing and implementing reviews of local government agencies and functions. Mr. Braitman will be the Lead Consultant on this project, and will provide the on-site and off-site negotiation support to the City of Ukiah. Ms. Lois Standley, Project Consultant, is the former Auditor for Del None County, and is Citygate's Financial Services Manager. Ms. Standley will conduct the necessary research and analysis to support the City's negotiations, under the direction of Mr. Braitman. PROJECT SCHEDULE AND FEES The tasks of Citygate's proposal involve a definitive scope and deliverables, and are therefore budgeted on a fixed price basis. Each negotiating session will be budgeted and billed on a task completion basis. We have estimated the necessary number of Robert Braitman's hours required to conduct each on-site negotiating session, the related on-site activities to support and facilitate the negotiations, and the necessary off-site preparation efforts. Up to three negotiating sessions are proposed, and include all of Robert Braitman's fees anticipated with each negotiating session. The City of Ukiah is a member of the county partnership, the Homeless Services Planning Group (HSPG) and has been involved in supporting shelter and service activities for the area's homeless families and individuals for many years. In late May the Ford Street Project, a community based organization located in Ukiah, will open a 64 bed shelter for homeless families and individuals. The shelter project began in 1997 and the City has been a partner in the project since its inception. It is clear that one of the primary unmet services needs of the homeless in Mendocino County is dual diagnosis treatment for those with mental illness and serious substance abuse problems. Ford Street and the Ukiah Community Center have long histories of housing, treating, and serving the area's homeless. Funding this grant proposal would fill a major gap in the current system of care for homeless adults. Two thirds of the proposed treatment program, if funded, will be based at the Ford Street Project (FSP) and the Ukiah Community Center (UCC) in Ukiah (the FSP Coast Community Center would manage a smaller version of the treatment program in Fort Bragg). Currently, out of 78 adult client participants of the Supportive Housing Program (SHP) in Ukiah, them are 31 diagnosed with these co-occurring disorders, (i.e. 40%). Ford Street Project's SHP program and the County Mental Health Department provide a 'dual diagnosis support group" .for homeless adults with co-occurring disorders and have since 1995; however, a state-of-the-art dual diagnosis treatment program has never existed in the county. The grant proposal under development would proVide intensive case management (from UCC) and an integrated dual diagnosis treatment program for residents of the new Buddy Eller Center homeless shelter, and other SHP participants with these disorders. i have attached an outline of the grant proposal, which will be submitted to SAMHSA on May 21st, .and a draft letter of support, for your convenience. Justification: It is estimated that they are 600,000 people homeless on any given night in the U.S.A. Persons with substance abuse disorders have an elevated risk for homelessness and for being homeless for long periods. Persons who are homeless have an elevated dsk fo~ infectious diseases associated with substance abuse, i.e., HIV/AIDS and hepatitis. One half of homeless adults have histories of alcohol dependence and one- third have histories of drug abuse. 20- 25 % of homeless adults have lifetime histories of serious mental illness. Between 10 - 20% have a co-occurring substance abuse and mental health disorder. Planned Project: If funded, this project would provide an integrated dual diagnosis treatment program provided by a clinical team co-located at UCC and the Ford Street Project in Ukiah. The team would consist of 1.5 FTE~ Case managers at UCC, 1.5 F.T.E. certified alcohol/drug counselors with special training in integrated dual diagnosis treatment at Ford Street Project, and a .8 F.T.E. clinician, also at Ford Street. The clinician would be.licensed and would provide diagnostics to program applicants, as well as clinical supervision to the counselors and Case managers. It is expected that most applicants to the program would be from the Buddy Eller Center homeless shelter. In addition, one of the project objectives is that 50% of those enrolled in the program will fit the HUD definition of "chronically homeless''2. Of this year's 289 winter shelter residents, 125 self. reported they fit the HUD definition of "chronically homeless" (43%). 6. This program would include an outside evaluator. It is projected that the program would serve approximately 40 - 50 homeless people a year. The primary program goal is to assist homeless achieve and maintain residential stability. ~ F.T.E. The Construction Manager (CM) serves as the primary point of contact for the administration of the construction contract, providing oversight and monitoring of the day-to-day construction activities, coordinating communications and facilitating problem solving between the Project Manager, contractor, design engineer, materials testing personnel, regulatory agencies, and the public. The CM assures that the work is properly inspected, reviewed and documented, tracks project construction costs, anticipates changes and related costs, and then assures that implementation of changes is completed in the most cost effective and timely manner. The CM monitors progress through analysis of the Critical Path Method schedule provided by the Contractor, analyzing whether delays are within or outside of the Contractor's control, and whether resulting costs are compensable or non compensable. The CM provides necessary information to the Project Manager in critical decision making matters. A team of five evaluators including representatives from the Public Works and Public' Utilities departments evaluated the proposals. The team reviewed and ranked each proposal based on evaluation criteria specified in the Request for Proposal document. OEMC received the highest evaluation score, 83.4 out of a possible 100 points. Their proposal had the highest number of inspection hours, the highest percentage of inspection hours to total project hours and the lowest average cost per hour. OEMC had the second lowest proposal cost estimate. The past projects listed as references in OEMC's proposal are very similar in size and scope to Ukiah's WSIP and include concrete water reservoirs, pump stations, water treatment plant upgrades and electronic supervisory control and data acquisition (SCADA) systems. The OEMC on-site construction inspector, currently living in San Francisco, would relocate to Ukiah for the duration of this project. Staff believes OEMC has the requisite experience and qualifications and offers the City the best value for construction management services for the WSIP. Therefore, Staff is recommending that the City Council authorize the City Manager to negotiate the final terms and enter into a contract with Owen Engineering and Management Consultants for the services outlined in the Request for Proposals Construction Management Services for the Water System Improvement Project. Copies of the recommended proposal from OEMC are available for City Council review. AGENDA SUMMARY ITEM NO. 9c DATE: May 19, 2004 REPORT SUBJECT: DISCUSSION AND POSSIBLE ACTION REGARDING APPOINTMENT PROCESS AND TERMS FOR THE AIRPORT COMMISSION According to Ukiah Municipal Code Section 1101, the Ukiah Airport Commission shall consist of five members with three-year appointments and staggered terms. Staff has conducted extensive research of the Airport Commission appointments and terms of office, and has determined that an error regarding terms occurred sometime in 1996 after the Airport Commission membership was reduced from seven to five members. It has been determined that, with the exception of terms currently held by Commissioners Fowler and Beard, the sequence of terms expiring since that time were found to be in error, and subsequent appointments (terms) continued in that manner. Other than Commissioner Beard's term, one other term should expire in the year 2005. The program provides matching funds up to 50% of the cost of improvements with a maximum funding of $10,000 per application. The purpose of the program is to eliminate physical and economic blight by leveraging private investment to upgrade the existing building stock and reduce vacancies by improving storefront appearance. The program was originally limited to the central core area of downtown properties, and has had significant success in prompting the improvement to numerous buildings along School, State, and Main Streets. In response to property and business owner requests in November 2000, the Agency expanded the Facade Program's boundaries on State Street, north to Magnolia Street and south to Talmage Road; and Main Street, north to Norton Street and south to Gobbi. Rda Director Staff has recently received two requests to once again extend the boundaries at both the north and south ends of State Street. This expansion would extend the boundaries to the city limits along State Street. There are several aging strip centers and individual buildings constructed in the 1950s and 60s lacking in landscaping and physical character and are in need of architectural upgrades. These buildings serve as the visual entry to the commercial core of town. In addition, there have been funds available in the account at the end of each fiscal year since the program's expansion, which could have been used to renovate additional buildings if the program area were larger. Staff believes the expansion of the Facade Program to include the remaining commercial buildings along State Street is consistent with the intent of the Facade Program and is recommending adoption of the Resolution expanding the boundaries. RESOLUTION OF THE UKIAH REDEVELOPMENT AGENCY AMENDING THE FACADE IMPROVEMENT PROGRAM WHEREAS, on September 2, 1992 the Ukiah Redevelopment Agency adopted Resolution No. 93-2 establishing the Facade Improvement Program; and WHEREAS, on November 15, 2000 the Redevelopment Agency expanded boundaries for the Facade Improvement Program; and WHEREAS, properties and structures requiring architectural and visual upgrades exist outside the current Facade Program boundaries but within the Redevelopment Project Area; and WHEREAS, it is consistent with the goals and objectives adopted in the Redevelopment Plan to expand the boundaries of the Facade Program in the pursuit of elimination of blight within the entire Redevelopment Project Area. NOW THEREFORE BE IT RESOLVED THAT the Redevelopment Agency Facade Improvement Program boundaries shall be expanded to include all properties fronting State Street.
