RESOLUTION OF THE CITY COUNCIL OF THE CITY OF UKIAH
ADOPTING MEMORANDUM OF UNDERSTANDING BETWEEN THE
CITY OF UKIAH AND THE MANAGEMENT UNIT
WHEREAS, the Employee/Employer Relations Officer has met and conferred in
good faith with representatives of the Management Unit; and
WHEREAS, a Memorandum of Understanding for the term of October 1, 2003 -
September 30, 2004 has been arrived at; and
WHEREAS, said Memorandum of Understanding has been presented to the City
Council for its consideration.
NOW, THEREFORE, BE IT RESOLVED that this Memorandum of Understanding
is hereby adopted and the Employee/Employer Relations Officer is authorized to enter
into this Agreement.

MEMORANDUM OF UNDERSTANDING
2003 - 2004
This Memorandum of Understanding is entered into pursuant to the Meyers-Millias-Brown
Act (California Government Code Section 3500, et. seq.) and applicable ordinances and
resolutions of the City of Ukiah, between the City of Ukiah (hereinafter City) and the
Management Unit (hereinafter Unit). As a result of meet and confer sessions, the City and
Unit have agreed to the following understandings.
Term
The term of this Agreement shall be one (1) year,- effective October 1, 2003, through
September 30, 2004. All benefits shall be retroactive to the first full pay period in October
2003, unless specifically stated otherwise.

1. Vacation Accrual
Effective the first full pay period in October 2003, and continUing each year
thereafter, five (5) additional vacation days shall be credited lump sum to' each
Unit member on the first full pay period of October. Unit members may cash out
up to two (2) weeks of vacation when they are within two pay periods of reaching
their maximum vacation accrual, limited to two (2) times per fiscal year.
Effective the first full pay period in October 2003 the Management Unit vacation
accrual schedule has been amended as follows:

9-15 years of service
15 + years of service
6.2 hours per pay period
7.7 hours per pay period
8.4 hours per pay period
Health Insurance Contribution
338.4 hours maximum
416.4 hours maximum
452.8 hours maximum

Effective the first full pay period in October 2003, the City agrees to increase the flex
plan dollars for Management Unit members by $50.00 per pay period.
Management Incentive Pay
Effective the first full pay period in October 2003, the City agrees to increase the
Management Incentive Pay from thirteen (13) days per fiscal year, to fifteen (15)
days per fiscal year.
4. Salary_
· Due to'the City's current fiscal condition, and in view of proposed further.
deductions of State revenue to California cities, the City of Ukiah is unable to
approve any cost of living increase upon ratification of this agreement.. The City
will, however, review the fiscal situation again on April 1,2004 to determine 'if the
fiscal condition has changed, and' if a 2% cost of living increase can be granted
retroactively to the first full pay period in October 2003.
CONTINUATION
The City and the Unit agree that all conditions of employment established' by City
policy, including all conditions affecting wages, hours, and working conditionS that
are not specifically addressed in this Memorandum of Understanding shall continue
in effect and shall not be affected by the terms of this Memorandum of
Understanding.
The .value or availability of the benefits provided in the Memorandum of
Understanding as originally worded or as amended from time to time may depend
on their tax treatment by the state or federal government or the decisions of other
government agencies or departments, such as, but not limited to, the Public
Employees Retirement System. The City will endeavor to obtain the most favorable
treatment legally possible from these other governmental entities. However, the
City makes no representation concerning the value of such benefits to unit members
or how they will be taxed or otherwise treated by other agencies or departments.
The City's obligations under this Memorandum of Understanding are limited to the
direct cost of providing the salary and benefits as described in the Memorandum of
Understanding. The City shall have no additional financial obligation, even if the tax
or other treatment of such salary or benefits by other agencies or departments
reduces or eliminates their value to the employee.
This Memorandum of Understanding is ratified and adopted pursuant to the
recommendations of the following representatives this ~ day of

ADDENDUM TO MEMORANDUM OF UNDERSTANDING
2003-2004
Between the City of Ukiah and the Management Unit
November 7, 2003
The 40 hours of vacation time, added annually to each member's vacation accrual upon
the first full pay period of October, shall be included in the determination of eligibility for
cash out of vacation time.
The 40 hours of vacation time for the first year following MOU adoption shall be added
to each member's account on the second full pay period following adoption of the MOU.

SUBJECT: Management MOU 40 hours Vacation addition procedure

The 40 hours of vacation for Management employees per Management
MOU will be added on the first full pay period following the MOU effective
date.
Due to the payroll software vacation calculation process, those Management
employees that are nearing their maximum vacation accrual will be allowed
to request a Vacation Buyout by submitting a PAF for the first full pay
period following the MOU effective date, even if they have already used
their 2 Vacation Buyouts under the old MOU. Then their 40 hours vacation
per the Management MOU will be added on the second full pay period
following the MOU effective date. This will insure that no vacation time
will be lost due to having reached the maximum vacation accrual.
Management employees are advised in future years to monitor their vacation
balances and request Vacation Buyouts if appropriate, to allow the annual
Management MOU vacation accrual, the first full pay period in October, to
be credited in full with no loss due to over accrual.
