RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF UKIAH AUTHORIZING MAYOR AND CLERK TO
SIGN AGREEMENT (FELIX REALTY AGREEMENT)

BE IT HEREBY RESOLVED THAT:
The Mayor and Clerk are authorized to sign, on behalf
of the City of Ukiah, the agreement with Felix and Sloss for
the purchase of assessors parcel #2-261-04.
PASSED AND ADOPTED this 1st day of August, 1979 by the

AGREEMENT
JOSEPH FELIX, STANLEY M. FELIX, MORRIS
BROWN REALTY COMPANY AND CITY OF UKIAH
WHEREAS, the City of Ukiah, hereinafter called "City,"
wishes to.participate in the development of facilities for
off-street parking, and
WHEREAS, Joseph Felix, Stanley M. Felix, and Morris
Brown Realty Company, a California corporation, hereinafter
called "Felix'', wish to transfer certain real property to
City which will be dedicated to off-street parking,
NOW, THEREFORE, in consideration of the mutual coven-
ants, promises, and agreements herein contained, the parties
mutually agree as follows:
1. For the total sum of Seventeen Thousand Dollars
($17,000.00) Felix shall sell to City that certain real
property commonly known as Assessor's Parcel #2-261-04.
2. Felix shall, prior to transfer of the above parcel
to City, remove therefrom all improvements to the real
property so that at the time of transfer real property in
question will be bare ground.
3. Felix shall vest fee title in the City of Ukiah,
a municipal corporation, free and clear of any and all
encumbrances, excepting only those listed as items 1, 2,
and 3 in the preliminary title report issued by First
American Title Company of Mendocino County in its escrow
#~EN 81127LH dated May 7, 1979.
4. City shall deposit into escrow account #MEN 81128LH
of First American Title Company of Mendocino County the
total sum of Seventeen Thousand Dollars ($17,000.00) upon
execution of this agreement by Felix. Said escrow shall
close within three (~') days after Felix gives writ~ten notice

to buyer's City Manager that the requirements of paragraphs
2 and 3'have been met.
5. City shall develop Assessor's Parcels 2-26~-04 and
2-261-05 by providing asphalt paving and other improvements
so that lots are available for public parking.
6. City shall hold available for public parking the
above-referenced parcels, without charging any users' fees
.of any kind, for a period of not less than twenty (20) years.
Said use .will, however, be restricted to the extent that a
two-hour-~time limit shall apply to users of the lot, said
limit to be properly enacted by the City Council of the
City of Ukiah.
7. City shall hold Felix harmless from and defend and
indemnify Felix for any costs, fees (including attorney's
fees) and for judgments or monies paid to third parties by
reason of the assertion of any claim against Felix for
relocation costs or expenses incurred by the parties from.
whom Felix acquired title to Parcel 2-261-04.
8. The obligations uQder this agreement shall be bind-
ing upon the heirs, successors and assigns of the parties.
IN WITNESS WHEREOF City and Felix have caused this agree-
ment to be executed in duplicate on the dates stated below.
