This Statement of Work defines the agreement and scope of services to be performed by Chouinard $ Myhre, Inc. (CMI) for
City of Ukiah (Client).
Objective
Client has requested CMI to setup an IBM I V71113 test partition on CMI hardware, restore their data and provide remote access
for user testing.
Service Details
CMI shall provide Client the following services:
Certified IBM System I Architecture and Engineering Services.
• Certified IBM System I Administration and Support Services.
The scope of work Includes the following:
Planning
• Project timelines, scheduling, and logistics.
• Identify key Client project team members to work with the CMI team.
• Review the work streams and phases for this engagement,
• Identify and agree to key Client activity completion dates.
• Confirm availability of appropriate facilities including, but not limited to, meeting rooms, work locations, whiteboards,
projectors, special access needs, any other pertinent information needed prior to CMI consultant arriving onsite.
• Create worksheet detailing IP address and/or hostnames for each system and service being installed ...
Test Environment
• Build base V7R3 partition on CMI Power8 server
Restore customer data onto V7R3 partition
• Provide remote access to test applications
Documentation
• None
Deliverables
• Customer data restored on CMI server and remote access provided for 5 business days.

Client will have three (3) business days to review deliverables and document any requested updates.
• If the feedback Is not provided within this time frame, the deliverable is considered accepted and CMI obligations
under this SOW complete.
• CMI will have three (3) business days following rece'pt of the feedback to make the requested changes, or provide
Client, a response noting when feedback or updates will be provided.
The deliverable Is considered accepted once request updates are provided.
• Email approvals are considered an acceptable form of 'in writing' deliverable acceptance for the purposes of this
SOW.
CMI shall have fulfilled its obligations under this SOW when any of the following first occurs:
• Completion of delkverable(s).
• Official handoff of deliverables to Client's designated project manager.
• Client or CMI terminates this SOW in accordance with the provisions outlined in this document.
Client Responsibilities:
The responsibilities listed in this section are in addition to those responsibilities specified in the Agreement, and are to be
provided at no charge to CMI. CMI's performance Is conditioned upon the following responsibilities being fulfilled by Client.
Client agrees that delays In performance of its responsibilities may result in additional cost and/or delay of the completion of
the project and that Client, and not CMI is responsible for such costs.
Client will:
• Provide CMI an electronic copy of any Security or Governance policy or standard relating to this implementation to
ensure the design meets Client standards and control objectives.
• Designate a competent employee or employees within its senior management who will make all management
decisions and Implementation decisions with respect to this project In a timely manner.
• Ensure that its staff is available to provide such assistance, as CMI requires, for completing the Services. Client will
ensure that Its staff has the appropriate skills and experience.
• Provide Information and materials reasonably required to enable CMI to provide the Services within one business day
of request from CMI Client agrees that all information disclosed or to be disclosed to CMI is and will be, to the best of
Client's ability, true, accurate and not misleading in any material respect. CMI will not be liable for any loss, damage
or deficiencies in the Services arising from Inaccurate, incomplete, or otherwise defective information and materials
supplied by Client.
• Provide / procure all hardware and software required for the successful execution of the Services detailed in this
SOW as specified by CMI. Ensure that the software Is properly licensed to run on the hardware utilized for this
project.
• Ensure Client has appropriate agreements in place with third parties to enable CMI to perform the Services under this
SOW. Where Client is using or providing CMI with third party information, support, or materials for a project including,
but not limited to, where you are employing other suppliers whose work may affect CMI's ability to provide the
Services. Unless specifically agreed to otherwise in writing, Client will be responsible for the management of the third
parties and the quality of their input and work. Except to the extent CMI specifically agrees otherwise in this SOW,
Client is solely responsible for any third party hardware, software, or communications equipment used in connection
with the Services.
Assumptions
Client and CM1 agree that any change to the following assumptions may result in an adjustment in the rate(syprice(s) and/or
timing of the Services. Any changes to this SOW are subject to the change control process set forth In this SOW and must be
agreed upon by the parties and authorized in writing by the Client:
• Work will be remotely and will be done during business hours Monday through Friday between gam and 5pm, local
time, except holidays. Remote personnel may work hours other than those defined as normal business hours to
accommodate their travel schedules and time zones.
• Services pricing is based upon a contiguous series of project activities. Material delays or gaps introduced into the
project by Client may result in additional services charges. A material delay is defined as a delay lasting longer than
one day.
• There are no hours allocated in this estimate for commercial software product or hardware product support resolution.
Any time spent on product support resolution will result in a Change Request.
• Implementation will not be delayed if Client resource(s) Is unavailable for Knowledge Transfer / Training at any time
during the engagement.
Constraints
• Non-availability of resources that are beyond either party's control, such as natural disaster or family death, shall not
affect rate(s)fpdoe(s).

Data Content and Security
• Client is solely responsible for the content of any data file, selection and ,mplementation of controls on Its access and
use, and security of the stored data.
• Client is responsible for at' data backup and restore processes.
Duration
The expected start date for this project is March/April 2018. This date is contingent upon the acceptance of this SOW prior to
that date, the readiness of the Client team, and the availability of CMI resources to Initiate the project.

*Note: CMI is performing tasks under this SoW on a fixed fee basis.
Any variances in scope, revisions, or changes requested by Client and due to Client change of direction or inclusion of further
work once the project has commenced, may result In additional work and additional fees. If this arises, Client will be provided
with an updated SoW or Change of Scope (CoS) document for written approval. Client agrees that in this event, Client will be
billed for additional services.
• Work will be billed on net 30 terms.
• A signed SoW and PO Is due prior to the scheduling of resources.
• Quote is valid for 30 days from date of issue.
• SoW can be terminated with written notice from Client or CMI at any time.
Fees and Payment
• Client agrees to pay all fees specified in this SoW.
A minimum of 21 days' advance notice Is required for air travel. Actual expenses may Increase significantly if this
policy is not adhered to.
• Invoices are payable upon receipt.
• Client shall be responsible for all applicable taxes arising from the services.
• CMI may suspend service If Client has failed to pay any undisputed invoice within thirty (30) days of recelpt.
Unpaid invoices will be subject to a monthly service charge which is the lesser of one and one-half percent (11/2%) per
month or the highest rate allowed by law.
Travel and Expenses
CMI expects th-s to be a completely remote engagement and the services outline above will be performed remotely or via
VPN. Any travel time incurred during this SoW will be billed at $100 per hour plus associated expenses, including mileage,
parking and tolls will be invoiced on a monthly basis until completion of the project. Actual expenses, without markup, will be
billed. If requested, submission of expense receipts can be included.
Cancellation Fee and Delays
CMI reserves the right to levee prepayment of services or a Cancellation Fee in the event the customer is not proactive in
communications. 25% of the total maximum fee If delayed /canceled ten (10) business days or less before the beginning of

the agreed start date. 50% of the total maximum fee If delayed l canceled five (5) business days or less before the beginning
of the agreed start date. Mid project delays greater than 5 working days may Incur an additional charge of $2500.00 a week.
Employee Solicitation/Hiring
During the period beginning on the date of Acceptance of Statement of Work ("Agreed to Date", below) and ending nine
months after the completion of this project, Client agrees not to solicit for employment any CMI employee or contractor who
performed services on this project for Client without the prior written consent of CMI management. Should violation of this
section result in the hire by Client of a CMI employee or contractor, Client shat: subject to liquidated damages equal to the
compensation pald by CMI to such employee for the twelve months immediately prior to such employee's departure.
Change Control Procedure:
A change control procedure will be used for Project Change Requests (PCR) that impact the services schedule, cost, or
resource requirements specified in this SOW. Through this procedure, Project Change Requests will be documented and
communicated to the Client Project Manager. Client and CMI will mutuaay agree to any Project Change Request In a timely
manner. Any change In the services fees shall require approval provided by an executed Project Change Request to this
SOW, authorizing Invoicing by CMI for the changed services fees.
Deviations In the estimated CMI effort and fees may occur based on changes to the final requirements and design
specifications, redirection from Client, delays caused by Client resources, Imprecise estimations of effort, and other project
scopelschedule/resource alterations including changes in the staffing composition mix. Rejection of the Project Change
Request must be completed by Client or CMI within three (3) business days of receipt or the Project Change Request Issued
will be considered authorized.

Statement of Work terms and conditions are as outlined in this document. Once fully executed, this document becomes the
Statement of Work for the project defined herein. The signatures, below, authorize CMI to:
• Begin services described herein
• Indicates Client's agreement to process and pay all Invoices associated with these services.
