HomeMy WebLinkAboutAero-lite Products/AeroComposites LLC 2018-01-01C;&/VV /7c$ — Ivt ASSIGNMENT AND ASSUMPTION AGREEMENT This Assignment and Assumption Agreement is made in Ukiah, California, on January 1, 2018 ("Effective Date"), between Aero -Lite Products, Inc. ("Aero -Lite") a California for profit corporation in good standing under the laws of the State of California, incorporated on January 1, 1986, doing business as "Feather Lite Products, Inc." ("Feather Lite") and AeroComposites, LLC ("AeroComposites"), a limited liability company, organized under and in compliance with the laws of the State of California. Feather Lite or AeroComposites may be referred to herein as a "Party," and collectively, as the "Parties." RECITALS: 1. On June 15, 2000, Feather Lite entered a Lease Agreement with the City of Ukiah ("the City") for vacant land at the Ukiah Municipal Airport with a forty (40) year term. The lessee was required to construct a building on the leased premises which it agreed to use exclusively for aviation related purposes. 2. Feather Lite has requested and received approval from City to assign the Lease Agreement to AeroComposites which intends to use the leased premises exclusively for aviation related purposes. 3. In granting approval of the Lease Agreement from Feather Lite to AeroComposites, the assignor (Feather Lite) and assignee (AeroComposites) herein understand and acknowledge that the City relies on the Affidavit in Support of City of Ukiah's Approval of Assignment of Lease executed by Michael Dilley, Janet Lombard and Bonnie Davi on July 26, 2017, a true and correct copy of which is attached hereto. 4. Gregory Andronaco is taking a loan against the improvements (the building). If Gregory Andronaco or AeroComposites LLC defaults in its obligations under the lease, the City of Ukiah will notify Michael Dilley and Janet Lombard at PO Box 634, Boonville, CA 95415 so they can remedy the default and reassume the Lease Agreement. 5. In the case of any default under this agreement by AeroComposites LLC or Gregory Andronaco this agreement shall terminate, and all rights under the Original Lease will be reassumed by Michael Dilley and Janet Lombard. 6. In the case of default by AeroComposites LLC under the promissory note between AeroComposites and Michael Dilley and Janet Lombard this agreement shall terminate, and all rights under the Lease Agreement will be reassumed by Michael Dilley and Janet Lombard. AGREEMENT: In consideration of and reliance upon the above -recitals and the terms and conditions as stated herein, the Parties agree as follows. 1. Feather Lite hereby assigns the Lease Agreement from Feather Lite to AeroComposites. 2. AeroComposites hereby accepts the assignment of the Lease Agreement and assumes all of the obligations thereunder. The City of Ukiah hereby consents to the assignment of the Lease Agreement and agrees to the terms contained here in this agreement. Specifically, the City of Ukiah acknowledgement that default by Gregory Andronaco or AeroComposites LLC will terminate this agreement, return the rights of the original lease agreement to Michael Dilley and Janet Lombard, and not invoke Article 7, Termination, of the original lease unless there is continuing default.
