RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
UKIAH AUTHORIZING EXECUTION OF THE AGREEMENT
WITH THE RURAL COt~-~UNITIES HOUSING DEVELOPMENT
CORPORATION
BE IT RESOLVED that that certain agreement between the
7 City of Ukiah and the Rural Communities Housing Development
$ Corporation attached hereto and made a part hereof is hereby
9 i approved and the Mayor and Clerk are authorized to sign same

AGREEMENT BETWEEN THE CITY OF UKIAH
AND
THE RURAL COMMUNITIES HOUSING DEVELOPMENT CORPORATION
WHEREAS, the City of Ukiah, hereinafter known as CITY and
the Rural Communities Housing Development Corporation, hereinafter
known as CORPORATION, mutually desire to enter into a cooperative
agreement to make housing available to low and moderate income persons
and persons who are required to move as a result of City projects, and,
WHEREAS~ the City' is operating under a stipulated court order
which requires the City to have at least four (4) units of such
housing under construction by June 1, 1982 (Ukiah Valley Tenants
Association, et al, vs. City of Ukiah, Superior Court case nu~er
41277), and,
WHEREAS, the City anticipates that future City projects will
result in the necessary relocalion of additional families as such
projects proceed,
NOW, THEREFORE, it is agreed as follows:
1) Corporation will undertake to begin construction, by
June 1, 1982, of thirty (30) units of housing for low and moderate
income persons. Ten (10) units of such housing will first be made
available to Celia Mae Hite in accordance with the court order and
secondly to any other persons required to move as a result of City
action, providing-they meet eligibility requirements of the Farmers
Home Administration. After these needs are met, the remaining units
will be occupied by persons whO meet the United States Office of
Management and Budgets Poverty Guidelines. Thereafter, when vacancies
occur in the units, they will be offered first to any individual who
is in need of housing as a result of relocation activities by the City
and who meet the eligibility-requirements of the Farms Home Adminis-
tration.
Provided further,~ however, that if the Corporation, for
any reason, is unable or fails to undertake construction of the units
by June 1, 1982, as provided above, City and Corporation shall either
agree to a new construction date or Corporation will return the full
consideration to City without offset or further liability herein.
2) Corporation will be responsible for all phases of the
project, including~ but not limited to, land acquisition, grant appli-
cations, administration of financing and administration of the project
following construction.
3) City hereby agrees to pay to Corporation, upon execution
of this agreement, the sum of Sixty Thousand Dollars ($60,000.00).
4) In the event that the City's requirement for last
resort housing exceeds the ten (10) units proposed in this agreement,
City and Corporation shall mutually attempt to arrive at a satisfactory
agreement for construction of and/or acquisition of additional units.
5) This agreement shall continue for a period of twenty-five
(25) years or until otherwise terminated by mutual agreement. It shall
be binding upon the successors and assigns of the parties.
6) It is further agreed that Corporation will manage the
ten (10) units designated for the purpose as set forth in paragraph
1 hereof for last resort hOusing purposes in accordance with good
landlord-renter management and with the level of attention and main-
tenance as shall apply to the entire housing project.
7) In the event of a dispute arising with respect to any
matter relating to this agreement which cannot be solved by mutual
agreement, the parties shall submit the matter to arbitration in
accordance with the rules of the American Arbitration Society.
