RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
UKIAH AUTHORIZING EXECUTION OF AN AGREEMENT
WITH THE MENDOCINO COUNTY CHAMBER OF COMMERCE
FOR THE FISCAL YEAR 1981-1982
WHEREAS the City of Ukiah has heretofore contracted
with Mendocino County Chamber of Commerce for the purpose
of advertising, exploiting and making known the resources
of the City, and
WHEREAS the Mendocino County Chamber of Commerce
is a non-profit corporation organized for the purpose
of advertising, exploiting, and making known the resources
of the City of Ukiah and County of Mendocino,
NOW, THEREFORE, BE IT RESOLVED that certain agree-
ment attached hereto and made a part hereof between the
Mendocino County Chamber of Commerce and the City of
Ukiah is hereby approved for fiscal year 1981-82, and
BE IT FURTHER RESOLVED THAT the Mayor is authorized
to execute said agreement on behalf of the City.

AGREEMENT

UKIAH, a political subdivision of the State of California,
hereinafter referred to as "City", and the MENDOCINO COUNTY
CHAMBER OF COMMERCE, a non-profit corporation organized and
existing under the laws of the State of California, herein-
after referred to as "Mendocino Chamber of Commerce",
pursuant to Government Code, mutually agree:
1. Purpose. The City Council is authorized to expend
funds for advertising, exploiting, and making known the
resources of the City including the agricultural, horti-
cultural, viticultural, mineral, industrial, commercial,
climatic, educational, recreational, artistic, musical,
cultural, and other resources or advantages of the City,
for the purpose of inducing immigration to, and increasing
the trade and commerce of the city;
2. The Mendocino County Chamber of Commerce is a
non-profit California Corporation organized for the purpose,
among others, of advertising, exploiting, and making known
the above resources of the County of Mendocino and its
cities;
3. Services. From July 1, 1981 to and including
June 30, 1982, the Mendocino County Chamber of Commerce will
perform and will continue to perform the following services
for the City pursuant to the Authority and purposes set
forth in Paragraph 1:
a. Assist City to accumulate data and provide.
information to citizens.
b. Helping to attract and encourage p~:ospective
residents and business firms to .locate in the City.
c. Prepare a comprehensive study and survey of
each of the cities in the county relating to
agricult6re, industry, trade and commerce.
d. Publicize the resources and advertise the
advantages and opportunities for capital invest-
ment in the Ci~..__of Ukiah.
e. Provide and publish economic data on the resources
of the city and make data available to visitors,
residents, and business firms.
f. Sponsor and promote movements for the development
of business of every kind or nature; and
cooperate, assist and advise other' organizations
and public bodies to accomplish this purpose.
,g. Encourage, assist and aid in the location of
businesses.
h. Provide a representative overall exhibit for
Mendocino County at the California State Fair
and Exposition, Los Angeles County Fair, San
Francisco Sports and Boat Show, to further
promote each city individually.
i. To render the services of the Public Information
Office of the Mendocino County Chamber of
Commer'ce in preparation of news releases about
the activities of the city government and area.
4. Compensation. The City will compensate the
Mendocino County Chamber of Commerce in the amount of Three
Thousand Five Hundred Dollars ($3,500.00). Payments to be
made in semi-annual installments. First payment due on
August 1st, second payment due on February 1st. The
Mendocino County Chamber of Commerce shall provide the City

with quarterly operating statements indicating all receipts
and expenditures of funds. City may ~x~m~ue

records of the Mendocino County Chamber of Commerce at any
time concerning the matters covered by this agreement.
5. Term. The agreement expires after June 30, 1982.
6. Termination.' j'[-~-y may at any time immediately
terminate this contract, if in its sole judgment, the
Mendocino County Chamber of Commerce is not satisfactorily
performing, and may without cause terminate it on thirty
(30) days written notice to the Mendocino County Chamber of
Commerce. The Chamber of Commerce waives all payments
after either such termination.
IN WITNESS WHEREOF the parties by their officers there-
unto duly authorized, have executed this agreement.
