Project generally consists 6C--lour principal tasks to be performed by the Grantee. Review production records to determine total quantity of water pro- duced or purchased from all sources. Accuracy of source meters shall be determined. 4 2. Review procedures used for meter and bill accounting to determine their accuracy in determining quantities of water sold to customers or transferred between wholesalers. 3. Review customer records to determine total quantity of water sold. Test an adequate sample (per Attachment "A") of each size and class of meters to determine their accuracy at various flows. If an adequate testing program already exists (see Attachment "A" ;dater Audit) , utilize testing records per the Water Audit Seminars to determine meter accuracy. Adjust water sales records to reflect the results of meter accuracy investigation. 4. Estimate unmetered uses of water. Communicate with user agencies, other 'Local managers, and users to estimate flow rates and duration of uses. Some authorized uses which may not'Xe metered include: fire fighting and trainingAll street washing construction main flushing sewer ci e2ning... storm drain flushing*I? public buildings, schools golf courses, cemeteries, pools, parks, etc. 5. Estimate miscellaneou"&.1osses attributable to reservoir evaporation, interagency �onnections, "reservoir overflow, malfunctioning controls and valves, and watery t . 6. Estimate recoverable leakage in the system based on the results of the above procedural steps.' t 7. Ver ify;hand_update distribution and system schematic maps to show current.ontft—tio"s. .. Review all system controls and procedures for accuracy. Propose corrective actions to remedy identified problems. T ,, Prepare a "Leak Detection and Repair Plan" as specified in Attachment M` 11 . Prepare- and submit -to thl� State a ".tater- Audit Report's'as--tispeaifted in Attachmeint A'summar z=gj the firings or'.the°Water Audisjm 4W Upon completion, the "Leak Detection and Repair Plan" and the "Water Audit Report" shall be promptly submitted to the State for written approval that they are consistent with contract requirements. If the benefit/cost ratio calculated in the Water Audit Report is less than 1 .0, the grant will be terminated and the Grantee will be reimbursed for the expended eligible cost of t:^:e water audit up to the maximum amount allocated in Section 5 of this con tract. 5 a) Water Audit Report. The Grantee agrees to submit a report summa- rizing tie findings of the dater audit as specified in Task I and Attachment A. The Water Audit Report will also include the "Leak Detection and Repair Plan" as specified in Task T and Attachment B. The Water Audit Report shall be submitted to the State Program Manager after completion of the 'dater Audit but no 'Later than November 30, 1984. b) Progress Report on Leak Detection and Repair. The Grantee agrees to submit a report, as specified in Attachment C, describing the re- sults of leak detection surveys and leak repair efforts up to May 1 , 1985. The progress report will include summaries of leak detection records and leak repair records. The report shall be submitted to the State Program Manager by June 1 , 1985. If all leak detection surveys and repairs of detected leaks have been co=leted by May 11 1q85 , the Progress Report may be omitted. c) Final Report. The Grantee agrees to submit:a final report, as specified in Attachment D, summarizing all lea ,deter_tion and leak repair efforts ;Wade during the. project. The Benefit/Cost ratio for the completed project is to be recalculated using actual project costs and benefits and be included± ,, The...Final Report shall also include copies of leak detection and report forms (see example with Attachment D) and monthly summary sheets orr rater savings and costs prepared during the project. The Final Report shall be submitted to the State Program Manages no later than November 1 , 1985 . aex SECTION 4. COST OF LEAK RE?kR ' Repair of leaks as mired in Task TII are not eligible Project costs and will be- paid for by the Grantee. Only eligible Water Audit and Leak Detection costs-,wylD.be reimbursed by the State. Although the Grantee may wish to spend moreK to., properly complete repairs, the Grantee is not obligated to spend more tharr:$�1'x000E f&r, repairs for each Al ,000 granted by the State for Water Audit and Leak, D"etection under, this contract. SECTICrr 5. GRANTEE'S COSI Subject to the limitations set forth in Section 4, the Grantee agrees to fund any and all project costs exceeding the contract commitment. (Section 5) 7 If the benefit/cost ratio calculated in the approved :dater Audit Report is at least 1 .0, and if the State has made writ-ten authorization to continue the project, then the Grantee shall carry out the approved Leak Detection and Repair Plan. Task II -- Conduct Leak Detection Surveys Grantee shall conduct leak detection surveys for areas of potential leakage identified in the approved "Leak Detection and Repair Plan". DWR will conduct a technology seminar for Grantees on leak detection equipment and techniques. Major elements of the leak detection survey include: 1 . Engage a consultant, to perform leak detection, or establish a leak de- tection crew to perform leak detection (or,%combination thereof) . 2. Purchase or otherwise provide the equipmnt: needed to conduct leak detection for those crews performing the leak.detec+ion work. 3. Conduct leak detection surveys according to treapproved "Leak Detec- tion and Repair Plan" preparedn Task I. r Task III -- Repair Leaks Repair of all leaks will be at Grantee expense. Leak repair is NOT a grant-eligible expense. Grantees are obligated to repair all main, service lateral, hydrant, meter box,:uaxLveand blowoff leaks within '�0 calendar days after detection with the folT.gwirg except ions. 1 . The Grantee's obligation tC)r epair leaks is limited to a maximum of $1 ,000 in leak repair-costs for each V ,000 in grant funds received. However, Grantees acev=encouraged to carry out repairs beyond this maximum at their option. 2. Upon written.approva-1 of the State, main and service lateral leaks do not- have othaveto be repaired if the Grantee chooses to replace the entire main or fee lateral within three years. 3� '-Leaks om"the customers' side of the water system do not have to be repaired ` althougr'the Grantee may offer that service to the customer. If tie Grantee can substantiate in writing to the State that a repair is is not cost effective, a waiver of repair can be approved in writing by the State. Task IV -- Pjec c°'Reports a _ The Grantee agrees to submit the following progress reports during the course of operation. In addition, Grantee shall immediately advise the State Program Manager of any significant problems arising during the course of opera- tion. pera- tion. 0 ARTICLE A-11 . AUDI'T'S The Grantee agrees that those matters connected with the performance of any work done under contract pursuant to this agreement, including, but not limited to, the costs of administering the contract, shall be made subject to the examination and audit of the California Auditor General or State's other designated agent for a period of three years after final payment under such contract. ARTICLE A-12. NATIONAL LABOR RELATIONS BOARD In accordance with Public Contract Code Section 10296 , the Grantee declares under penalty of perjury that no more than one final, unappealable finding of contempt of court by a federal court has been issued against the Grantee within the immediately preceding two-year period because of the Grantee's failure to comply with an order of a federal court which orders the Grantee to comply with an order of the National: Lahti Relations Board. ARTICLE A-13. WORKER'S COMPENSATION ", Grantee affirms that it is aware of the provisions of Section '3700 of the California Labor Code which require-,every employer to be insured against liability for workers ' compensation or to undertake self-insurance in accord- ance with the provisions of that Code, and.-Grantee affirms that it will comply with such provisions before commencing the performance of the work under this Contract. ` ARTICLE A-14. CHANGES � � �� ► Grantee agrees that hog"substantial change in Project work will be oermitted without; prior written., approval of the State Project Manager. In no event shall the-Grantee substantially change the scope of the Project, provide for work whic�m increases the cost of the Project, or provide for extension of the completion da :arthe Project without such written approval. , ARTICL.E,,.A-15. SUCCESSORS AND ASSTGPIS This Contract and all of its provisions shall apply to and bind the successors and assigns of the parties hereto. No assignment or transfer of this Contract or any part hereof, rights hereunder, or interest herein by the Grantee shall be valid unless and until it is approved by the State and made subject to such reasonable terns and conditions as the State may impose. ARTICLE A-18. INDEMIFI CATTCN - STATE 70 3E HELD HARMLESS The Grantee agrees to indemnify the State of California, Depar t7rent of 'dater Resources, and its officers, agents, and employees against and to hold the same free and harmless from any and all claims, demands, losses, costs, expenses, or liability due or incident to, either in whole or in part and whether directly or indirectly, the design , construction, operation, repair, maintenance, existence, or failure of the Project, or of any of its works or facilities. ARTICLE A-19. RE11"EDIES NOT EXCLUSIVE " a The use by either party of ani remedy specified herein for the enforce- ment of this Contract is not exclusive-arxt shall not deprive the party using such remedy of, or limit the application~:oaf, any other provided by law. ARTICLE A-20. OPINIONS AND DETERMINATIONS' ' Where the terms of this, antract provide for action to be based upon the opinion, judgement, apprnval,. .eview, or determination of either party hereto, such terms are not intended to be and shall never be construed as per- mitting such opinion, judgements,, approval, review, or determination to be arbi- trary, capricious. or unreasonable. State and Grantee shall then attempt to negotiate a resolution of such claim and pro- cess an amendment to this agreement to implement the terms of any such resolu- tion. 17 ii If the State determines that the Project is not being oper- ated substantially in accordance with the provisions of this Contract or if the State determines that the Grantee has failed in any other respect to substantially comply with the provisions of this Contract, and if the Grantee does not remedy any such failure to the State 's satisfaction within 30 days of written .notice by the State, the State may , withhold from the Grantee all or any portion of the Contract Commitment. iii Should the Grantee submit an acceptable proposal for water main replacement in lieu of immediate leak repair, the State shall withhold ten percent ( 10%) of the leak survey portion of the Contract commitment until, such water main replacement is completed. z= ' iv The State may withhold all ce any,,portion of the grant funds provided for by this contract in t�,.,event, that the Grantee has failed to provide a copy of a resolution passed by its governing body authorizing execution of the contract and designating an authorized, representative to execute the Contract and to sig °aLL"r"equests for disbursement. INSPECTION OF PROJECT, BCCKS, RECORDS AND REPORTS BY STATE The Grantee, its agents and its subcontractors shall ensure that the Department of 'dater Resources and the State 'dater Resources Control Board, or any authorized representative, will have suitable access to the Project site at all reasonable times during Project operation and for the term of the Con- tract. The State may observe field work being performed by the Grantee or its agents, whenever such work may occur. During regular office hours, each of the parties hereto and their duly authorized representatives shall have the right to inspect and to make copies of any books, records, or reports of the other party pertaining to this Contract or matters related hereto. Each of the parties hereto shall maintain and shall make available for such inspection accurate records of all of its costs, disbursements and receipts with respect to its activities under this Contract. ARTICLE A4 . CCNTRACT DISBURSEMENTS (a) Cost Statements n�A After the basic conditions precedent in Sectic �3 of this Contract are met, disbursement of the whole or portions of the Contract Commitment will be made to the Grantee following recez from the Grantee of a statement or statements of incurred Eligible Project-,Cbsts on forms provided by the State. Cost statements shall be submitted in accordance with Exhibit E. Requests for funds shall be filed following submission an6 approval of the 'dater Audit Report and Final Project Reports as specified in Section 3, Task IV, "Project Reports-" (b) Disbursement A Following,.-review and approval by the State of each statement of costs (submitted in accordance with Exhibit E) , the State Water Resources Control Board will dzsb� rse �o the Grantee the amunt approved, subject to the availability of fugd*� . y and all money disbursed to the Grantee under this Contract and any�aady ahl interest earned by the Grantee on such money shall be used solely to repavxpended Eligible Project Costs. The Grantee will not be eligible for grant funds for the Leak Detection portion of the Project, and the Project will be terminated. 14 (7) Cost of vehicle fuel and maintenance for the time the vehicle(s) are specifically used for this project. ITfELIGILLE PROJECT COSTS. All costs which are not eligible for state assistance pursuant to state laws, rules, regulations, guidelines or this Con- tract, even though incurred by the Grantee, including those that are deemed by the State to be unreasonable or unnecessary. Such costs include, but are not limited to: ( 1) Bonus payments for early completion of the Project. (2) Personal injury compensation or damages arising out of or connected with the Project, whether determined by adjudication, arbitration, negotiation or otherwise.
