HomeMy WebLinkAbout2017-42 CC Reso - Approving Purchase of Fire Engines RESOLUTION 2017-42 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF UKIAH APPROVING PURCHASE OF FIRE ENGINES AND AUTHORIZING CITY MANAGER TO NEGOTIATE AND EXECUTE LEASE PURCHASE AGREEMENT AND RELATED DOCUMENTS WHEREAS: 1. The City has determined to acquire two 2018 Pierce Enforcer Type 1 Fire Engines (collectively "the Equipment") as essential components of the City's Fire Department and the provision of fire protection in the City and in the Ukiah Valley Fire District; and 2. The City Council has determined that acquiring the Equipment under a Master Lease Agreement ("Lease") and accompanying Equipment Schedule ("Schedule") with Financial Pacific Leasing, Inc., DBA Umpqua Bank Equipment Leasing & Finance ("Umpqua") is in the best interests of the City; and 3. Under the Lease, the City will assign to Umpqua the City's rights, but not its obligations, to acquire the Equipment and Umpqua will lease the Equipment to the City pursuant to the terms set forth in the Term Sheet, attached hereto as Exhibit A; and 4. The City will be obligated under the Lease and accompanying Schedule with Umpqua to make annual lease payments which will total the purchase price of the Equipment plus interest, provided the City Council appropriates funds each year to make the lease payments; NOW, THEREFORE, BE IT RESOLVED that: 1. The purchase of the Equipment from Pierce Manufacturing Inc. for the total amount of $1,125,730.73, including sales tax, is hereby approved. 2. The City Manager is hereby authorized and directed to negotiate and execute on behalf of the City a Lease, Schedule and related documents that finance the purchase of the Equipment in accordance with the Term Sheet, attached hereto as Exhibit A, subject to legal review by the City Attorney.
