participants Coverage must be in place throughout the come of this agreement NBPO will have the independent contractors (official,) it assigns to games
have a liability insurance to cover the independent contractor and hillier actions in performing hisPoer duties as an official assigned by NBPO
6 The agreed compensation for services rendered by NBPO to the program shall be the amount negotiated by NBPO and the affiliated prrgram This amount
is $05 for 2 offrcraisrgame fa the 2017 owns The program wW be billed before the start of the season For half of the projected kes and the other
half of the fees at the midpoint of the sesson An audit will be conducted at the crud of the season at which time the program will be refunded amounts
owed or billed accordingly
7. The Program agrees that an assignment is subject to cancellation by NBPO x the program. when and if, it deems. In its sole discretion such cancellation to
be in the best interest of the official. NBPO or the programrlcague
8. 'Phe program agrees to hold harmless and indemnify NBPO. the officials assigned to the contest. its executive committee. and assignor. from any and all
liability hit injuries• proximately caused to any person or property during any contest of the program. except to the extent mjuncs are caused by the
negligence or willfully wrongful acts or omissions of the assigned officials
9. The program understands and is aware that NBPO does new provide insurance to the program, or the officials. but that the officials have obtained liability
insurance coverage.
10 All alcoholic beverages. Tobacco products and narcotics are prohibited Any violation of this clause shall result in thc• immediate termination of this
comtract
11 All officials are instructed to report a violation of the NHPO dmg and alcohol provisions of the contract and the program may be liable in the sancuons to be
determined by NBPO.
12 If. a any time during the period of the agreement, the program fails to abide hq the terms and conditions ser forth aid agreed to herein, say failure shall give
NBPO in its sole discretion. cause to terminate the contract immediately.
13 If either the program or NBPO wishes to terminate this agreement without cause. either partly may do so on a thnny- (30) day's written mice to the other

14 This writing comprises the entire agreement between NBPO and the program and may not be amended or changed in any manner except in wising and

Program / League Contract for 2017
It is hereby agreed between North Bay Professional Official's Inc. herein after referred to as NBPO and the named league/program, herein after referred to as program,
which the parties agree to enter into this contract pursuant to the following terms and conditions.
1. It is specifically understood that the officials assigned to your program are not employees of NBPO and the officials assigned to the program serve as
independent contractors.
2. The term of the agreement is for one calendar year. The specific years covered are 2017 only. A decision as to future contracts if any shall rest solely at the
discretion of NBPO. In no event shall either party extend the terms of this agreement beyond one calendar year.
3. The program agrees to provide a safe environment and take on all responsibilities of field or court conditions. Fields and courts will be fit for play and be in
accordance with articles 1.01 through 1.7 section 1 rule 1 of the 2017 official baseball or basketball rules whichever applies.
4. If at any time, for any reason, the field or court is not in accordance with the rules or is below normal standards, the league/program shall notify NBPO
promptly and understand throughout the terms of this agreement that no officials will be provided until the program provides a field or court in safe
condition for play.
5. The program understands that they are responsible for insurance coverage that covers the programs liability for facilities, participants and actions of the
participants. Coverage must be in place throughout the course of this agreement. NBPO will have the independent contractors (officials) it assigns to games
have a liability insurance to cover the independent contractor and his/her actions in performing his/her duties as an official assigned by NBPO.
6. The agreed compensation for services rendered by NBPO to the program shall be the amount negotiated by NBPO and the affiliated program. This amount
is $85 for 2 officials/game for the 2017 seasons. The program will be billed before the start of the season for half of the projected fees and the other
half of the fees at the midpoint of the season. An audit will be conducted at the end of the season at which time the program will be refunded amounts
owed or billed accordingly.
7. The Program agrees that any assignment is subject to cancellation by NBPO or the program, when and if, it deems. In its sole discretion, such cancellation to
be in the best interest of the official, NBPO or the program/league.
8. The program agrees to hold harmless and indemnify NBPO, the officials assigned to the contest, its executive committee, and assignor, from any and all
liability for injuries, proximately caused to any person or property during any contest of the program, except to the extent injuries are caused by the
negligence or willfully wrongful acts or omissions of the assigned officials.
9. The program understands and is aware that NBPO does not provide insurance to the program, or the officials, but that the officials have obtained liability
insurance coverage.
10. All alcoholic beverages, Tobacco products and narcotics are prohibited. Any violation of this clause shall result in the immediate termination of this
contract.
11. All officials are instructed to report a violation of the NBPO drug and alcohol provisions of the contract and the program may be liable to the sanctions to be
determined by NBPO.
12. If, at any time during the period of the agreement, the program fails to abide by the terms and conditions set forth and agreed to herein, say failure shall give
NBPO in its sole discretion, cause to terminate the contract immediately.
13. If either the program or NBPO wishes to terminate this agreement without cause, either partly may do so on a thirty- (30) day's written notice to the other
party -
14. This writing comprises the entire agreement between NBPO and the program and may not be amended or changed in any manner except in writing and
executed by both parties. Should court or legal decision hold any provisions of this agreement invalid, all other provisions shall continue in full force.
15. Any game site changes or time changes made within 7 days of the original assignment will be assessed a $10 charge (MSBL only).
16. The program will be charged half a game fee for any game cancellations on game day and a full game fee if said cancellation is within two hours of
game time.
This agreement is effective when signed by both parties as indicated below.
