All terms and conditions of the Agreement for Professional Consulting Services dated
March 9, 2010; the first amendment dated April 8, 2010; the second amendment dated
August 5, 2010; the third amendment dated March 23, 2011; the fourth amendment dated
November 30, 2011; the fifth amendment dated August 20, 2012; the sixth amendment
dated November 16, 2012; the seventh amendment dated December 13, 2013; and the
eighth amendment dated June 17, 2015 shall remain in force and effect except as modified
by this ninth amendment.
AUTHORIZATION
Upon execution of this amendment, service provider is authorized to provide the service
described under the Scope of Additional Work identified in this Amendment No. 9.
SCOPE OF ADDITIONAL WORK
Work authorized by this amendment shall include that work described in the
November 4, 2016 letter proposal from GHD, Inc. A copy of said letter is included in this
ninth amendment.
COMPENSATION
Compensation for the performance of the additional work shall be made on a time and
expense basis at Consultant's customary fees. Expenses shall not exceed a maximum
total cost of $°130,746.

Dear Mr. Eriksen:
GHD is pleased to provide this proposal for professional engineering services for additional design efforts
and coordination on the Redwood Business Park Transportation Improvements and Talmage Road
Interchange Projects (Agreement dated March 9, 2010). This proposal is based on our recent discussions
regarding design revisions, additional project elements to be included, assisting with and coordinating
right-of-way needs, and coordination with other consultants. Also as requested is the inclusion of bid
period services for the Redwood Business Park Transportation Improvements.
Background
These projects began preliminary design in March 2010, and have since undergone a number of
alterations and alternatives investigating various elements of the Redwood Business Park area, including
bicycle connectivity, use of roundabouts, pavement reconstruction options, and signal improvements.
Additional project coordination was also needed for the Costco project and Caltrans. The designs for a
new sewer main, road widening, Talmage Road interchange options and other items were included but
later removed. The environmental review process for both the Costco project and Talmage Road
Interchange project also contributed to the overall schedule.
The Final plans, technical specifications and opinion of probable cost for the Redwood Business Park
Transportation Improvements project are complete and the final deliverable is ready to be provided to the
City to advertise for bids. These bid documents were prepared in close coordination with the City, and
include all of the confirmed project elements. The 95% design submittal for the Talmage Road
Interchange project is currently being reviewed by Caltrans and the City.
This proposed Scope of Services includes additional design services and coordination requested by the
City for the Redwood Business Park Transportation Improvements and Talmage Road Interchange
Projects. These services include previous authorized out -of -scope design revisions, ongoing coordination,
inclusion of pavement reconstruction design for Airport Park Boulevard, inclusion of Low Impact
Development (LID) design for Airport Park Boulevard, and bid phase services for the Redwood Business
Park Transportation Improvements project. A key goal of this scope of services is to finalize the design of
the Redwood Business Park Transportation Improvements project and deliver construction documents for
bidding.

Redwood Business Park (RBP) Transportation Improvements Project
Task 1. Coordination and Final Design Revisions
This task includes additional design and coordination efforts GHD has performed and is in the process of
completing for the Redwood Business Park Transportation Improvements Project, as well as previous and
on-going project coordination:
The City retained a consultant to design improvements on Washington Avenue at South State
Street. These improvements include new ADA ramps, pedestrian pushbuttons, and new paving.
The improvements overlap with the Redwood Business Park Transportation Improvements. At the
request of the City, GHD contacted the consultant to coordinate the designs, exchange CAD
design files, and update the Redwood Business Park plans to remove new push buttons from the
project, show and label new ADA ramps by others, new striping, and other improvements. GHD
also reviewed the design prepared by the consultant and provided suggestions on revising the
placement of new pedestrian pushbutton posts to meet ADA requirements.
GHD has coordinated with the City on finalizing the bid documents (plans and technical
specifications), including revising the City Specification number for the project, updating to the
City's current specification template, notice to bidders and other areas of the front-end and back-
end contract, revising requirements for construction survey to include it as a separate bid item,
revising requirement for construction material testing to make it the responsibility of the City rather
than the contractor, confirming contract language to be included regarding the City's
funding/financing source for the project, updating contractor requirements for traffic control and
traffic signal shut -down, and addressing any final City comments prior to production of bid
documents.
• The City requested GHD to revise the design of the modified traffic signal at the Washington
Avenue / Hastings Avenue / South State Street intersection to eliminate the existing and modified
vehicle detector loop system and replace it with a new video detection system manufactured by
GRIDSMART Technologies, Inc.
• The City requested GHD to revise the design of the video detection system at the new signalized
intersection at Commerce Drive / Airport Park Boulevard to specify a video detection system
manufactured by GRIDSMART Technologies, Inc. The previously specified system was VersiCam
manufactured by Iteris, Inc.
The City requested GHD include the design of an asphalt sidewalk connecting the new ADA ramp
at the northeast corner of Hastings Avenue / South State Street to the driveway of 1195 South
State Street. The nearest connecting sidewalk on the east side of South State Street is about 200
feet north of this driveway. This design was completed as requested within our previously
authorized budget. Following a QC review of the design it was determined that including this
segment of sidewalk presented a liability because it would encourage pedestrians to proceed
down a walkway that lacks contiguous sidewalks. This issue was discussed with the City, the City
agreed, and the design was removed.
Task 2. Airport Park Boulevard (APB) Pavement Reconstruction
GHD will complete the final design of the pavement reconstruction for Airport Park Boulevard. This design
was prepared to an approximate 95% design level in the May 2011 design submittal, and was
subsequently removed from the project and the remaining task budget was repurposed for other and

changing project elements at the City's direction. The May 2011 design consisted of 6.5" of hot mix
asphalt over 24" of aggregate base (equivalent Traffic Index of 10.5), significantly deeper than the existing
failing pavement section, which consists of 4" - 5" of pavement over 8" - 12" of aggregate base (equivalent
Traffic Index of 6.0). The existing shallow pavement section will require additional subgrade excavation to
provide the depth needed to achieve the required Traffic Index of 10.5 and still conform to existing edge
constraints (i.e., curb and gutter). Utility potholing information obtained during previous project tasks will
be used in the design and incorporated into the plans, and we will coordinate with the City on any
additional utility potholing which may be needed. The length of roadway requiring reconstruction was
previously confirmed to extend from Talmage Road in the north to the vicinity of the Tractor Supply
Company in the south, approximately 2,100 linear feet.
As part of the design, GHD will evaluate possible options to a traditional pavement structural section to
reduce the section thickness and associated cost. These options could include lime treatment of
subgrade, subgrade enhancement geotextiles, fiber -reinforced hot mix asphalt, deep lift of asphalt, or a
combination of options. We will meet with the City to review and discuss the options and confirm the
approach to be implemented in the final design. Options will include sections that maintain a minimum of 1
foot from subgrade to existing utilities (2 feet for PG&E).
Other design elements of the pavement reconstruction include construction of deeper median curbs or
other subsurface barrier to minimize root and water intrusion into the pavement section and subgrade,
removal and possible replacement of existing subdrains along the medians to remove seasonal shallow
groundwater, and utilization of deep asphalt pavement sections over existing shallow storm drain
crossings.
Additional drawings will include demolition and improvement plans, typical sections, cross-sections every
50 -ft, striping and signing plans, and related details.
We will prepare a pre -final design consisting of plans, special provisions and opinion of probable
construction cost for City review. We will meet with the City to review comments and complete a page -turn
review of the plans before requesting authorization for final design.
Task 3. APB Low Impact Development (LID)
A new storm water requirement since the original contract that affects road reconstruction projects like this
one is the implementation of LID stormwater quality improvements. The City has adopted the City of
Santa Rosa and County of Sonoma Stormwater Low Impact Development Technical Design Manual
(Manual) to meet State requirements. For a Phase 1 city, the manual requires implementation of LID for
"Street, road, highway, or freeway construction or reconstruction, creating or replacing 10,000 square feet
or more of impervious surface," with "reconstruction" being defined as work that replaces road surface
down to subgrade, as this project must accomplish.
GHD will develop an LID strategy and prepare concept typical details that repurpose existing turf and
landscaped areas adjacent to Airport Park Boulevard into new LID features to achieve the LID Goal
established in the Manual. Median areas will also be used where possible and as width and pavement
slopes allow. Inlets in the existing curbs must be provided to convey stormwater into LID areas. A key goal
will be to minimize the amount of demolition needed to implement required LID areas while taking
advantage of existing landscaped areas. We will meet with the City to review and discuss the LID strategy
and confirm the approach and methods to be implemented in the final design.
LID details, sections and plan view layouts will be developed and incorporated into the project Drawings.
A Preliminary SUSMP design technical memorandum will be prepared in accordance with the LID manual
requirements and submitted with the pre -final design. The technical memorandum will summarize the

methodology, approach, calculations and sizing of the LID features using the Manual LID calculators. A
Final SUSMP addressing City comments will be submitted with the final design submittal.

Task 4. RBP Transportation Improvements Project Bid Period Support
As directed by the City, GHD will respond to technical inquiries during bidding via written addenda. This
scope is based upon the preparation of up to two (2) written addenda related to technical changes to or
interpretations of the Bid Documents.
GHD's Project Manager will attend a pre-bid meeting as the City's technical representative for the project
to assist in describing the project scope to prospective bidders and answering technical questions.
GHD will review the bids received for completeness and provide a letter of recommendation for award to
the City.
Task 5. Talmage Road Interchange Services
The Talmage Road Interchange project design (revised 95% Plans, Specifications and Estimate) is
currently undergoing review by the City and Caltrans District 1. Over the course of the last year GHD has
coordinated closely with Caltrans District 1 Design, Traffic Operations and Traffic Safety divisions to
complete revisions to the design requested by Caltrans, including widening of travel lanes to
accommodate a STAA semi -truck (design vehicle), performing vehicle simulations, removing additional
trees, and modifying the design of the existing off -ramp gore split area.
The design requires the City to relinquish or otherwise provide City right-of-way to the State to
accommodate the widening of the southbound off -ramp to westbound Talmage Road. The right-of-way
efforts included in our approved scope of services were to prepare linework of the proposed right-of-way
area, providing the proposed right-of-way linework to the Caltrans District 1 Right -of -Way division for
review. GHD's additional efforts have included coordinating with Caltrans and the City on the method to
legally transfer the City's right-of-way to the State, and assisting the City with the right-of-way
documentation and transfer process. To facilitate and expedite this process, we propose additional budget
be allocated for this ongoing effort.
The previous project amendment included the preparation of a Storm Water Pollution Prevention Plan
(SWPPP) because the project area of disturbance is greater than 1 acre. This requirement remains, but
GHD recommends that the SWPPP document be prepared by a third party hired by the construction
contractor, as is customary with Caltrans construction projects. While some SWPPP effort is still needed

to outline the requirements of the SWPPP, the remaining budget ($2,600) will be applied to other tasks
proposed herein.
GHD proposes to provide the following additional professional services for the Talmage Road Interchange
project:
Task 5.1 Right -of -Way Services
GHD will provide right-of-way coordination and support services including preparing right-of-way plans
and linework in Microstation format, providing right-of-way information to the Caltrans District 1 right-of-
way division, coordinating with Caltrans and the City on the method to legally transfer the City's right-of-
way to the State, assisting the City with title report procurement, and assisting the City with the right-of-
way transfer process. Included in this task is additional subconsultant survey efforts (Rau and Associates).
Task 5.2 Storm Water Pollution Prevention Plan (SWPPP)
GHD will apply $2,600 of the original $4,694 budget to prepare a SWPPP document toward the Right -of -
Way Services task.
Proposed Fee
GHD proposes to complete this scope of services (Tasks 1 — 5)for a time -and -materials fee not to exceed
$130,746 without written authorization from the City per the attached fee estimate (Attachment 1).
Services not included in this proposal can be provided on a time -and -materials basis per the attached
GHD Standard Fee Schedule (Attachment 2) or by a negotiated fee. We are available to begin
immediately upon acceptance of this proposal receipt of an executed contract amendment. We propose to
work efficiently to meet the City's and other stakeholder's expectations and goals for this project.
Summary
GHD is committed to continuing to provide the City with the high-quality service and flexibility you have
come to expect. We understand that these projects have been ongoing for some time, and that there have
been numerous changes in direction and approach throughout the course of the projects to address
options the City wanted to explore and new issues as they arise. We are excited at the prospect of
completing the designs so the City can advertise them for bidding and begin construction.
Before beginning we will work with you to develop a schedule that aligns with the City's project funding
requirements with a general goal to complete the final deliverable for the Redwood Business Park
Transportation Improvements project this winter so the project can be advertised for bids during late
winter / early spring 2017 with construction anticipated to start in late spring / early summer.

2016 USA West Fee Schedule
Employee time will be billed in accordance with the fees listed above. These rates are subject to
change on a semi-annual basis. For other than professional employees, time spent over 8 hours
per day, time spent on swing shifts, and time spent on Saturdays will be charged at 1.5 times
the hourly billing rate. Work on Sundays will be charged at 2.0 times the hourly billing rate and
holiday work will be charged at 2.5 times the hourly billing rate. All field personnel charges are
portal to portal. Professional employees will not be charged out at premium charge rates for
overtime work.
Expenses and other similar project related costs are billed out at cost plus 15%. The cost of
using equipment and specialized supplies is billed on the basis of employee hours dedicated to
projects. Our rates are:
A. Office consumables: $6.00/hr
B. Environmental Dept/Construction Inspector consumables: $11.00/hr
C. Survey Field consumables: $15.00/hr
D. Various Environmental, Construction and Land Surveying equipment: At market B. C. D.
Payment for work and expenses is due and payable upon receipt of our invoice. Amounts
unpaid thirty (30) days after the issue date of our invoice shall be assessed a service charge of
one and one half (1.5) percent per month.
(*)These rates do not apply to forensic -related services, or to work for which Prevailing Wage obligations exist. It is the responsibility of the client to
notify GHD Inc in writing if Prevailing Wage obligations are applicable, in which case the fees will be adjusted proportionate to the increase in labor
cost.
