FIRST AMENDMENT TO THE GRANICUS SERVICE AGREEMENT BETWEEN GRANICUS,
INC. AND THE CITY OF UKIAH
This First Amendment to the Granicus, Inc. Service Agreement dated November 18, 2016, is made and
entered into by and between Granicus, Inc., a California Corporation (hereinafter referred to as
"Granicus"), and the City of Ukiah, California (hereinafter referred to as "Client"), with reference to the
following:
WHEREAS, the Client and Granicus entered into an Agreement dated October 13, 2015 (the
"Agreement"); and
WHEREAS, in addition to Client's existing solution, Client wishes to add the Granicus Portable Encoder
and Peak Agenda Management Software as detailed in the Proposal dated November 29, 2016, which is
attached as Exhibit A and incorporated herein by reference;
NOW, THEREFORE, in consideration of the premises, the parties intend that the Agreement be amended
as follows:
1. Compensation shall be amended to include an additional six thousand five hundred dollars
($6,500.00) upfront. The Client shall be responsible in months one (1) through three (3) of
Agreement for a monthly fee of two hundred dollars ($200.00) for the Portable Encoder
Software; and a promotional zero dollar ($0.00) monthly fee for the Peak Agenda Management
Software, for a total monthly fee of two hundred dollars ($200.00). In months four (4) through the
end of the term, the client shall be responsible for a monthly of two hundred dollars ($200.00) for
the Portable Encoder Software and four hundred dollars ($400.00) for the Peak Agenda
Management Software, for a total monthly fee of six hundred dollars ($600.00). The Client's
Granicus solution shall now include additions to the Agreement as detailed in Exhibit A.
2. Except as amended by this First Amendment, all other terms and conditions of the Agreement
shall remain in full force and effect.
3. In the event of any inconsistency between the provisions of this First Amendment and the
documents comprising the Agreement, the inconsistency shall be resolved by giving precedence
to the documents in the following order:
A. Paragraphs set forth in the body of this First Amendment
B. Paragraphs set forth in the body of the Agreement

Executive Summary
This proposal is based on conversations between Chavin Muniz and Kristine Lawler and aligns with Ukiah's existing
Granicus services.
Ukiah currently utilizes Granicus for streaming meeting audio and publishing meeting information to the public Website
for citizen access. Granicus offers a fully web -based agenda management software, called Peak Agenda, which integrates
seamlessly with the existing Granicus streaming platform, and will reduce the current workload required to prepare for
streaming events. Additionally, Peak Agenda will automate the agenda creation process, and help increase efficiency in
both agenda and minutes preparation.
In addition I want to offer a promo for PEAK, it is a 3 month trial period. For the first three months of service you will not
be charged for PEAK, a savings of $1200. Invoices for PEAK will begin when the three month trial period is complete.
Please note that after December 31 st, 2016 this promotion will no longer be applicable. Ukiah can cancel for any reason
within the first 3 months (90 days) of PEAK service without any penalty.
This proposal also includes the addition of a new portable SDI encoder, designed to record and stream meetings off-site
or back and forth from various meeting rooms. The portable encoder is a military grade laptop with built-in encoder
card and Granicus software.

Proposal Terms and Conditions
• Sales tax may apply depending on your organization's tax status and the tax laws unique to your state, county
and/or municipality
• For existing clients, the costs associated with this proposal or purchase order are in addition to client's existing
services.
• If Client's solution requires any onsite training, Client agrees to pay travel expenses for Granicus employees
(including but not limited to airfare, lodging, meals) not to exceed two thousand dollars ($2,000.00) per trip.
• If multiple products are included in this proposal, product scope of work timelines might not run parallel to each
other and extend the time of the overall project.
