Jy)5 -207 -M CITY OF UKIAH AMENDMENT NO. 1 TO PRONESSIONAL SERVICES CON'TRACT 1415207 BETWEEN PATTERSON & DEWAR ENGINEERS, INC. and 'HIE CITY OF UKIAII This Amendment No. 1, entered on August 12, 2015, revises the Agreement for Professional services dated June 18, 2015 between the City of Ukiah and Patterson & Dewar Engineers, Inc. for professional consulting services relating to the performance of general engineering services. This Amendment No. 1 adds Exhibit A - Statement of Work — Orchard Substation Transformer Repair. Additional cost for this work is not -to- exceed $7,400.00. As a result, the revised total contract amount is not -to- exceed $16,400.00. Except as expressly amended by this Amendment, all other terms remain unchanged and in full force and effect. ORCHARD SUBSTATION TRANSFORMER REPAIR City of Ukiah ( "Client ") and Patterson & Dewar Engineers, Inc. ( "Consultant "), collectively referred to as "Parties ", enter into this Statement of Work ( "SOW ") on August 12, 2015. This SOW shall be governed by the Agreement for Professional Consulting Services No. 1415207 ( "Agreement ") dated June 18, 2015 between Client and Consultant. Unless otherwise defined in this SOW, terms which are set forth in initial uppercase letters have the meaning established for such terms as set forth in the Agreement. Consultant agrees to complete the following project in accordance with the Agreement and in accordance with the following terms: Project Overview Client wants to perform repairs on two of its 1983 RTE /ASEA 115 -12kV, 20MVA transformers at the Orchard Substation. The repairs entail replacing the four low side bottom - connected bushings, replacing all the radiator gaskets, and repacking the radiator valve stems (oil drained and stored) on both transformers. Client has requested Consultant provide the technical specifications for the procurement process for repairs. II. Scope of Services Consultant will perform the following tasks in execution of this Project: • Gather the outline and other drawings on the transformers • Assist Client with development of switching procedures for removing the transformers from service (if necessary). • Develop an outline of the work to be performed. • Develop a technical specifications for the work. • Submit technical specifications to the Client for review. • Arrange and attend a conference call to discuss the technical specifications. • Prepare and submit final specifications. III. Schedule This SOW will be for an initial period starting immediately. Consultant anticipate providing the review specifications within one month. The SOW may be extended by mutual written agreement between Parties prior to expiration of the term of this SOW. IV. Payment Terms Consultant shall submit monthly invoices to Client. Payment terms are specified in the Agreement. Consultant shall provide estimated effort levels upon request. V. Basis of Fee Development The following are assumptions made by the Consultant in developing the fee and scope of services for this project: • Client will provide the drawings for the transformers. • Specifications will be based on NETA standards. VI. Total Fees The fee for the services under this Agreement will be provided on a time and expense basis not to exceed a maximum of Seven Thousand Four Hundred Dollars ($7,400.00), on the basis of the scope of services Statement of Work — Orchard Substation Transformer Repair City of Ukiah 1 rio outlined in this SOW and the anticipated level of effort, without obtaining the prior written authorization of Client. Notwithstanding anything to the contrary herein, the Consultant will not be required to furnish services or incur expenses for work not included in this SOW without written authorization (including email) from the Client committing to additional funding. Expenses will be billed in accordance with the payment terms of the Agreement. This SOW may be executed in counterparts or duplicate originals and facsimile, electronic and digital copies, including properly executed PDF versions and all shall be regarded as an original instrument by the Parties.
