Compensation to be on the basis of Time and expense, not to exceed $3,746 as described in our proposal and cost estimate. If additional work is required (for example, by regulatory agencies), it will be in accordance with our Fee Schedule, Attachment A. Lawrence & Associates will conduct no additional work, however, without prior written approval of the Client. This authorization subject to PROVISIONS stated on the back of this contract. Authorization to Proceed Signing this form shall be construed as authorization by Client for Lawrence & Associates to proceed with the work unless otherwise provided for herein. 2. Direct Expenses Lawrence & Associates' direct expenses shall be those costs incurred on or directly for the Client's Project, including, but not limited to, necessary transportation costs such as mileage, meals, lodging, laboratory tests and analyses, computer services, telephone, printing, and binding charges. Reimbursement for these expenses shall be on the basis of the attached Schedule of Fees. 3. Outside Services When technical and professional services and subcontracted labor and equipment are furnished by an outside source, reimbursement for these expenses shall be on the basis of the attached Schedule of Fees. Lawrence & Associates may require the client to contract and pay for these services directly. 4. Professional Standards Lawrence & Associates shall be responsible to the level of competency presently maintained by other practicing professional engineers in the same type of work in Client's community, for the professional and technical soundness, accuracy, and adequacy of all designs, drawings, specifications, and other work and materials furnished under this Authorization. Lawrence & Associates and/or David A. Lawrence, Inc. makes no other warranty, express or implied. 5. Termination Either Client or Lawrence & Associates may terminate this Authorization by giving 30 days written notice to the other party. In such event, Client shall forthwith pay Lawrence & Associates in full for all work previously authorized and performed prior to effective date of termination. If no notice of termination is given, relationships and obligations created by this Authorization shall be terminated upon completion of all applicable requirements of this Authorization, except for the provisions of paragraphs 4, 6, 7, and 8, which shall continue in effect as provided by law. 6. Arbitration All claims disputes, and other matters in question arising out of, or relating to, this Authorization or the breach thereof may be decided by arbitration in accordance with the rules of American Arbitration Association then obtaining. Either Client or Lawrence & Associates may initiate a request for such arbitration. No arbitration arising out of, or relating to, this Authorization may include, by consolidation, joinder, or in any other manner, any additional party not party to this Authorization. 7. Hold Harmless Client agrees at all times to defend, indemnify, hold harmless, and provide all legal defense and related services to Lawrence & Associates and/or David A. Lawrence, Inc., its officers, agents and/or employees (hereinafter collectively "Lawrence") for any and all claims, expenses, demands, causes of action, liability, loss or injury regardless of their nature or character in any manner whatsoever arising out of (1) any third person's use or reliance on the work performed under this agreement, (2) any alleged or proven act or omission of Lawrence, or (3) any litigation or arbitration or the like regarding the work performed under this agreement involving third persons not parties to this agreement and Lawrence & Associates and/or David A. Lawrence, Inc. 8. Litigation Liability for damages proximately caused by Lawrence & Associates and/or David A. Lawrence, Inc. resulting from breach or improper performance of this agreement shall be limited to cancellation of the sums due and owing or recovery of the sums already paid to Lawrence & Associates by Client. In the event the Client makes a claim against Lawrence & Associates and/or David A. Lawrence, at law or otherwise, for any alleged error, omission or other act arising out of performance of our professional services, and the Client fails to prove such claim, then the Client shall pay all costs incurred by Lawrence & Associates in defending itself against the claim. All attorneys fees and other legal fees spent by Lawrence & Associates to recover contracted costs shall be paid by the Client. 9. Payment Terms Unless stated in writing, all invoiced charges are due in full within 10 days of the invoice date. 10. Service Charges Invoiced charges not paid within 30 days of the invoice date will be assessed a 1.5% service charge per month or the maximum allowed by law. The service charge will be assessed on the full balance owing, including past services charges. Returned checks will be assessed a $20 returned -check fee or the maximum allowed by law. End of provisions City of Ukiah June 1 S, 2006 Proposal for Annual Emissions Sampling Page 1 of 3 Introduction As requested by Mr. Rick Seanor of the City of Ukiah, this proposal describes the scope of work and associated costs for conducting the annual emissions sampling of the perimeter gas - extraction system at the City of Ukiah Landfill (Landfill). In 1997, a perimeter gas -extraction system was installed at the Landfill to control the migration of landfill gases away from the landfill. The system consists of vertical extraction wells (between the landfill and the property line) connected to a header pipe. Landfill gas that has migrated out of the landfill is collected by the wells, and then conveyed in the header to the stack. The collected gas is discharged without treatment, because a screening -level health -risk assessment, conducted when the system was started, showed a less than 10 -in -one -million excess cancer risk (the 10 -in -one -million limit was established by Mendocino County Air Quality Management District [MCAQMD]). The system is operating under a "Permit to Operate" issued by the MCAQMD. Condition XIV.B.2. requires annual testing of stack gas for methane and the "specified air contaminants" of the California Health and Safety Code, §41805.5, and reporting of the results to the MCAQMD 30 days before each permit renewal date (August 30 of each year). This condition requires sampling and analysis by EPA TO -14 methodology. TO -14 analysis, however, is not appropriate for methane and some of the specified air contaminants. The appropriate analytical methods are described in the Scope of Work, below. Special Condition XIV.B.3. states that if a health -risk assessment conducted by the MCAQMD shows a greater than 10 -in -one -million excess cancer risk at the nearest receptor, the MCAQMD may require treatment of the effluent. A health -risk assessment conducted now or in the future would be based on the annual sampling conducted for Special Condition XIV.B.2. Scope of Work This scope of work addresses Special Condition XIV.B.2 (the annual emissions sampling) in the Permit to Operate. For all analyses, the system effluent will be sampled via a tee fitting attached to the sampling port on the stack, inside the blower building. All samples will be collected in duplicate. The formaldehyde samples will be collected using vacuum pumps constructed of stainless steel, Teflon, Viton rubber, and Borosilicate glass, and designed for gas monitoring. Samples for formaldehyde will be drawn through DNPH-coated silica -gel cartridges at about 1 liter/minute P03148.00 Task 5 Lawrence & Associates City of Ukiah June 15, 2006 Proposal for Annual Emissions Sampling Page 2 of 3 for 6-8 hours. A field blank will be analyzed for formaldehyde. The field blank will consist of a cartridge that remains in its culture tube next to the pumps during the duration of sampling. Hydrogen sulfide will be collected in a tedlar bag, volatile organic compounds and fixed gases will be collected in 6 -liter SUMMA canisters cleaned at the laboratory. Before sampling, the canisters can hold a vacuum of up to -28 inches of mercury. The high vacuum allows sample to be drawn into a canister, without the use of a pump, when the stainless-steel bellows valve on the canister is opened. All samples will be shipped overnight to Air Toxics, Ltd., Folsom, California. Air Toxics is a California certified environmental laboratory. Fixed (natural) gases and total nonmethane hydrocarbons (nonmethane organic compounds, NMOC) will be analyzed by ASTM Method D-1945. The specified air contaminants of the California Health and Safety Code, Part 4, Chapter 3, Article 2, Section 41805.5(i)(6) will be analyzed by EPA Method TO -11 (for formaldehyde), EPA Method TO -14 (for halogenated hydrocarbons), and ASTM D-5504 (for hydrogen sulfide). Results will be presented in a written report containing field notes, laboratory sheets, tabulated summaries of the data, and a discussion of results. The results also will be used to evaluate compliance with Special Condition XIV.B.1, the emission limit for NMOC of 220 pounds/day. The work does not include a health -risk assessment. If results from the proposed sampling are similar to previous results (for which a health -risk assessment was conducted), presumably the excess cancer risk of 10 -in -one million would not be exceeded. The City does not need to conduct a health -risk assessment unless specifically requested to by the MCAQMD.
