HomeMy WebLinkAboutEBA Engineering 2007-11-27; Amendment 5 2002-10-09 s �,�`�- G C,���t7�-�� ' CITY OF UKIAH AMENDMENT 5 TO AGREEMENT FOR PROFESS(ONAL SERVICES PROVISION OF ENVIRONMENTAL COMPLIANCE SERVICES FOR THE CITY OF UKIAH LANDFILL, MENDOCINO COUNTY, CA This Amendment to the above mentioned Agreement dated October 9,2002 is entered into this Z�h day of NfNEM$�32 , 2007 (effective date), by and between the CITY OF UKIAH, a general law municipal corporation, hereinafter referred to as "CITY" and EBA Engineering, Civil and Environmental Engineers, a professional corporation, hereinafter referred to as the "CONSULTANT." PREMlSES The purpose of this amendment is to authorize CONSULTANT to provide an additional two years of environmental compliance services at the City of Ukiah Landfill,and specificallythose Tasks described in Tasks 2A, 2B, 2C, and GT2. The scope of work is more particularly described in the Consultant's Proposal dated September 25, 2007, marked "Attachment 1", attached hereto and incorporated herein. The City Council of the City of Ukiah approved this additional work and the associated budget for the work at its regularly scheduled meeting of November 7, 2007, as Agenda Item Number 10c. AGREEMENT CITY and CONSULTANT agree to the following changes to the Agreement dated October 9,2002.All other terms and conditions of the Agreement shall remain the same. ARTICLE I SERVICES OF CONSULTANT Add the following section to Article I of the Agreement: 1.08 In addition to the services listed in Paragraph 1.01 through 1.07 of the Agreement, CONSULTANT shall pertorm monitoring and reporting for the sixth and seventh annual cycles of quarterly and annual environmental compliance monitoring requirements. Specific tasks and deliverables are as outlined for Task 2 of the Agreement. ARTICLE III TERM OF AGREEMENT Revise the following section of Article III of the Agreement: 3.01 The term of this Amendment shall be extended through and include the submitta!of the 2009 Third Quarter Detection Monitoring Report. This amendment may be extended on its same terms and conditions upon written agreement between the Director of Public Works/City Engineer and CONSULTANT. 1 . ARTICLE IV COST OF SERVICES Add the following sections to Article IV of the Agreement: 4.02a CONSULTANT has been selected by the CITY to provide these additional services described in "Attachment 1", attached hereto and incorporated herein by reference, for which compensation shall not exceed a total of fifty two thousand three hundred sixteen dollars ($52,316)on a time and materials basis without the express written authorization of the CITY. Amend the following section to Article IV of the Agreement: 4.03 Cost overruns orfailure to perForm within the maximum compensation ceiling established in 4.01,4.02,and 4.02a above shall not relieve CONSULTANT of responsibility to provide those services specified in "Attachment 1" to this Amendment, for a total compensation including reimbursable expenses as stated above. ARTICLE V PAYMENT FOR SERVICES Amend the following section to Article V of the Agreement: 5.02 Payment scheduling: Total payment forwork added bythis Amendment shall not to exceed$52,316 without express written authorization of the CITY. Fees for professional services as outlined herein shall be paid on a time and materials basis. A detailed explanation of services and associated fees shall be listed on each invoice submitted by CONSULTANT. ARTICLE XV EXTENT OF AMENDED AGREEMENT Replace the following sections to Article XV of the Agreement: 15.01 The amended Agreement shall consist of the Agreement,dated October 9,2002,Amendment No. 1 dated December 12,2003,Amendment No.2 dated November 17,2004,Amendment No.3 dated September 14, 2005,Amendment No.4 dated October 26,2006 and this fifth amendment,togetherwith CONSULTANT'S proposal dated September 25,2007, identified as"Attachment 1",attached hereto and incorporated herein. 15.02 The amended Agreement constitutes the whole Agreement befinreen the CITY and CONSULTANT and any other representations or agreements are superseded by the terms of this amended Agreement. Deputy Director of Public Works City of Ukiah 300 Seminary Avenue Ukiah, CA 95482-5400 RE: Proposal for Environmental Compliance and State Geotracker Services City of Ukiah Landfill Mendocino County, California Dear Rick: Per your request, EBA Engineering (EBA) is pleased to present this Proposal to amend the original "Agreement for Professional Services" dated October 9, 2002 to incorporate an additional one (1) to two (2) years of environmental compliance and State Geotracker services for the City of Ukiah Landfill. As part of this amendment, EBA proposes to implement the same Task 2 and Task GT2 services that are currently performed under our existing agreement. An itemized breakdown of costs for the specific services is provided below. The corresponding cost table is attached at the end of this Proposal. • Task 2A - StormwateN Monitoring: $ 1,969 • Task 2B - Surface Wate�/Leachate/GroundwateN MonitoNing: $ 17,109 � Task 2C - Landfill Gas Monitoring: $ 5,708 • Task GT2 - State Geotracker Updates: $ 1,372 • Total Cost Estimate: $26,158 Please note that the aforementioned total cost represents an approximate seven percent increase from the existing contractual amount. This represents the first cost increase for the respective tasks since EBA started providing environmental compliance services for the City of Ukiah Landfill in 2002. This revised cost is reflective of EBA's 2007 labor rates for the various staff responsible for implementing the required scope of services. If the City elects to enter into a two-year contractual agreement, EBA will hold firm the aforementioned cost for the duration of the contract period, regardless of any labor rate changes that might occur in the interim.
