HomeMy WebLinkAboutUkiah Valley Sanitation District 1988-12-14 Active JOINT POWERS AGREEMENT WHEREAS, The Economic Development Administration requires a Joint Powers Agreement in instances where more than one legal entity will either own or operate project facilities ; and [,1HEREAS, The Carousel Project involves the construction of sewer mains to be owned and operated by the Ukiah Valley Sanitation District (hereinafter, "District") and improvements to the wastewater treatment plant owned and operated by the City of Ukiah, (hereinafter, "City") and will also require different agencies to be grantees of other match funding sources; and WHEREAS, The County of Mendocino, the City and the District are the parties involved in the overall project. NOW THEREFORE BE IT RESOLVED: That the Ukiah Valley Sanitation District, the City of Ukiah and the County of Mendocino do hereby agree as follows: I. PURPOSE: This Joint Powers Agreement, hereinafter referred to as "Agree- ment", is to identify the parties in connection with the Carousel Industrial Park Sewer Line and Wastewater Treatment Improvements Project, hereinafter referred to as "Project", and to outline which agency will be responsible for the operation, maintenance, and ownership of the project facilities and what financial role each agency plays. II. DURATION: The relationship of parties shall be in force from the time of grant application and until the fulfillment of all applicable grant conditions ; but not less than the expected useful life of the improvements constructed with grant funds. Useful life is defined as 75 years from project completion. III. TERMS: The following is an outline of which agency will be responsible for what function: 1) Lead Agency: The District will be designated as the "Lead Agency" for the project. The District will have the authority to bind the other parties to the following: A) The requirements set forth in the assurances section, Part V of Form ED-101A, including, but not limited to the Civil Rights Assurances, Non-relocation form, (attached as Exhibit A) . B) The requirements set forth in the public works application forms, ED-lO1P (Preanplication) and ED-101A (Application) and all applicable exhibits to these forms. C) The grant documents which include: * Grant Offer, which when executed by both EDA and the grantee, is referred to as the Grant Agreement. * 'The ED-508 budget accompanying the grant offer. -1- * The special conditions and standard terms and conditions and standard terms and conditions for public works and development facilities accompanying the Grant Offer. * The EDA publication, "Requirements for Approved Projects", Eighth Edition, June 1984, which is sent to grantees after EDA receives an executed original Grant Offer. * The Provisions of the United States Statutes condified in the United States Code and EDA Regulations codified in the code of Federal Regulations (CFR) and any Federal Register announcements applicable to EDA Public Works projects. 2) RESPONSIBILITY AND OWNERSHIP: Ownership of the proposed sewer trunk and collection spur lines will remian with the District during and after construction, for the useful life of these installations. Lands in which the lines will be installed are within the unincorporated area subject to jurisdictional authority of the County of Mendocino. The District will initiate annexation proceedings following execution of this agreement by all parties. The operation, maintenance and ownership of the wastewater treatment im- provements will remain with the City for the useful life of these instal- lations. There is an existing agreement between the District and the City for operation and maintenance of facilities under the District's jurisdiction that governs the relationship between the District and the City. The provisions of that agreement will determine how these improvements shall be operated and maintained. (A copy of that agreement is attached hereto as Exhibit B and incorporated herein by reference) . 3) FUNDING: The District will be the agency that applys for the Econ- omic Development Administration funding and takes the role of Lead Agency for this project. The County of Mendocino will be the agency that applies for and accepts the funding from the Department of Housing and Community Development and the Economic Development set aside Community Development Block Grant and will assume the role of Grantee, as for the Rural Economic Development Infrastructure Loan Program funding, the County of Mendocino will be the applicant and the District, the borrower. 4) PAR'I`Y UNDERSTANDING: All parties hereby state that they understand they are bound by the application forms and grant documents executed and accepted on their behalf and the applicable statutes and regulations as provided in this agreement, and that all parties further agree to each submit the following application materials: A) Exhibit II-C-1, Civil Rights Status Report. B) Form ED-612, "Current and Project Employee and Payroll Data". C) Non-Relocation Certification. -2- 5) ADMZNISTRATION: The District will be responsible for the admin- istration of the project, as it pertains to all agency funding sources, and the District will arrange for said administration personnel on a subcontract basis. The District will assume responsibility of the following: A) Filing of EDA Project Reports. B) Receive and distribute grant funds and file EDA Financial Reports. C) Bidding, award and management of the construction contract(s) . D) Al1 CDBG Grant Program requirements. 6) The parties to this agreement shall be jointly and severally liable to EDA for the performance of this agreement and compliance with appropriate Federal laws, regulations and grant application representations and assur- ances. Except for their joint and several liability to EDA, each party to this agreement shall not be jointly and severally liable and shall be separately liable to any other person or entity for its own actions and the actions of its officers, agents and employees. 7) The following persons are hereby designated as the authorized repre- sentatives for the purpose of signing this document for the project: Chairman of the Board of Supervisors Chairman of the District Mayor of the City 8) The parties further agree that transmittal of this agreement will be accompanied by certified resolutions from each agency providing for sig- nature by an authorized representative of the parties on behalf of the parties. 9) The parties acknowledge that beneficiaries, referred to as "Other Parties" by EDA, of the project facilities will also be required to comply with EDA's Civil Rights and applicable Property Management requirements, as well as the executed "Assurance of Compliance with Civil Rights and Other Legal Requirements forms, an ED-612 Form, "Current and Project Employee and Payroll Data", if said other parties create or save 15 or more jobs as a result of the EDA assistance, "Employer's Certificate of Non-Relocation", if said other parties are located or locating within the project boundaries, and "Affirmative Action Plan" (AAP) , if other parties will create or save 50 or more permanent jobs as a result of the EDA assistance. -3- , , Mendocino County Board of Supervisors Approved as to form: County of Mendocino Courthouse % � �� � Ukiah, Ca. 95482 � (707) 463-4221 � � � i �' i .
