CITY OF UKIAH
AMENDMENT NO. 1 TO THE AGREEMENT FOR PROFESSIONAL SERVICES
This Amendment No. 1 to the Agreement for Professional Services between the
City of Ukiah ("City") and Brown and Caldwell, Consulting Engineers ("Consultant"), is
entered in Ukiah, California on December ,ZC� , 2005 ("Effective Date").
TERMS AND CONDITIONS
All terms and conditions of the Agreement for Professional Services between the City of Ukiah and Brown
and Caldwell, dated December 3, 2002 (the Agreement) to provide consulting engineering services related to
the City of Ukiah Wastewater Treatment Plant Improvement Project (the Project) shall remain in full force
and effect as modified by this Amendment.
AMENDMENT AUTHORIZATION
Paragraphs 1.1 and 2.3 of the Agreement authorize the City to amend the Scope of Work of the Agreement.
The Consultant shall perform any added work and/or not perform any deleted work upon the execution of an
Amendment to the Agreement. Added work shall be performed on a cost reimbursement basis pursuant to the
provisions of paragraph 2.3 of the Agreement.
AMENDED SCOPE OF WORK
The Scope of Work of the Agreement is amended by the addition of the following:
Added Work:
1. Two weeks extended inflow and infiltration sewer collection system flow monitoring. The total
compensation for the performance of this item 1 of Added Work shall not exceed$6,000.
2. Existing and proposed plant flow schematics for Washington, D.C. funding meetings, presentations,
and workshops for the Project. The total compensation for the performance of this item 2 of Added
Work shall not exceed$2,880.
3. Additional soil borings required for the design of the third trickling filter and dissolved air flotation
unit for the Project. The total compensation for the performance of this item 3 of Added Work shall
not exceed$6,000.
4. An additional year of Reed Smith Consulting Services to assist in securing federal grants for the
Project. The total compensation for the performance of this item 4 of Added Work shall not exceed
$52,800.
5. Asbestos and lead survey of the Wastewater Treatment Plant (WWTP) Operations Building as
required by the State of California prior to construction work on the building. The total
compensation for the performance of this item 5 of Added Work shall not exceed$6,683.
6. Additional environmental studies required for compliance with the California Environmental Quality
Act and the National Environmental Protection Act. The total compensation for the performance of
this item 6 of Added Work shall not exceed$104,876.
7. Engineering design assistance with the Value Engineering Analysis of the Project as requested by
the Ukiah City Council and the Ukiah Valley Sanitation District. The total compensation for the
performance of this item 7 of Added Work shall not exceed$53,255.
8. Engineering design services for replacement of the WWTP tertiary effluent outfall pipe. The total
compensation for the performance of this item 8 of Added Work shall not exceed$12,785.

9. Engineering design of a reclaimed water pipeline to enable reclaimed water to be pumped outside
the WWTP to replace potable water use for landscape irrigation. The total compensation for the
performance of this item 9 of Added Wark shall not exceed$6,536.
10. Landscape design services for the Project. The total compensation for the performance of this item
10 of Added Work shall not exceed$9,740.
11. Engineering design assistance with the Cost Reduction Study by Ewing Construction Services of the
Project as requested by the Ukiah City Council and the Ukiah Valley Sanitation District. The total
compensation far the performance of this item 11 of Added Work shall not exceed$60,000.
12. Engineering consulting services to complete a Watershed Sanitary Survey as required by the State of
California every five years. The total compensation for the performance of this item 12 of Added
Work shall not exceed$40,000.
13. Engineering consulting assistance to complete the renewal application for the National Pollutant
Discharge Elimination System Permit for the WWTP. The total compensation for the performance
of this item 13 of Added Work shall not exceed$23,500.
TOTAL COMPENSATION FOR THE WORK OF THE AGREEMENT
The total compensation for work performed under the Agreement shall be changed from $6,608,982 as
stipulated in the Agreement to $6,994,037 by reason of the addition of the Added Work stipulated in this
Amendment. The revised total compensation does not take into consideration the provisions for increase in
the not to exceed compensation pursuant to the adjustment provisions of Attachment C, "Compensation, City
of Ukiah, Wastewater Treatment Plant Improvement Project", Section IV, "LIMITATION OF COST AND
TIME".
SIGNATURES
By signing below, the autharized represent tives of the City and Consultant agree to amend the
Agreement as described in this Amendme .
