Dear Ms Chambers,
This letter will confirm our understanding of the arrangements for the
Management Advisory Services (MAS) for two additionai engagements that I am
in the process of providing to the City of Ukiah (City) related to:
1) My efforts to obtain a long term solid waste disposal fee at a rate which is
lower than the existing rate, and 2) Provide the City with Litigation Support
Services in the matter being heard in Mendocino Superior Court between the
County of Mendocino and the City Transfer Station Operator, in which the City
has been named a necessary third party.
You have represented to me that you have the authority, under the City
procurement rules to retain me for these services. The terms and conditions of
these two additional engagements will be the same as detailed in my previous
Engagement Letter with the City that you authorized dated, December 4, 2013,
except that in matter number 2) above, Litigation Support Services, the following
will also apply:
Should, at your option, the City Attorney wish to designate me as an expert
witness at sometime in the future on an engagement covered by the terms of this
letter, I would be willing to provide services in such a role. Simply notify me of
your request, and provide me with the appropriate information so that I can
function effectively. Any required notice to other parties of my expert witness
status will be the City Attorney's responsibility, and I will require direction from
him as to what extent, if any, my work product related to such an expert witness
engagement is protected by attorney/client privilege. Such an engagement as an
expert witness would be separate from the billing limits detailed below, and would
constitute an additional separate engagement. A billing limit for such an
engagement would be mutually agreed to by the City and myself, should I be so
retained.
You reaffirm, as stated in our Engagement Letter of December 4, 2013, The City
indemnifies me and holds me harmless in any legal action that might arise

related to the services that I provide in these engagements, and will pay all costs
of my defense using an Attorney acceptable to me.
In the matter of item 1) described above, The City will not be obligated to pay
more than the following: Three thousand dollars ($3,000) maximum fees and
costs for this project under this engagement letter, without the prior written
authorization of the City.
In the matter of item 2) described above, The City will not be obligated to pay
more than the following: Five thousand dollars ($5,000) maximum fees and
costs for this project under this engagement letter, without the prior written
authorization of the City.
As you know I have provided services to the City in the past, and I look forward
to providing such services to the City in the future.
If this letter correctly expresses your understanding in regard to the above
mentioned Management Advisory Services, please indicate your acceptance by
signing, dating and returning the original to me. A copy is enclosed for your file.
If you have any questions, now or in the future, please call me.
