ADDENDUM TO AGREEMENT FOR PROFESSIONAL SERVICES
This agreement ("Addendum"), effective�, 2014 ("Effective Date") amends the
Agreement for Professional Services, Preparation of an Environmental Impact Report, Talmage
Road/Highway 101 Interchange Off-Ramps Realignment between the City of Ukiah ("City") and
Leonard Charles and Associates ("ConsultanY'), dated October 30, 2013 ("AgreemenY') and
amended on May 8, 2014 (Addendum 1 to Agreement). Except as expressly amended by this
Addendum the provisions of the Agreement remain in full force and effect.
1. The Scope of Services referenced in Articles 1, 2 and 3 of the Agreement includes
Exhibit A to the Agreement, Exhibit 1 to Addendum 1 to Agreement (May 8, 2014) and Exhibit 1
to this Addendum.
2. Article IV, Cost of Services, includes $48,331.00, based on the Scope of Services in
Exhibit A to the Agreement, and, in addition, $35,354.00, based on the Scope of Services from
Addendum 1 to Agreement (May 8, 2014), and $16,840.00 based on the Scope of Services in
Exhibit 1 to this Addendum.
3. Section 5.02 is revised to read:
Payment scheduling: Total payment not to exceed $100,525.00, unless an additional
contract amendment/addendum is approved. A detailed explanation of services and
associated fees shall be listed on each invoice submitted by CONSULTANT.
IN WITNESS WHEREOF, the parties hereto have caused their duly authorized officers
to execute this Addendum in duplicate on the Effective Date.

Request for Contract Amendment
Preparation of Final Draft EIR
Leonard Charles and Associates has a contract with the City of Ukiah to prepare an EIR
for the Talmage Road/Southbound U.S. 101 On-Off Ramp Realignment Project .
Subsequent to contract approval and based on input from the City's attorneys, LCA
needed to conduct two additional studies for the Draft EIR that were not budgeted for in
the contract. They were an energy analysis of the project and additional noise modeling
of where the 60 decibel contour line was relative to the project site. Both of these
studies were prepared by our technical subconsultant, Illingworth & Rodkin, Inc. and
were authorized by the City. The cost for this additional work was $4,500 for the energy
study and $1,480 for the noise modeling.
Preparation of Responses to Comments
The original contract included a minimal budget for preparing Responses to Comments.
The City recognized in the approved contract that the cost for responding to comments
on the full EIR (as compared to the original more focused EIR) could not be estimated
until we saw the amount and detaii of comments that were submitted. Additionally, one
of the commenters incorporated by reference all the comments submitted on the
previous Draft Mitigated Negative Declaration, and we have been directed to respond to
those comments where they are pertinent to the EIR analysis.
We have reviewed and numbered all the comments, There are approximately 160
comments requiring response. Typically, responding to comments and finalizing an FEIR
takes an average of 45 minutes per comment (the time to read and review comments,
determine who needs to respond, prepare draft responses, review draft responses,
prepared revised responses, and format responses and FEIR).
Responding to technical comments relative to the noise and air quality sections plus
reviewing other responses prepared by LCA will require an additional 16 hours ($2,960)
of the time of two Senior Consultants at Illingworth & Rodkin.
Responding to technical comments on traffic will require an additional $2,000 for a traffic
engineer and environmental specialist at GHD.
LCA's responding to comments on other sections of the EIR, reviewing comments by
other consultants, managing the FEIR process, finalizing the Draft FEIR, revising the
FEIR to respond to City and attorney comments will take an estimated additional 36
hours ($5,900) beyond what was budgeted in the approved contract.
Cost
LCA requests a contract amendment to cover the costs listed above. The total cost for
work done on the DEIR and the FEIR would be $16,840.
