EASEMENT
CITY OF UKIAH, a municipal corporation,
hereinafter called first party , hereby grants to PACIFIC GAS AND ELECTRIC COMPANY, a
California corporation, hereinafter called second party , the right from time to time to construct,
reconstruct, install, inspect, maintain , replace, remove, and use facilities of the type hereinafter
specified , together with a . right of way therefor, within a strip or parcel of land or along a route as
hereinafter set forth , and also ingress thereto and egress therefrom , over and across the lands situate
in the City of Ukiah County of Mendocino , State of California, described as follows:

I. The parcel of land, situate in the City of Ukiah , described in the deed from Leonida Franceschi and
others to the City of Ukiah dated December 17, 1993 and recorded in Book 2138 of Official Records
at Page 557 , Mendocino County Records .
II. The parcel of land described in the deed from Forrest MacDonald and wife to the City of Ukiah
dated January 31 , 1955 and recorded in Book 389 of Official Records at Page 557, Mendocino
County Records .
Said facilities shall consist of:
Such poles , aerial wires , cables , electrical conductors with associated crossarms, braces,
transformers, anchors , guy wires and cables, fixtures , and appurtenances , as second party deems
necessary located along the route described as follows :
Commencing at the found 1 /2 - inch iron pipe tagged R. C .E. 22623 accepted as marking. the
northeast corner of LOT 70 as shown upon the Final Map of Vichy Springs Community Homes
Unit One filed for record in Map Case 2, Drawer 51 at Page 51 , Mendocino County Records ,
and running thence
(a) north 7 ° 16 . 1 ' east 700 . 2 feet
to a point in an existing line of poles erected on said lands under and by virtue of the unrecorded
deed from Salvatore Franceschi and wife to Pacific Gas and Electric Company dated October 5,
1959, being the TRUE POINT OF BEGINNING of this description; thence
(1 ) north 0 ° 51 . 1 ' east 191 .5 feet; thence
(2) north 33 * 02 . 7 ' east 325 . 2 feet; thence
(3) north 52 ° 30 . 2 ' east 981 . 6 feet
to a point in an existing line of poles erected on said lands under and by virtue of the unrecorded
deed from the City of Ukiah to Pacific Gas and Electric Company dated June 4, 1965 .
First party further grants to and confirms in second party all necessary rights for second party ' s
existing poles , wires and other appurtenances located on said lands . , as depicted on the map ,
attached hereto , and incorporated herein .
The legal description herein, or the map attached hereto, defining the location of this utility distribution
easement, was prepared by Pacific Gas and Electric Company pursuant to Section 8730 (c) of the Business
and Professions Code.

Second party shall also have the right from time to time to trim and to cut down and clear away or
otherwise control any and all trees and brush now or hereafter on said strip or said parcel of land or
along said route, as herein before set forth , and shall have the further right from time to time to trim
and to cut down and clear away any trees on either side of said strip or said arcel of land or along
said route, as herein before set forth , which now or hereafter in the opinion ofpsecond party may be a
hazard to the facilities installed hereunder by reason of the danger of falling thereon , provided ,
however, that all trees which second party is hereby authorized to cut and remove, if valuable for
timber or wood , shall continue to be the property of the first party, but all branches and brush shall be
burned or removed by second party .
First party shall not erect or construct any building or other structure or drill or operate any well
under or within 10 . 0 feet of the center line of second party ' s electrical conductors and within said
strip of land .
The provisions hereof shall inure to the benefit of and bind the successors and assigns of the
respective parties hereto .

Dear Rick:
Attached are the agreements for the installation of overhead electric facilities to the above
referenced project. The charges for this project are being made under the following
installation provisions: Electric- Standard Installation Under Option 1 .
The total payment due , as shown in the Extension and Service Agreement , is $21 , 812 . 71 .
Additional detail for these charges is shown in the Exhibit A of the agreement.
You must specify your payment option selection on the second page of the Extension and
Service Agreement (Refundable/Discount Option Selection) even though you have no initial
refundable payment due under Rule 15 . Your payment option selection will determine how
any adjustments will be made for non-compliance with allowances that are granted .
Effective January 1 , 1992 , the State of California has considered Contributions In Aid of
Construction (CIAC) as taxable in all situations where Federal tax on CIAC's apply. Some of
the charges shown above include an Income Tax Component of Contribution (ITCC) at the
current rate of 34% for electric facilities . ITCC will be either refundable or non- refundable in
accordance with the corresponding contribution .
The prices quoted for this job are valid for ninety (90) days. If construction has not started
within this ninety day period , a revision of these charges may occur. PG&E construction will
usually start approximately three weeks after receipt of the signed agreements, payment of
all charges specified above , and your readiness to receive service .
The construction requirements for this project have been previously provided to you and all
facilities must be installed as shown on the PG&E construction sketch and standards
provided . In addition , your work must comply with certain requirements which are contained
in PG &E's Electric and Gas Service Requirements manual (Greenbook) . Any deviations
must be approved by the PG&E Inspector, with any change-orders signed before work can
proceed .

Dear Rick:
This refers to your request that PG&E proceed with the preparation of engineered
drawings and costs / engineering detail before we reach final agreement for the
installation of electric facilities to serve your pump, located at the Ukiah Landfill,
Vichy Springs Road, Ukiah, County of Mendocino, California.
We are willing to proceed with due diligence to accomplish this preliminary work after
you provide us with a project deposit of $2,000. 00 . This deposit is based on current
costs and will be firm for a period of ninety days after the date of this letter. If this
letter agreement is not executed and the payment made by you prior to the expiration
of the ninety day period, it may be necessary for us to re-estimate the amount of the
payment and prepare another letter agreement. In addition, please complete and
return the enclosed Application for Service and the Installation Option Form with your
deposit, along with your proposed service route and meter location (sketch preferred) .
You may, at any time, request that we stop the preliminary work on this project with
the understanding that the actual costs that have been incurred by us to that time will
be deducted from your deposit, and the excess, if any, will be refunded without
interest.
The project deposit includes costs to be incurred by PG&E for labor, materials, and
supplies, transportation, tools, payroll taxes, insurance, supervision and other allocable
direct costs, in accordance with our standard accounting practices .
This deposit shall be refunded to you or otherwise credited against amounts due when
we have completed the installation of our electric mainline extension facilities in your
project and under the terms and conditions of the final agreement.
All proposals made in this letter are based on tariffs (rates and rules) in effect at this
time. Changes to those tariffs ordered by the California Public Utilities Commission
(CPUC) may require changes in our proposed work. Those changes may also require
modification of our proposal and charges.

It is the policy of PG&E to inform the applicant of our "change-order" policy. PG&E
will contact the applicant at specific critical points of the job process to verify the
information provided (i. e. , load information and plan version) . After notification, if the
applicant requests or requires any change to the agreed upon plans, then this change
will be billed to the applicant using PG&E's change-order form. An authorized agent's
signature will be required before any work will be started.
If PG&E is the trenching agent, trench costs for the telephone and cable television
companies shall be collected from the applicant in advance of construction. It is the
applicant's responsibility to contact the local telephone and cable television companies
to determine if trench reimbursements are due.
If you concur with the arrangements outlined in this letter, please so indicate by
signing a copy of this letter and return it to us, together with your check for $2, 000 . 00

GENERAL
PG&E's gas and electric extension and service rules, authorized by the California Public Utilities Commission, permit you as an applicant for a new gas or
electric extension or service(s), to select either PG&E or your own contractor to install any necessary facilities. Your local PG&E representative will
provide you with copies of any applicable rules, upon your request, and is available to explain these options and any associated construction and contract
requirements for your project. These two options are summarized as follows:
OPTION #1 - INSTALLATION BY PG&E = STANDARD INSTALLATION OPTION
Under this option, PG&E will provide and install its standard gas electric facilities for the extension in accordance with the standard provisions of its
extension or service rules. Prior to the start of construction, you must pay to PG&E any applicable advances, as determined by the extension rule(s). You
may be responsible for route clearing, land rights acquisition, conduit, trenching, substructure installation and inspection; however, PG&E will install the
necessary gas electric facilities in that trench.

OPTION #2 - INSTALLATION BY APPLICANT'S CONTRACTOR OR PG&E - COMPETITIVE BIDDING OPTION
Under this option, you must provide all materials, trenching, and installation of the gas/or electric facilities for the entire extension. To accomplish this, you
must select a qualified contractor to perform 'the work to PG&E's design and specifications. (If PG&E bids your project, you may select PG&E as your
qualified contractor), Regardless of whom you select as your qualified contractor, you must pay to PG&E, prior to the start of construction, its estimated

costs associated with the extension, including but not limited to, its cost for engineering, administration, land rights acquisition, Inspection, and any
additional facilities and labor necessary to complete the extension.
The general provisions of the requirements for gas and electric extension installations by an applicant are summarized on the reverse side of this form.

APPLICANT INSTALLATION - GENERAL PROVISIONS
Electric and Gas Rule 15 provide: (Electric and Gas Rule 15 & 16 are available upon request).
COMPETITIVE BIDDING, When Applicant selects competitive bidding, the extension may be installed by Applicant's qualified
contractor or sub-contractor in accordance with Utility's design and specifications. Under this option, the following applies:
a. Once Applicant chooses competitive bidding, the choice is final;
b. PG&E's total estimated installed project-specific cost will apply regardless of whom Applicant selects to perform the
installation;
c. . Upon acceptance by PG&E ownership of such facilities will transfer to PG&E;
d. Applicant shall pay to PG&E, subject to refund, any PG&E project-specific estimated costs associated with the
extension, including estimated costs of design, administration, and installation of any additional facilities and labor
needed to complete the extension; ,
e. PG&E's total project-specific estimated installed cost is subject to the refund and allowance provisions of this rule;
f. Applicant shall pay to PG&E, as a non-refundable amount, the cost of inspection; and,
g. Only duly authorized employees of PG&E are allowed to connect to, disconnect from, or perform any work upon
PG&E's facilities.
If you select Option #2, your contract with PG&E will include, among other things, provisions covering the following, which you should
include in the contract with your contractor or subcontractor, and which are specified in PG&E's General Terms and Conditions:
a. Indemnification of PG&E
b. Insurance, Worke 's Compensation and Employers Liability,, Comm e r cia I
General Liability (also covering PG&E) and
Business Auto allowance to $ 1 ,000,000
c. Inspection and survey and land rights acquisition by PG&E, with costs paid by applicant (nonrefundable)
d. Advances to PG&E of engineering and administration costs (refundable)
f. Right to suspend work for cause
e. Deeding of facilities to PG&E upon PG&E's acceptance
f. Provision for settlement of disputes
g. Coordination of job construction with all interested utilities
h. Other provisions of the General Terms and Conditions f
The Qualified contractor/Subcontractor (QC/S) you select shall:
a. be licensed in California for the appropriate type of work (electrical, general, and etc.);
be employ workers properly certified for specific skills required (e.g. plastic fusion, welding, and etc.). Electric workers
shall be properly qualified (Qualified Electric Worker, Qualified Person, and etc.) as defined in State of California
High Voltage Safety Orders (Title S, Chapter 4, Subchapter 5, Group 2); and
c. comply with applicable laws (Equal Opportunity Regulations, OSHA, EPA, and etc.).
Further, an applicant for service who intends to employ a QC/S should consider whether the QC/S:
a. is technically competent (including, as appropriate, work experience on facilities up to 50,000 volts, plastic fusion,
welding, and etc.);
be has access to proper equipment;
ce demonstrates financial responsibility commensurate with the scope of the contract;
do has adequate insurance coverage (Workers' Compensation and Employer's Liability, Commercial General Liability,
and Business Auto); and
e. is able to fumish surety bond for performance of contract, if required.
For more information about applicant installation, please refer to the appropriate rules, PG&E's General Terms and
Conditions, PG&E's agreements for gas) and electric extensions or contact your- local PG&E representative.

has requested PACIFIC GAS AND ELECTRIC COMPANY, a California corporation (PG&E), to perform the tariff schedule related
work as located and described in paragraph 3 herein.
PG&E agrees to perform the requested work and furnish all necessary labor, equipment, materials and related facilities required
therefor, subject to the following conditions:
11 Whenever part or all of the requested work is to be furnished or performed upon property other than that of Applicant,
Applicant shall first procure from such owners all necessary rights-of-way and/or permits in a form satisfactory to PG&E and
without cost to iL
2. Applicant shall indemnity and hold harmless PG&E, its .officers, agents and employees, against all loss, damage, expense
and liability resulting from injury to or death of any person, including but not limited to, employees of PG&E, Applicant or any
third party, or for the loss, destruction or damage to property, Including, but not limited to property of PG&E, Applicant or any
third party, arising out of or in any way connected with the performance of this agreement, however caused, except to the
extent caused by the active negligence or willful misconduct of PG&E, its officers, agents and employees. Applicant will, on
PG&E's request, defend any suit asserting a claim covered by this Indemnity. Applicant will pay all costs that may be
incurred by PG&E in enforcing this indemnity, including reasonable attorneys' fees.
