ELIGIBLE RENEWABLE ENERGY RESOURCE ELECTRICITY PRODUCT
TRANSACTION AGREEMENT
Preamble I

or "Purchaser"), cach relerred to hercin indi�°idually as a "Pany'� and collecticely as the
"Parties'�, regarding the purchase and sale of Gligible Renewable Energy Resource Electricity
Products (sometimes refereneed herein as"Product') indudin� bundled California Renewablc
Portlolio Standard (RYS) Category 1 eli�ible Renewable I?nergy and Grcen Attributes, ("RF,Cs"
as defincd belo�n�) . Additional defuiitions are included wider the "Detinitions / Interprctations"
section bclo�c. California Public Utilities Codc. or the CAISO Tarit7�.
Recitals
W'hereas. in 201 l. the State ofCalifornia has adopted thc California Renewable Ener�_}�
Rcsources Act that creates a ��umber of mandates on local publicl�� owned clectric utilities and
retail sellcis to procw�e renewable energy products;
Whereas. the C'ih� of Ukiah and thc Ciq� of Big�s are Members of the Northern California Power
/�gency and arc project participants in Uie NCPA Geothermal Project, �
Whereas, the City of Ukiah desires to sell all or a portion of its surplus of f?ligible Renewablc
Encr�_v Resourc� I;lectricitv Products: �
Whereas, the City of Biggs desires to pw�chasc F,ligiblc Rcncwable Gnergy Rusow�cc i-:lectricitc
Produc[s in accordance with the terms and conditions of its RPS Enforcement Proeram and RI'S

"WRI?GlS° mcans the Wes[crn Renewable F.ncrgy Generation Information System and is used �
synonymously with thc clectronic tracking system used to monitor and dcmonstrate compliance
with California lZPS law, or its successor organization and/or successor tracking system.
Products:
I . Porti�olio Content Cate};ory 1 (PCCI) eligiblc resource contingent electricity with
bundlcd REC fiom the Rcnewable Generating Faciliticv. '111e Product indudes energy
and KI�;C, but does not include any other nonrenewablc and environmental attributes (e.g.
nncillary Services or Resource Adequacy Capacity).

Unit 4 CA
Due to current CAISO metering and modeling of the NCPA Geo[hermal 2 facility, Unit 4 is credited with the bu/k of
metered generation and residual metered generation is credited to unit 3. The estimated Ukiah share of production is
on the order of 45,000 Mwh. I
Governing Aqreement �
I. �I�his contract contains the complete agreemcnt between the parties on the sale of the �
PCC 1.
2. This does not change or absolve either party to its riahts or obligations under existin�
NCPA a�reemcnts and contracts �
3. This contract may he moditied by written agrecmcnt by the Par[ies.

Scller shall be responsiblc tiu alI costs and penalties to schedule and deliver the �
Products to the Delicer�° Point indudine costs and penalties resulting from �
de��iations between the CAISO Iinal a�+arded schedule and the Kenew�able Gner��
Facilitics' actual metered generation. �
PaVment: �l�he Parties intcnd lor thc Payment from Buyer to Seller to reflect tl�e Contract �
Price ibr tl�c Dclivered and Accepted quantity of tl�e Product. Paymcnts tbr
� amounts invoiced under this ngreemcnt shall be in accordancc with tl�c standard
payment terms and conditions of the NCPA All Resources L3ill.
Invoicing lor the cicctricity component shall occur in accordance to the schedule
� of the NCYA All Resourccs Bill F.stimated and Adjustment invoices. Iilvoicing
� for RGC components will occur as part of the NCPn All Resow•ces Bill �
Adjustments followine u�ansCcr and delivery of RI?C componcnts via WREGIS.

Environmental Attribute:
� The PCC I Product is a resource contin��ent bundlcd RLC containin_� Ct1 RPS
compliant elecu�icity and REC. and any�other environmental attributes detined
currenily or in the future. The Parties agree that the Product will be from the
specilic source(s) sl�own in the Rcnewablc Generating Facilities section of this
Agrccment. �
Seller represents 1nd warrants that currently:
i) Thc Renewable Generatin� Facilities qualil)� and are certified by the CEC as �'�
Eligible Renew�able F,ner��� Resources ("ERR") as such term is detined in Public !,
Utilities Code Scction 399.1? or Scclion 399.16: I
ii) 'I�he Renewable Gencrating Facilities output delivered to Buyer qualitics under �
the requirements ofthe Applicable Program;
iii) i�he RECs transfcrred to I3uyer conform to the dctinition and charactcristics �
required for compliance with the npplicable Program:
iv) All necessary steps to alloN the RECs transferred to Buyer to bc
tracked in WRFGIS will bc taken prior to thc first delicery under this
Aemcment and
(v) Seller will take all actions within its capability to make the abovc
represcntations a��d warrantics t��uc and correct throu�,hout the 'ferm.
Vintaqe:
Vintage of the REC associated �+ith thc PCCI product shall correspond to thc
month in which the elech'icitti is produced and delicered to Buyer during the �
Term ol this Contirmation.
REC Transfer:
Seller, or its a�cnt shall n�ausfer RLCs associated widi thc PCC1 products to �
Buycr in WRI:GIS. Translers of RI?C associated with the PCCI shall be initiared �
by Scller. or its agent, in accordancc with the following schedule, or by other
dates as mutuallv aLreed to bv the Parties:

Reportinq Obliqation: I
Buycr shall havc no obligation to rcport �rccnhousc gas cmissions associated with ,

�i obligation shall be fullilled by or at the direction of Scller at its own cost.

, Chanqe in Law:
� If thc Product fails to comph� ���ith a le��al rcquirement diat a�lects the 13u��er�s
right to benelit from the REC due to a change in law and Seller is unable to take
action ti�ithin its capabilit} to comply w°ith such change in law, Buyer shall have
no obligation to buv or pay fi>r thc noncompliant Product. "fhat is I3uyer's ��
eYClusive remedy. "Chis provision shall not apply to any Pruduct that was
delivered and acccptcd prior to any changc in law if such Product complied with
the Applicable Program that existed when it was delivcred and Accepted.
Birycr and Seller may terminate this Contirmation upon 30 Days' written notice
��ivcn to the other Party if a Governmcnt�l Authority makes a determination or
adopts a rUling or regulation that results in the Product (ailing to remain cligible
or qualifi' under thc rcquircments of the A��plic�ble Program.
No Admission:
Buycr sceks to purchasc rci�ewable cncrgy to meet state policy gouls, and nothin� I
hercin shall be construed as an admission or concession that B�ryer is suhjcct to
the jurisdiction of the Public Utility Conunission, the CEC or to any mandate
except as set fbrih in laws cxisting prior to this Agreement.
Trackinq Svstem:
KGC, shall bc tracked using WRFGIS. Sellcr shall. upon I3uyer�s request. provide
documentation_ ���hich may indudc_ for c�ample. meter data as recorded by a
CAISO certiticd meter, sufhcicnt to demonstrate that the Product has been
convcycd and delivered, subject to the terms ut�this �lgreement, to Buver.
Transfer:
Buyer shall not h�ansfer. �ssign. scll. or cxcllinge lor a periocl exceeding three
years any ol lhe elecU�icity or RI;C bein� pw'chased from Seller, directly or
indirectly, without Seller�s prior w�ritten approval, and such approval shall not be
unreasonably withheld.
