HomeMy WebLinkAboutWest Yost Associates 2014-07-01 C' � /�ls � o � Russian River Watershed Association—West Yost Associates July1,2014 AGREEM�NT FOR PROFESSIONAL SERVICES Russian River Watershed Association- Executive Director Services The following is an agreement between the City of Ukiah, hereinafter the "City", on behalf of the Russian River Wa[ershed Association and West Yost Associates hereinafter, "ConsultanY'. WHEREAS,Consultant is a duly qualified consulting firm, experiepced in a project and progra�n administration and management in the fields of water resources,wastewater and water recycling. WHEREAS, in the judgment of the Board of Directors of the Russian River Watershed Association,hereinafter Russian River Watershed Association, it is necessary and desirable to employ the services of the Consultant for the purpose of Execu[ive Director services in administration of the Association. WHEREAS,the Board of Directors of the Russian River Watershed Association has reques[ed that the City serve as fiscal agent to the Russian River Watershed Association and con[ract with[he Consultant for these services. NOW,THEREFORE, in consideration of the mutual covenants contained herein,the parties hereto agree as follows: PART A- SPECIFIC PROVISIONS: 1. DESCRIPTION OF SERVICES AND PAYMENT: Except as modified in this agreement,the services to be provided and the payment schedule are: a. The scope of work covered by this agreement shall be that included in At[achment A of Ihis agreement and is based on the scope of work outlined within the RRWA 2014-2015 Work Plan as approved by the Board of Direc[ors of the RRWA at i[s regular meeting on February 20, 2014. The total amount of Ihis contrac[is equal to The total budget in the Work Plan ($382,366),less a c�edit to the City for the Admi�istrative Agency services ($2,000). b. The fee and fee payment for such work shall be as stipulated under the fee schedule included in Attachment B of this agreement and shall not exceed$380,366 in total. PART B-GENERAL PROVISIONS 1. ASSIGNMENTIDELEGATION: Except as above, neither party hereto shall assign, sublet or transfer any interest in or duty under[his agreement wrthout written consent of the other, and no assignment shall be of any force or effect whatsoever unless and until the other party shall have so consented. i Russian River Watershed Association—West Yost Associates July1, 2014 2. STATUS OF CONSULTANT: The paRies intend that the Consultant, in performing the services hereinafter specified,shall act as an independent contractor and shall have the control of the work and the manner in which it is performed. The Consultant is not to be considered an agent or employee ofthe City, and is not entitled to participate in any pension plan, insurance, bonus or similar benefits the City provides its employees. 3. INDEMNIFICATION: The City is relying on professional ability and training of the Consultant as a material inducement to enter into this agreement. The Consultant hereby agrees that all its work will be performed in accordance with generally accepted professional practices and standards,as well as the requirements of applicable federal, state and local laws, it being understood that acceptance of the Consultant's work by the City shall not operate as a waiver or release. a. With respect to professional services under this agreement,Consultant shall indemnify, hold harmless,release and defend the City, its officers, directors, agents,volunteers, and employees from and against any and all actions, claims, damages, disabilities, liabilities and expenses, including attorney's and expert£ees and witness and litigation costs that may be asserted by any person or entity, including the Consultant, its officers,agents, employees and/or subcontractors to the extent caused by the negligent acts, errors or omissions,failure to perform or willful misconduct of the Consultant in connection with this agreement and the activities necessary to perform the task provided herein. b. With respect to all other than professional services under this agreement,Consultant shall indemnify, hold harmless,release and defend the City, its officers, agents and employees from and against any and all actions, claims, damages, disabilities, liabilities,and expenses, including attorney's and expert fees and witness costs that may be asserted by any person or entity, including the Consultant, azising out of or in connection with this agreement and the activities necessary to perform those services and complete the tasks provided for herein. This indemnification is not limited in any way by any limitation on the amount or type of damages or compensation payable by or for the City or its agents under warkers'compensation acts, disability benefit or other employee benefit acts. 4. PROSECUTION OF WORK: Consultant has been previously authorized by the RRWA Board of Directors to proceed with Exewtive Director Services under this Agreement which is aow being executed. The execution of this Agreement shall constitute Ihe ConsultanYs authority to proceed immediately with the invoicing and collection of payment for performance under this contract beginning July 1, 2014. Performance of the services hereunder shall be completed by June 30, 2015,provided, however,that if the performance is delayed by earthquake,flood, high water or other Act of God or by strike, lockout or simi]ar labor disturbance("Acts"),or by other cause beyond Consultant's reasonable control,the time for the ConsultanPs performance of this contract shall be extended by a number of days equal to the number of days the Consultant has been delayed by such Acts. z Russian River Watershed Association—West Yost Associates Julyl, 20I4 5. METHOD AND PLACE OF GIVING NOTICE, SUBMITTING BILLS AND MAHING PAYMENTS: All notices,bills and payment shall be made in writing and may be given personal delivery or by mail.Notices,bills and payments sent by mail should be addressed as follows: CITY: City of Ukiah Attn: Jane Chambers 300 Seminary Avenue Ukiah,CA 95482-5400 Ph.#707-463-6213 CONSULTANT: West Yost Associates Attn: Andy Rodgers 2020 Reseazch Pazk Drive, Suite 100 Davis, CA 95618 Ph.#(530)756-5905 and when so addressed,shall be deemed given upon deposit in the United States Mail,postage prepaid. In all other instances, notices, bills and payments shall be deemed given at the time of actual delivery. Changes may be made in the names and addresses of the person to who notices,bills and payments are to be given by giving notice pursuant to this paragraph. 6. MERGER: This writing is intended both as the final expression of the agreement between the parties hereto with respect to the included terms of the agreement, pursuant to California Code of Civil Procedure Sec[ion 1856 and as a complete and exclusive siatement of the terms of the agreement.No modification of this agreement shall be effective unless and until such modification is evidenced by a writing signed by both pafties. 7. SEVERABILITY: Each provision of the agreement is intended to be servable. If any term of any provision shall be determined by a court of competentjurisdiction to be illegal or invalid for any reason whatsoever, such provision shall be severed from this agreement and shall not affect the validity of the remainder of the agreement. 8. TERMINATION: At any time and without cause,the City shall have the right in its sole discretion, to terminate this agreement by giving written notice to the Consultant. In the event of such termination, the City shall pay the Consultant for services rendered to the termination date. ►n addition, if the Consultant should fail to perform any of its obligations hereunder,within the time and in the manner herein provided, or otherwise violate any of the terms of this agreement,the City may terminate this agreement by giving the Consultant written notice of such termination,stating the reason 3 Russian River Watershed Association—West Yost Associates Julyl,2014 for such termination. In such event,the Consultant shall be entitled to receive as full payment for all services satisfactorily rendered and expenses incurred hereunder,an amount which bears the same ratio to the total fees specified in the agreement as the services satisfactorily rendered hereunder by the Consultant bear to the total services otherwise required to be performed for such total fee,provided however,that there shall be deducted from such amount the amount of damage, if any, sustained by the City by virtue of the breach of the agreement by the Consultant. 9. TRANSFER OF RIGHTS/OWNERSHIP OF DATA: The Consultant assigns the City all rights throughout the work in perpetuity in the nature of copyright,trademark, patent, and right to ideas, in and to all versions of any plans and specifications, reports,video tapes, photographs,and documents now or later prepared by the Consultant in connection with this contract. The Consultant agrees to take such actions as are necessary to protect the rights assigned to the City in this agreement, and to refrain from taking any action which would impair those rights.The Consultant's responsibilities under this contract will include,but not be limited to, placing proper notice of copyright on all versions of plans and specifications,reports and documents as the City may direct,and refraining from disclosing any versions of the reports and documents to any third party without first obtaining written permission of the City. The Consultant will not use, or permit another to use,any plans and specifications,reports and documents in connection with this or any other project without first obtaining written permission of the City. All materials resulting from the efforts of the City and/or the Consultant in connection with this project, including documents, reports, calculations, maps, photographs, video tapes, computer programs, computer printouts,digital data,notes, and any other pertinent data are the exclusive property of the City. Reuse of these materials by the Consultant in any manner other than in conjunction with activities authorized by the City is prohibited without written permission of the City. Any reuse of ConsultanYs work by City without written verification or adaptation by Consultant for the specific purpose intended will be at City's sole risk and without Liability or legal exposure to Consultant, and City shall indemnify and hold harmless Consultant from all claims, damages, losses and expenses including attomeys'fees arising out of or resulting there from." 10. COST DISCLOSURE: In accordance with Government Code Section 7550,the Consultant agrees to state in a separate portion of any report provided the City,the rmmbers and the amounts of all contracts and subcontracts relating to the preparation of the report. 11. NONDISCRIMINATION: The Consultant shall comply with all applicable federal, state and local laws,rules and regulations in regard to nondiscrimination in employment because of race, color, ancestry, national origin,religion, sex, marital status, age,medical condition or physical handicap. a Russian River Watershed Association—West Yost Associates Julyl,2014 12. EXTRA(CHANGED)WORK: Extra work may be required. The Consultant shall not proceed nor be entitled to reimbursement for extra work unless that work has been authorized, in writing, in advance,by the City. The Consultant shall inform the City as soon as it determines work beyond the scope of this agreement may be necessary and/or that the work under this agreement cannot be completed for the amount specified in this agreement. Failure to notify the City shall constitute waiver of the Consultant's right to reimbursement. 13. CONFLICT OF INTEREST: The Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the perFormance of its services hereundec The Consultant further covenants that in the performance of this contract no person having any such interest shall be employed. 14. INSUItANCE: The Consultant shall obtain insurance acceptable to the City in a company or companies with a BesPs rated carrier of at least A:VIL The required documentation of such insurance shall be furnished to the City at the time it returns the executed contract. The Consultant shall not commence work nor shal] it allow its employees or subcontractors or anyone to commence work until all insurance required hereunder is in effect. The Consultaat shall have and maintain at all times during the life of this agreement,up to the date of acceptance,the following policies of insurance: a) Workers'Compensation Insurance: If Consultant has employees, Workers'Compensation Insurance to cover its employees, as required by the State of California,and shall require all subcontractors similarly to provide Workers'Compensation Insurance as required by the Labor Code of the State of California for all of the subcontractors'employees. All Workers' Compensation policies shall be endorsed with the following specific language: "This policy shall not be canceled without first giving thirty(30)days prior notice to the City,Attn: Jane Chambers,by mail." The Workers' Compensation Insurance self-insured deductibles and retentions for both the Consultant and its subcontractors shal] not exceed$1,000. b) Public Liability Insurance: Personal Injury(including bodily injury)and Properiy Damage Insurance for all activities of the Consultant and its subcontractors arising out of or in connection with this agreement, written on a commercial general liability form which provides coverage at least as broad as [SO Commercial General Liability Occurrence Form CG 00 O] 11 85 or 88 or any subsequent revision or equivalent including benefit contractual coverage,completed operations coverage, ConsultanPs protective coverage,and automobile coverage. The automobile coverage should be at least as broad as ISO Business Auto Form CA001 edition 187 or equivalent including employer's non-ownership liability. All deductibles or self-insured retentions shall not exceed$1,000. Coverage in an amount not less than$1,000,000 combined single limit personal injury($2,000,000 in the Aggregate), including bodily injury,and property s Russian River Watershed Association—West Yost Associates July1, 2014 damage for each occurrence is required. Each such policy shall be endorsed with the following language: l. The City of Ukiah, its officers,agents,employees and volunteers are additional insured under this policy. 2. The insurance shall be primary as respects the insured shown in the schedule above. 3. The insurance afforded by this policy shall not be canceled except after thirty days prior written notice by mai] has been given to the City. 4. The referenced policy does not exclude explosion, collapse,underground excavation hazards or removal of lateral support. 5. The inclusion of more than one insured shall not operate to impair the right of one insured against another insured,and the coverage afforded in the policy shall apply as though separate policies had been issued to each insured. 6. ConsultanYs policy shall be endorsed with an "Additional Insured Endorsement" form.The Genera] Aggregate Limits of Insurance in the referenced policies apply sepazately to this project. c) Professional Liability Insurance: The Consultant shall procure and maintain throughout the term of this agreement,Professional Liability Insurance in an amount not less than$1,000,000 per claim and in the aggregate. All insurance deductibles or self-insured retentions shall not exceed $I50,000. All Professional Liability Insurance policies shall be endorsed with the following specificlanguage: (i)This policy shall not be canceled without first giving thirty(30) days prior notice to the City by mail. d) Documentation: The following documentation of insurance shall be submitted to the City: (i) A Certificate of Insurance of Workers'Compensation Insurance for Consultant if Consultant has employees. A copy of the required policy endorsements specified in subparagraph a. shall be attached to each such Certificate submitted. (ii) Certificates of Liability Insurance showing the limits of insurance provided. Copies of the required endorsements specified in subparagraphs b. and c. shall be attached to each Certificate submitted. 15. DISPUTE RESOLUTION: California law shall govem any dispute between the parties to this agreement. Any litigation between the parties shall be fifed in Mendocino County Superior CouR, each party agreeing to the jurisdiction and venue of such courts. 6 Russian River Watershed Association—West Yost Associates July1, 2014 16. BILLING AND DOCUMENTATION: The Consultant shall bill the City for work on a monthly or agreed upon basis and shall include a summary of work for which payment is requested. The summary shall include time and hourly rate of each individual, narrative description of work accomplished,and an estimate of work completed to date. 17. REASONABLE ASSiJRANCES: Gach party to this agreement undertakes the obligation that the other's expectation of receiving due performance will not be impaired. When reasonable grounds for insecurity arise, with respect to performance of either party, the other may, in writing, demand adequate assurance of due performance and until the requesting party receives such assurance may, if commercially reasonable, suspend any performance for which the agreed return has not been received. "Commercially reasonable" includes not only the conduct of the party with respect to performance under this agreement but also conduct with respect to other agreements with parties to this agreement or others. After receipt of ajustified demand,failure to provide within a reasonable time,not to exceed 30 days, such assurance of due performance as is adequate under the circumstances of the particular case is a repudiation of this agreement. Acceptance of any improper delivery, service, or payment does not prejudice the aggrieved party's right to demand adequate assurance of future performance. Consultant will administer general RRWA voice-mail and perform regular general correspondence on behalf of RRWA. Consultant will also prepare monthly progress reports, itemized invoices and maintain project controls. Included in this task is $2,000 compensation for the Administrative Agency, the City of Ukiah,which is administered as a credit to Ukiah's annual fees. Assumptions: • No more than 5 two-hour Board meetings or comparable,with 4 hours prep plus meeting a[tendance including travel time for each meeting • One additional meeting with each member agency's Board representative for Work Plan development • General communications(emails, phone, distribution lists)performed routinely • File sharing system among Consultant and ECON(sub-consultanQ will be maintained • Up to 4 letters per year as part of general correspondence • Board meeting material distribution provided for each meeting by Consultant Subtask 1.2: Technical Working Group Consultant will provide Working Group meeting notification,coordinate,prepare for,and attend Technical Working Group sessions as well as develop meeting summaries. Assumptions: • No more than 8 two-hour meetings, with 4 hours prep plus meeting attendance including travel time for each meeting • Attendance at all meetings Russian River Watershed Association—West Yost Associates Attachment A: Scope of Work July 1,2014 Subtask 1.3: Work Plan Development Consultant will coordinate with RRWA Working Group and Board of Directors to develop and present a draft,revised drafr, and final Work Plan for 2015-2016. Assump�ions. • 2015-2016 Work Plan will follow similar structure and format as 2014-2015 • Work Plan • Projects for inclusion in Work Plan will be developed during Working Group sessions Task B: General Bene£t Proiects Subtask 2.1: Implementation of Outreach Strategies Consultant will focus on providing outreach to increase RRWA's "whole watershed" perspective for programs carried out by RRWA, our member agencies and by other watershed organizations. This program is generally based on the individual outreach plans developed and regularly updated by the Working Group. Consultant will make up to two presentations to regulatory groups or professional organizations. Consultant will coordinate with local watershed and environmental groups to help sponsor creek and river cleanup activities within the watershed as part of RRWA's public outreach. Regular maintenance and update of the RRWA website and associated programs pages as well as Spanish translation of website content are in this year's outreach program. The environmental column will be continued as in previous years -member agency staff will write the columns and Consultant will coordinate the review and distribution ofthe columns to newspapers and to RRWA's outreach email group. This year the "Rethink your Drink/Take it from the Tap" message will continue in outreach messages. Consultant will make email notifications regarding training for water and wastewater system professionals. Consultant will also coordinate with the Sonoma County Waste Management Agency regarding the annual recycling guide. Consultant will continue to perform outreach to eligible entities such as the City of Sebastopol and the County of Mendocino. Assumptions: • Website and associated program pages will be updated at least quarterly • Website content will be translated in Spanish • The web interactive map will be maintained and no new data layers will be developed this year • Each member agency will author at least one column during the year and • Consultant will distribute to newspapers and outreach list • Environmental column as well as student video contest will be coordinated in-kind in conjunction with the Working Group and Consultant Russian River Watershed Association—Wes[Yost Associates Attachment A: Scope of Work July l,2014 • Up to 2 Speaker's Bureau presentations will be presented to regulatory groups, professional organizations, or other eligible entities • RRWA will provide sponsorship of Russian River clean-ups and coastal clean-up at the same level as last year Subtask 2.2: Russian River Friendly Laudscape Guidelines Consultant will continue to maintain momentum from publication and launch of the RRFLG and respond to professionals and agencies. Consultant will coordinate an event in the winter of 2014/15 similar to the 2010 and 2013 events. RRWA will have a special focus to develop a RRFLG-approved plant list and associated materials as well as partner with Our Water Our World(OWO�to extend messaging to regional nurseries. Assumptions: • Continue interpretive signage program for demonstration landscapes identified by member agencies • Event will be coordinated with in-kind support from the City of Santa Rosa and SCWA • Consultant will re[ain the services of OWOW for nursery outreach in conjunction with the OWOW stormwater outreach contract • Respond to inquiries and requests for use of the RRFLG as needed • Maintain contact with landscape industry professionals, SRJC, Sonoma State University,and Mendocino and Sonoma Master Gardeners during the year regarding integration of Guidelines principles into existing curricula • Maintain membership in the Bay Friendly Coalition Subtask 2.3: Regulatory Forum and Advocacy Consultant will coordinate and facilitate the regular meetings with Regional Water Quality Control Board (RWQCB)staff and attend up to 4 meetings of the RWQCB. In order to develop a united voice for regular dialogue on permitting and policy issues,the work will include regular prioritization of inember agency permitting and policy issues to be addressed with the RWQCB 1 Executive Officer. Issues and topics for RWQCB meetings will be developed during Working Group meetings. Consultant will take the lead on researching and crafting commenUissue/response letters with review and input from the RRWA Working Group and Board. Assumpiions: • Up to 4 issue letters and monitoring member agency permitting and policy issues • Up to 4 meetings and prioritized agendas with RWQCB Executive Officer • Attendance at up to 4 meetings of the RWQCB • Legislative tracking emails as appropriate Russian River Watershed Association—West Yost Associates Attachment A: Scope of Work July 1,2014 Subtask 2.4: MS4 Permit Support Consultant will provide support to member agencies with implementation of stormwater BMPs required in the MS4(Phase 1 and 2)permits. RRWA will serve as a forum for sharing ideas and coordinating efforts to meet permit requirements.This subtask focuses on Phase 1 and Phase Il permit requirements and is a general benefit project. Assumptions: • Consultant will provide a forum for coordination,review, and implementation strategies for stormwater permit documents,such as the hydromodification plan • In August 2014,Consultant will develop a technical memorandum(TM)that describes all stormwater related activities undertaken by member agencies during the 2012-2013 Work Plan. This TM can be used into member agencies Annual Reports Subtask 2.5: Nort6 Coast IRWMP and Grant Support Consultant will assist RRWA in continued support of activities for the North Coast IRWMP and to further the success of RRWA's project in the IRWMP. This project may also support identification of other grant and funding opportunities for both RRWA projects and for member agency projects. Assumptions: • Consultant will modify RRWA's NCIRWMP projects as needed to improve alignment with IRWMP • Develop letters of support for member agency projects for NCIRWMP and other grant and funding opportunities • Facilitate discussion of IRWMP updates and other funding opportunities at TWG • meetings Subtask 2.6: Coordination with Partner Agencies Consultant will track partner agency programs and activities,respond to partner agencies inquires, and contact partners in further development of RRWA programs in FY 2013-2014 and beyond. Assumptions: • The Consultant will coordinate with partner agencies including the local Resources Conservation Districts,the Sonoma County Regional Climate Protection Authority,the Laguna Foundation,Occidental Arts and Ecology Center, LandPaths, Daily Acts, and other agencies/groups regarding regional efforts Russian River Watershed Association—West Yost Associates Attachment A: Scope of Work Juty 1,2014 Task C: Special Benefit Projects Subtask 3.1: Stormwater Phase II Support Consultant will coordinate up to four NPDES Phase II Agency Forums afrer regular TWG meetings when possible, provide training opportunities, retain services or OWOW for pesticide outreach, and assist MS4 Phase II agencies in responding to permit requirements, including evaluating options for collaborative implementation,joint development of planning documents and evaluating the potential for joint reporting. Assumptions: • Up to four(4)Phase II Forums with member agencies to follow Working Group when possible to review and discuss permit challenges • Participation in monthly California Stormwater Quality Association(CASQA)conference call meetings and transmittal of notes from these calls to Phase II agencies • Provide three subregional training sessions for member agencies on generic stormwater awareness for agency support staff. • Retain the services of a private consultant to deliver the OWOW program to retail nurseries throughout the Phase 2 service area(OWOW to focus on pesticide-related education and stormwater health) Subtask 3.2: Stormwater Phase 1 CoPermittee Support Consultant will provide support to member agencies that will participate in the implementation of Phase 1 stormwater permit and coordinate efforts to meet pennit requiremenu;and provide support and review during the permit renewal process. Assumptions • Provide review and comment on draft of new Phase I permit • Provide coordination suppoR for Phase [agencies Subtask 3.3: Stormwater Training The purpose of the 2013-14 Stormwater Training subtask is to continue the stormwater training coordination activities for member agencies and contractors and consultants responsible for implementing Stormwater Pollution Prevention Plans(S WPPPs), and to assist in coordinating a MS4 permit related training opportunities and informational meetings (by the S WRCB and others)in the Russian River watershed. Russian River Watershed Association—West Yost Associates Attachment A: Scope of Work July 1,2014 Assumptions: • Provide training opportunities for agency staff related to LID Manual implementation and Hydromodification • Create online option for agency training • MS4 Permit-Related Training or Comparable-RRWA staff will support one MS4 permit- related training or comparable with member agencies as lead or in coordination with S WRCB • Construction General Permit QSP and QSD Training-RRWA staff will coordinate with member agencies and professional ceRified trainers to promote QSP(Qualified SWPPP Practitioner) and QSD(Qualified S WPPP Developer)certification training for contractors and designers that work in the watershed, followed by State Board certification testing. Professional trainer may charge a fee for this training Subtask 3.4: Our Water Our World Manage Santa Rosa's contract with a private contractor distributing the Our Water Our World program to retail nurseries. Assumptions: • Consultant shall retain the services a private contractor to deliver the OWOW program to nurseries in Santa Rosa Subtask 3.5: NPDES Wastewater Comment Forum The purpose of this task is to review and comment on regulations related to wastewater NPDES permitting such as dissolved oxygen and mixing zone Basin Plan amendments; State and local regulations regarding use of recycled water, State and local regulations regarding wastewater. Assumptrons: • Consultant will review updates to state and local wastewater regulations • Consultant will develop comment letters on behalf of inember agencies Subtask 3.6: Creek Week/Pallution Prevention Week Campaign This subtask helps meet the Outreach and Education requirements of the Phase I and Phase 1[ MS4 Permits.The member agencies will work in conjunction with RRWA staff to develop a combined Creek Week and Pollution Prevention Week campaign. RRWA will support member agencies by developing and circulating a draft proclamation,coordinating with agencies to present campaign messages to elected officials, and helping with outreach for activities to be sponsored by member agencies.
