HomeMy WebLinkAbout2014-18 CC Reso - Approval of NCPA Agreements CITY OF UKIAH RESOLUTION NO. 2014-18 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF UKIAH APPROVING THE POWER MANAGEMENT AND ADMINISTRATIVE SERVICES AGREEMENT, AMENDED AND RESTATED FACILITIES AGREEMENT, AMENDED AND RESTATED SCHEDULING COORDINATION PROGRAM AGREEMENT, AND SECOND AMENDED AND RESTATED POOLING AGREEMENT WHEREAS, Northern California Power Agency ("NCPA") provides various power management and administrative services to its members pursuant to service based agreements; and WHEREAS, the City of Ukiah (City) is a member of NCPA and currently takes certain power management and administrative services from NCPA; and WHEREAS, certain service based agreements under which NCPA supplies power management and administrative services were developed prior to the deregulation of the wholesale electric industry and are inconsistent with current business practices, including how costs associated with power management and administrative services are allocated among the members; and WHEREAS, to ensure that the service based agreements under which NCPA supplies power management and administrative services to the City are made to be consistent with current business practices, NCPA, in coordination with City staff, has developed the Amended and Restated Facilities Agreement, Amended and Restated Scheduling Coordination Program Agreement, and Second Amended and Restated Pooling Agreement; and WHEREAS, NCPA has also developed a new agreement, the Power Management and Administrative Services Agreement, that will work together with the Amended and Restated Facilities Agreement, Amended and Restated Scheduling Coordination Program Agreement, and Second Amended and Restated Pooling Agreement; and WHEREAS, the Power Management and Administrative Services Agreement establishes the framework under which a member shall enter into one or more service agreements with NCPA to obtain power management and administrative services from NCPA, and documents how costs associated with NCPA's provision of power management and administrative services are allocated among the members based on having participated in a NCPA Project or having executed one or more service agreements; and WHEREAS, the Amended and Restated Facilities Agreement sets forth the terms and conditions under which NCPA may acquire, finance and plan for the addition of NCPA Projects, and manage, maintain, operate, schedule and perform billing for NCPA Projects; and WHEREAS, the Amended and Restated Scheduling Coordination Program Agreement sets forth the terms and conditions under which NCPA may provide Scheduling Coordination Services to the members, where Scheduling Coordination Services include, but is not limited to, submission of schedules and bids on behalf of the members, obtaining and maintaining settlement quality meter data, performing outage coordination for planned and unplanned outages, validation and reconciliation of CAISO settlement charges and credits, and allocating CAISO charges and credits among the members; and WHEREAS, the Second Amended and Restated Pooling Agreement sets forth the terms and � conditions under which NCPA may provide Power Pool Management Services to the members, where Power Pool Management Services include, but are not limited to, load, resource and price forecasting, resource planning and optimization, energy and capacity transaction activities, risk analysis and i � management, pre-scheduling, scheduling and dispatch activities, power pool operations and settlement standards, contract administration and industry restructuring and advocacy activities; and WHEREAS, the Power Management and Administrative Services Agreement, Amended and Restated Facilities Agreement, Amended and Restated Scheduling Coordination Program Agreement, and Second Amended and Restated Pooling Agreement will ensure that the rules and requirements for i how NCPA supplies power management and administrative services to the members are transparent, non-discriminatory, durable, and consistent with current business practices; and WHEREAS, the Power Management and Administrative Services Agreement, Amended and Restated Facilities Agreement, Amended and Restated Scheduling Coordination Program Agreement, and Second Amended and Restated Pooling Agreement have been written to mitigate cross member risk and are structured to insulate members who do not take certain power management and administrative services from NCPA from risks inherent in the services and transactions undertaken by NCPA on behalf of any given member or group of inembers, and the agreements are designed to clearly assign costs attributed to a particular services and to ensure that the members who take certain services are obligated to assume all obligations that result from NCPA's actions in performing the services; and WHEREAS, the environmental impact is addressed in the Agenda Summary Report dated May 7, 2014. NOW, THEREFORE BE IT RESOLVED as follows: I 1. Adopts and approves the Power Management and Administrative Services Agreement, Amended and I� Restated Facilities Agreement, Amended and Restated Scheduling Coordination Program Agreement, and Second Amended and Restated Pooling Agreement; and 2. Authorizes the City Manager or designee of the City to execute the Power Management and Administrative Services Agreement, Amended and Restated Facilities Agreement, Amended and Restated Scheduling Coordination Program Agreement, and Second Amended and Restated Pooling Agreement, on behalf of the City.
