1)If the ability of Artist to perform is rendered impossible,unfeasibie or unsafe due to sickness,strikes,adverse weather condition,acts of God,or any
other legitimate condition beyond its control.Artist will not be held responsible for any loss incurred by the Purchaser,as a result thereof.
2)No performance by Artist pursuant to the contract shall be recorded, reproduced or transmittetl from the place of performance in any manner or by any
means wha�soever in the absence oi a prior written agreement with Artist relating to and permitting such recording, reproduc�ion,or iransmission.
3)I�is mutually understood and agreed that this coniract shall be governed by Ihe laws of the State of Virginia, both as to interpretation and pertormance.
Any legal ac�ion or otherjudicial proceeding for Ihe eniorcement of this conlract or any provision thereof shall be instituted only in the state or federal courts
located in ihe City of Roanoke,Virginia.
4)The person signing ihis conlract for Purchaser warrants ihat they are of legal age,have the right to enter into this conirect,and by executing ihis
conVact,acknowledge iheir authority to do so,and hereby assume liability for the amounts stated herein.
5)This coniract was negolia�ed with ihe specifc ticket prices,capacity,and gross potential listed above.Any addi�ional moneys genereted in any of these
negotiated points will be 700%due AAist Entity on demand.
6)Venue shall also provide and pay for all items contained in Artist nder attached hereto.
7)II is agreed that Artist signs�his contract as an independent contractor and not as an employee.This contract shall no[,in any way be construed so as to
create a partnership,or any kind of joint undertaking or venture between ihe parties hereto,nor make Artist liable in whole or in part for any obligation that
may be incurred by Purchaser in Purchaser's carrying out any of the provisions hereof or otherwise.
8)Nolhing in ihe contrect shall require the commission of any act contrery to law or to any rules or regWations goveming the services and personnel to be �
fumished hy Artist to Purchaser hereunder. If there is any conflict beNdeen any provision of�his contract and any law,rule,or regulation,such law,mle or '�
regulation shall prevail and this contract shall be modified or limited only to�he ex�ent necessary lo eliminate such conFlict.
9)In the event of any inconsistency between the provisions of lhis coniract and Ihe provisions of any riders,addenda,exhibits or any other attachments
, hereto.Ihe parties agree ihat the provisions most favorable to Artist shall control.
i 10)Purchaser hereby indemnifes and holds ArtisC as well as its respective agents,representatives,principals.employees,o(ficers and directors,harmless
from and against any loss,damage or expense,including reasonable attomey's fees,inwrred or suffered by or threatened against Artist or any of ihe
foregoing in connection with or as a resWt oF(a)any breach by Pumhaser of Ihe provisions of this contrad and(b)any claim of any kind brought by or on
behalf of any third party as a resWt of or in connection with�he Engagemen�,which claim does not result from ihe active negligence of Artist.
11)Skyline Music,LLC("Agenf'),acis herein only as agent For Artist and is not responsible for any ac[of commission or omission on Ihe part of either Artist '
or Purchaser. In furtherance ihereof and for Ihe benefit of Agent,it is agreed Ihat neither Purchaser nor Artist will name or join Agent as a part in any civil
action or suit arising out of, in connection with,or related to any acQs)of commission or omission of Purchaser or Artist.

Hey!!! Ok, here is the official Diego's Umbrella Rider. You've heard about it in on TMZ, dreamed
about it, possibly seen pirated versions of it on Perez Hilton, but now you hold it in your eager
little hands (or are looking at it on a computer). IYs not too long and has some important info so
please take the time, digest everything and let us know if you have any questions or concerns.
We look forward to meeting you, playing your venue and putting on the best damn show
possible. Making sure we're all on the same page is key to making the event successful and fun
for everyone. We're happy to assist you in any way we can, so let us know what we can do on
our end. Now, IeYs get into the fun stuff.
Since we're not fluent in legalese and to make things stay simple, you are hereinafter referred to
as'Buyer'or'Purchaser'and we shall be referred to as'Artist,'or'Randy' if you prefer.

2. BACKSTAGE:
We understand we are not Lady Gaga, but having some nice hospitaliry is always appreciated.
We're not picky/anal people but having some basic things covered will help make the show great.
A spot for at least all six of us to chill, change, prepare, slap ourselves, discuss philosophy and
relax before and after the show in a smoke-free relatively clean spot is crucial. A mirror is
important, and a dedicated bathroom is heavenly. The following is a list of ideal things, if some of �
them can't be provided, please let us know.
1. Meals for 6 people or comparable buyout ($15.00 US per head)
2. One case of bottled water, (+sparkling water a bonus)
3. Some snacks along the lines of: hummus/pita, fruit/veggies, mixed nuts,
chips/salsa/guac, cheese/crackers, cookies/chocolate/dessert
4. 1-2 bottles of red wine, preferably cabernet sauvignon !
5. At least one case of quality beer– NO DOMESTIC!!! Something along the lines of Sierra
Nevada, Lagunitas or Stone. Two cases, you win double bonus points
6. A bottle of bourbon – NO WELL! Something like Bulleit, Buffalo Trace or Basil Hayden. If
no bourbon is available, then a bottle of gin (Sapphire or Hendricks) is fine. Bottle of
both, super double bonus points
7. If no backstage booze can be provided, then at least 24 tickets for bar drinks

Finally, here is a list of things that are not necessary, but if you happen to have them laying
around, please throw them in:

ACCOMMODATIONS:
In the much-appreciated instances where the Buyer agrees to book and pay for hotel rooms, 6
rooms is stellar, 3 double queen/king rooms is cozy but works (all non-smoking please).
Accommodations that are to be paid for by the Buyer, must have rooms directly billed to the
Buyer. It's muy importante that the Artists are not billed for rooms or tax upon departure, cause
most likely we have to get up early, quickly depart, and drive 12 hours to the next town. In the
case of Buyer not providing lodging, he/she will provide a list of close, convenient, secure,
inexpensive hotels, with parking for van/trailer, hopefully some of which they have discounts
with. All lodging info must be advanced with the tour manager at least one week before the
show. Thanks.
3. GENERAL PROVISIONS

-HOw many comps on the guest list does the band receive?
-IS there any backline provided by the venue? I
If there are other acts on the bill, will any backline be shared?
-DO you serve food? Will food be provided or will it be a buyout?
PROMOTION
The more promotion from every party involved means more people/more money/more fun for
everyone, so let's get the word out! Buyer agrees to promote the show, which, at a minimum,
shall include posters at club and surrounding areas, advertising, online promo (website, social
media, local calendars, etc) and listings in a local papers or entertainment weeklys at least three
weeks out. Also, Buyer shall provide a written media contact list for us to use. We have quality
S1x17 tour posters,just let Katie at Shift Independent know how many you need. If a special
poster will be made for the show, please let us know upon receiving this rider or asap.
SUPPORT / OPENERS
We understand that our style of music is not as easy to pair with as"country western," but there
are lots of genres that work well outside of the gypsy rock realm. If we are not traveling with
support, we ask that you pick a band that is upbeat and has a fun, high energy live show. Some
types that work well are: Brass bands, marching bands, Klezmer, Irish punk, rockabilly,
reggae/ska and rock. The band(s) will have a good draw and promote the show heavily. Please
keep us informed on the bill as it comes together.

This can be on a per show basis, but in general, here is a breakdown of complimentary tickets
we would like for the show:

MERCHANDISING:
• Diego's Umbrella reserves the right to sell copies of their CD's and soft goods at the show
at whatever price they believe people will buy their stuff. We understand some venues
take a percentage of certain goods, since we're not Bon Jovi (yet), we would appreciate
this being waved for hard goods and a nominal percentage (if any) for soft goods.
• In the case that the Band cannot provide someone to sell merch, we ask that the venue
provide someone competent and trustworthy, at which the Artist will pay them 10% of
all sales they handle that night or a flat fee agreed upon beforehand.
• Buyer agrees that he/she will not sell any products identified with the Artist at the place
of performance or any other adjacent place under his or her control without expressed
� consent of the Artist.
RECORDING & PHOTOGRAPHY
• Artist permits audience to take photos, video and live audio recording for non-commercial
personal use.
• If there are any issues, restrictions or waivers regarding the recording of live audio, stills,
or video, please let us know. We don't have restrictions on press or the club taking
photos, just ask that you/they don't get in the way of the pefiormance.
WORK PERMITS AND VISAS:
Purchaser must provide all necessary work permits, visas, immigration clearances, licenses and �
authorizations from any and all government agencies, bureaus, departments, federal and state
and / or local governments for all musicians and working personnel when traveling outside North
America.
CANCELLATION: '
Artist reserves the right to cancel the engagement at ArtisYs sole discretion with a written notice ,
to the Purchaser 30 days prior to the date of the engagement, this is highly unlikely and would �
only be due do some extreme circumstances.
FORCE MAJEURE:
Artist shall neither be held responsible nor shall a claim be made for cancellations beyond Artist's
control; or for concerts affected in ways such as, public calamity or riots, Bieber Fever, epidemic,
extreme hiccups, fre, contagious whooping cough, serious illness or injury, or wild acts of
God/Goddess/Allah/Buddha/Zeus.
INCLEMENT WEATHER:
Inclement weather shall not be considered a force majeure occurrence. Therefore, the purchaser
will remain liable for the payment of the full contrect price even if the performance(s) are
prevented by such weather conditions. It is the Producer's sole right to determine in good faith
whether any such weather conditions shall render the performance(s) impossible, hazardous, or i
unsate to the Artists or their equipment.
SETTLEMENT
Fixed pay/guarentee deals must have cash or a check (made to: Diego's Umbrella) to the tour
' manager or booking agency prior to showtime. Door deals go to Tyson, the Tour Mananger, post
show. In the case of door deals or contracts with backend bonus structures, an Artist
representative shall be given full access to box office sales reports and Purchaser must provide �
tour manager with box offce statements and bills/receipts/invoices for advertising/promotion I
expenditures.
ADDITIONAL NOTES:
PURCHASER shall indemnify and hold ARTIST, management, et al harmless from and against
any loss, damage, or expense, induding reasonable attorney's fees incurred, suffered by or
threatened against PURCHASER in connection with any daim for personal injury or property '
damage brought by or on behalf of any party in connection with the engagement. PURCHASER
further agrees to provide public liability insurance with respect to this engagement.

I SOUND CHECK:
While nobody truly loves sound checks, we love having our sound dialed in. We ask that when
load in and sound check times are agreed upon ahead of time, it's critical the sound engineer is
present and ready to begin.
BACKLINE EOUIPMENT RENTAL
When equipment rentals are needed, please contact the tour mana9er for a complete list of
required items.
I STAGE/MONITORS:
1. The stage will be a minimum ot 20 feet wide by 15 feet deep. Height must be su�cient
to where if we jump up, we will not get a concussion. Ideally, the stage will have an
access point other than through the audience.
2. 4 wedges are required, 5 is preferred, 6 is like dancing with the gods.
I 3. A minimum of 3 mixes is necessary, S is preferred, 6 is mind blowing.
