2. Thc parties now wish to enter into an Amendment to said Agreement under which ESA will perform
additional services for Clicnt.
TERMS AND CONDITIONS
I. Scopc of Work
The additional Scope of Work and fee covered by this Amendment is shown in Attachment A, which is
attached to this document and made a part of this Amendment.
?. Price
Payment to ESA under this Amendment, including expense reimbursement, shall not exceed $24,184.

3. Effect of Amendment I
Exccpt as amended herein, the parties' OriQinal Agreement shall remain in full force and effect.

Dear Charley:
Pursuant to the City of Ukiah's (City) request, please find our attached cost estimate (see Attachment A)ro
provide additional environmental consultin,services related to completion of the Pinal Environmental Impact �i
Report(FEIR) for the proposed Costco Wholesale Project. These additional emironmental consultine services I
are necessarv for the follo�cine reasons:
• Preparation of Responses [o Commen[s Receive�l on Final EIR. As a residt of additional comments �I
received on ihe Final EIR and comntents received during the Planning Commission hearing(November
21. 2013�. additional ESA Team lime will be required to prepare responses [o these commen[s. Given thc
complezity and r�nge of issues (including �iscal, traffic, drainage. and noise issues) additional staff time
�cill be required b�� cach team membcr.
• Coordination with City Staff and the Larger Project Te:�m. Given the City's anticipated level of legal
scru[inY for tl�e projecl and the EIR, additional ESA project management [ime was also required during
preparation of the Pinal F.IR and will continue to be requimd ro coordinate with City staff and the project
[eam (including sub-consultants. Kier and Wright, legal staff,ete.)to review and address
recomtnendations to the various responses that comprise the Final GIR. ��
