Sale �nd Purcliase In accordancc with and subject to all thc tcrms. covenaniti and conditions of this Agreement, City agrees to selL and Cosfio agrees to ptucliase for ' developmant, the Sitc for the sum oC'fHR]-:P, llOLL�1RS AND 50/100 DOLI.iVZS ($3.50) per usable square Y'oot of the Site (the "Purchasc Pricc"). 'I�hc numbcr of usablc squarc I�cct vaithin � lhe Sitc shall be confirmed pursu.mt to the Survey as pro�'ided in Section 20fi? of this , Agreement, and that figure sltall be used to dclermine the Purchase Price. Coslco acknowledges ❑nd undc�stnnds that the Site will be conveyed to Costco fbr purposes of development pursu�nt to lhis Agrecment and not for speculalion in undcvcloped land. 202. Gscruw C'ostco heretofore has upened nn escrow with the Sealtle Nationel Comn�erci�il Services OII ice of Fiisl Amcric�n �I�itle Insurance Company ("'l�itle Cony�any') who shall coordinate the cscrow witli Redwood �mpire Title Company (the "Gscrow A,ent"). This Aorccmcnt constitutcs thc joiut escrow instructions of City and Succcssor Agcncy and Costco, aoct a �luplicale copy of this A�reement shall be �letivere�l lu Ihe TiUe Company and lhe Escrow Agent prompily 1'ollowing the Cffective Date. City and Successor Agency and Costco shall � provide such additional cscrow instructions as shall bc ncccssary and consistcnl with this ' Agrccmcnt. Any state, coui�ty or city documentary Vansfer tax. � Following delivcry of a deed to thc Escrow Agcnt by City pursuant to Section 207 of this Agreement and the deposit b}' Costco with the F,scrow Agent of the Purchase Price and any other � closing fands mqtiired L�om Costco, lhe Fscrow /�gcnt shall record such deed when title can be � vcsted in Costco in accordance with the terms and provisions of this Agreeiuent. 7'he Escrow Agent sl�all biry. aftix and cancel any transfer stamps required by law and pay any trai�sier tax � rcquired by law. Any insurance policies goveining the Site are uot to be tr�nsferred. Tl�e Lscrow ,4gent is authorized to: ' 1. Coirvev.�nce of TiHe and lleliverv uf Posaessiun Pruvi�led lhat Custcu is not in dcl�vilt under this Agrecment and �II conditions �irecedent to such convcy�nce havc occurred, and subject to any extensions of time }�ursuant to this Agreement, the Closing Date Y2�r conveyancc to Costco of title to thc SiYc shall bc completed within thc timc period spccitied in Ihc Schedule ol Perforinanec (Attachment Nu. 3). Successor Aaeucy and Costco agree to ��erfiirm all acis necessary to conveyance of titic in sufficicnt fime for title to he conveyed in accordancc �vilh ihe foregoing provisions. City is a numic-ipal coiporation, in good standing, duly tbrmed and validly existing unctcr the laws oCthe Slatc of California. Successor Agency is a separate Icg1I entity and lhe successor to the I2DA. No work has heen perlormed or is iu progress at, a��d no matcrials h2��e hecn furnislied to, the Site which liavc not been paid fm� or N�ill not be paid for in tull by City prior to thc Closing Date. � (viii) Assessu�ents. No special or general assessments have been levicd, other thai� �s shown in the Title Commitment, or to thc knowledge of thc City or dic Successor � Agcncy are thre�tened, againsl all or any pxr[ uf the Site. (ix) Access and Su�ect Dedication.
