HomeMy WebLinkAboutVirginia Porter Consulting 2012-06-30 �' '.� !� ��3D1�- ' Russian River Watershed Association —Virginia Anderegg July 1, 2012 �I I AGREEMENT FOR PROFESSIONAL SERVICES Russian River Watershed Association — Executive Director Services The following is an agreement between the City of Ukiah, hereinafter the 'City", ' on behalf of the Russian River Watershed Association and Virginia Anderegg doing business as Virginia Portcr Consulting hereinafter, "ConsultanP'. � WHEREAS, Consultant is a duly qualified consulting firm, experienced in a project and program administration and management in the fields of water resources, wastewater and water recycling. WHEREAS, in the judgment of the Board of Directors of the Russian River Watershed Association, hereinafter Russian River Watershed Association, it is necessary and desirable to employ the services of d�e Consultant for the purpose or Executive Director services in administration of the Association. WHER�AS, the Board of Directors of the Russian River Watershed Association has requested that the City serve as fiscal agent to the Russian River Watershed !i Association and contract with the Consultant for these services. NOW, THER�FORE, in consideration of the nwtual covenants contained herein, the parties hereto lgree as follo�vs PART A— SPECIFIC PROVISIONS: 1. DGSCRIPTION OF SERV[CES AND PAYMENT: Except as modified in this agreement, the services to be provided and the payment schedule are: a. The scope of work covered by this agreement shall be that inc]uded in Attachment A of this a�reement and is based on the scope of work outlined within tlie RRWA 2012-2013 Work Plan as approved by the Board of Directors of the RRWA at its regular meeting on February 23, 2012. The total amounY of this contract is equal to the total budget in the Work Plan ($254,832), less a credit to the Ciry for the Administrative Agency services ($1,800). b. The fee and fee payment for such work shall be as stipulated under the fee schedule included in Attachment B oPthis agreement and shall not exceed $253,032 in total. ASSIGNMENT/DELEGATION: Except as above, neither party hereto shall assign, sublet or transfer any interest in or duty under this agreement without wiitten consent of the other, and no assignment shall be of any force or effect whatsoever unless and un[il the other pariy shall have so consented. 2. STATUS OF CONSULTANT: The parties intend that the Consultant, in performing Che services hereinafter specified, shall act as an independent � contractor and shall have [he control oPthe work and the manner in which it is performed. The Consultant is not to be considered an agent or employee of the City, and is not entitled to participate in any pension plan, insurance, bonus or similar benetits the City provides its employees. 3. INDEMNIFICATION: The City is relying on professional ability and training of the Consultant as a material inducement to enter into this agreement. The Consultant hereby agrees that all its work will be perfomied in accordance with generally accepted professional practices and standards, as well as the requirements of applic�ble federal, state and local laws, it being understood that acceptance of the Consultanf s work by the City shall not operate as a waiver or release. a. With respect to professional scrvices under• this agreement, Consultant I shall indemnify, hold harmless, release and defend the City, its officers, directors, agents, volunteers, and employees from and against any and all actions, claims, damages, disabilities, liabilities and expenses, including a[torney's and expert fees and wimess and litigation costs that may be asserted by any person or entity, including the Consultant, its officers, agents, employees and/or subcontractors arising out of the negligent acts, ' errors or omissions, failure to perform or willful misconduct of the � Consultant in connection with this agreement and the activities necessary i to perform the task provided herein. b. WiYh respect to all other Yhan professional services under this agreement, Consultant shall indemnify, hold l�armless, release and defend the City, its oFficers, agents and cmployees tl�om and against any and all actions, claims, damages, disabilities, liabilities, and expenses, induding attorney's and expert fees and witness costs that may be asserted by any person or entity, including the Consultant, arising out of or in connection with this agreement and the activities necessary to perform those services and complete the tasks provided for herein. This indemnification is not limited in any way by any limitation on the amount or type of damages or compensation payable by or for the City or its agents under workers' compensation acts, disability benefit or other employee benefit acts. � 2 li i Russian River Watershed Association —Virginia Anderegg � July 1, 2012 I 4. PROSECUTION OF WORK: Consultant has been previously authorized by the RRWA Board of Directors to proceed with Executive Director Services under this Agreement which is now being executed. The execution of this Agreement shall constitute the Consulta��t's authority to proceed immediately with t11e invoicing and collection of peyinent for performance under this contract be riiuiin .1u1 1 2012. Performance of the seivices hereunder shall 6 K Y � be completed by June 30, 2013, provided, l�owever, that if the performance is delayed by earthquake, flood, higl� water or other Act of God or by strike, lockout or similar labor disturbance (`Acts"), or by otl�er cause beyond ConsultanYS reasonable control, the time for the Consultant's performance of this conu•act shall be extended by a number of days equal to the number of days the Consultant has been delayed by such Acts. 5. METHOD AND PLACE OF GIVING NOTICE, SUBMITT[NG BILLS AND MAKING PAYM�NTS: All notices, bills and payment shall be made in writing and may be given personal deliveiy or by mail. In all other instances, notices, bills and payments shall be deemed eiven at the time oY actual delivery. Changes may be made in the names and addresscd of the person to whom notices, bills and payments are to be given by giving notice pursuant to this paragraph. 6. MERGER: This writing is intended both as the final expression ol'the agree�nent between the parties hereto with respect to the included terms ofthe agreeme�lt, pursuant to California Code of Civil Procedure Section 1856 and as a complete and exclusive statement oCthe terms of the agreement. No modification of this agrecment shall be effective unless and imtil sueh modific�tion is evideneed by a writi��g signed by both parties. 7. SEVERAI3ILITY: Each provision of the agreement is intended to be i servable. If any term of any pro�ision shall be determined by a court of 3 Russian River Watershed Association —Virginia Anderegg July 1, 2012 I � competent jurisdiction to be illegal or invalid for any reason whatsoever, such provision shall be severed from this agreement and shall not affect the validity � of the remainder of the agreement. S. TERMINATION: At any time and without cause, the City shall have the right in its sole discretion, to terminate this agreement by giving written notice � to the Consultant. In the event of such termination, the City shall pay the Consultant for services rendered to the termination date. i � In addition, if the Consultant should tiail to perform any of its obligations � hereunder, within the time and in the manner herein provided, or otherwise I violate any of the terms of this agreement, the City may terminate this I agreement by giving the Consultant written notice of sueh termination, stating � the reason for such termination. [n such event, the Consultant shall be entitled to receive as full plyment for all services satisfactorily rendered and expenses incurred hereunder, an amount which bears the samc ratio to the total fees specified in the agreement as the services salisfactorily rendered hereunder by the Consultant bear to the total serviccs otherwise required to be performed for sueh total fee, provided however, that there shall bc deducted from such amount the amount of damage, iCany, sustained my the City by virtue of the breach of the agreement by the Consultant. 9. TRANSFER OF RIGHTS/OWNER5HIP OF DATA: "I�he Consultant assigns the City all rights throughout the work in perpetuity in the nature of copyright, trademark, patent, and right to ideas, in and to all versions of 1ny plans and specifications, reports, video tapes, photographs, and documents now or later prepared by the Consultam in connection witl� this contract. The Consultant agrees to take such actions as are neccssary to protect the rights assigned to the City in this agreement, and to refrain Crom taking any action which would impair those ri�hts. The Consultant's responsibilities under this contract will include, but not be limited to, placing proper notice oY copyright on all versions of plans and specifications, reports and documents as the City may direct, and refi-aining from disclosing any versions of the reports and documents to any third party without first obtaining written permission of the City. The Consultant will not use, or permit anothcr to use, any plans and spccifications, reports and documents in connection with this or any other project without first obtaining written permission of the City. All materials resulting fi�om the efforts of[he City and/ar the Consultant in connection with this project, including documents, reports, calculations, maps, photoaraphs, video tapes, computer programs, computer printouts, digital data, notes, and any other pertinent data are the exclusive property of the City. Reuse of these materials by the Consultant in any manner other than in � conjunction with activities authorized by the Ciry is prohibited without written � permission of Yhe City. 4 Russian River Watershed Association —Virginia Anderegg July 1, 2012 ]0. COST DISCLOSURE: ln accordance with Government Code Section 7550, the Consultant agrees to state in a separate portion of any report provided the City, the nutnbers and the amoLints of all contracts and subcontracts relating to the preparation of the report. � ll. NONDISCRIMINATION: The Consultant shall comply with all applicable �I federal, state and local laws, rules and regulations in regard to nondiscrimination in employment because of race, color, ancestry, national origin, religion, sex, marital st�rius, age, medical condition or physical handicap. 12. EXTRA (CHANGED) WORK: Extra work may be required. The �� Consultant shall uot proceed nor be entitled to reimbursement for extra work unless thTt work has been authorized, in writing, in advance, by the City. The � Consultant shall inform the City as soon as it deterniines work beyond the scope of this agreement may be necessary and/or that the work w�der this I agreement cannot be completed for the amount specified in this lgreement. � Failure to notify the City shall constitute waiver of the Consultant's right to reimbursement. I 13. CONFLICT OF INTEREST: The Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would ' conflict in any manner or degree with the perfonnance of its services � hereunder. 'Che Consultant Curther covenants that in the performance of this contract no persoi� having any such i��terest sh111 be employed. 14. INSURANCE: The Consultant shall obtain i�lsw�ance acceptable to the City in a company or companies with a BesYs rated carrier of at least A:VII. The required documentation of such insurance sllall be furnished to tl�e City at the time it returns the executed contract. The Consuh�int shall not commence � � work nor shall it allow its employees or stiibcontractors or anyone to � comrnence work until all insw�ance required l�ereunder is in effect. � The Consultant shall have and maintain at all times during the lifc of this agreement, up to the date of acceptance, the following policies of insurance: a. Workers' Compensation Insurance: If Consultant has employees, Workers' Compensation Insurance to cover its employees, as required by the State of California, and shall require all subcontractors similarly to provide Workers' Compensation Ii�surance as required by the Labor Code of the State of California for all of the subcontractors' employees. Public Liability Insurance: Personal [njury (including bodily injury) and � Property Damage Insurance for all activities of tlle Consultant and its subcontracYors arising out of or in connection with this agreement, written �� on a commercial general liability form which provides coverage at least as � broad as ISO Commercial General Liability Occurrence Form CG 00 Ol � 11 85 or 88 or any subsequent revision or equivalent including benefit contractual coverage, completed operations coverage, Consultant's protective coverage, and automobile covera�e. The automobile coverage should be at least as broad as ISO Business Auto Form CA001 edition 187 I or equivalent including employei's non-ownership liability. All I deductibles or self-insured retentions shall not exceed $1,000. Coverage � in an amount not less t'han $1,000,000 combined single limit personal i, injury ($2,000,000 in the Aggregate), including bodily injury, and � property damage for elch occurrence is required. Each such policy shall be endorsed with the lallowing language: l. The City of Ukiah, its officers, agenCs, employees and volunteers are addilional insured under tl�is policy. 2. The insw�ance shall be primaiy as respects the insured shown in the schedule above. 3. The refereneed policy does not exclude explosion, collapse, I underground excavation hazards or removal of lateral support. i � 5. The inelusion of more than one insured shall not� operate to impair the � right of oue insured aglinst another insured, and the coverage afforded in the policy shall apply as though separate policies had been issued to I each insured. I Consuhai�Ys policy shall be endorsed with an "Additional Insured EndorscmenY' form. Professional Liability Insurance: The Consultant shall procure and � maintain throughout the term of this agreement, Pro'fessional Liability Insurance in an amount not less than $1,000,000. All insurance �i deductibles or sell=insurcd relentions shall not c�ceed $50,000. All � Professional Liability Insurance policies shall be endorsed with the following specific language: i (i) This policy shall not be eanceled without first giving thirty (30) days prior notice to the Ciry by certified mail. d. Documentation: The following documentation of insurance shall be submitted to the City: (i) A Certii9cate of Insurance of Workers' Compensation Insurance for � Consultant if Consultant has employees. A copy of tlie required policy endorsements specified in subparagraph a. shall be attached to each ' such Cei�Citicate submitted. � (ii) CertificaYes of I.iability [nsurance showing the limits of insurance provided. Copies of the required endorsements specified in subparagraphs b. and c. shall be attached to each Certificate submitted. 15. DISPUTE RGSOLUTION: Calilornia law shall govern any dispute between the parties to this agrecment. Any litigation between the parties ' shall be filed in Mendocino County Superior Court, each party agreeing to the jurisdiclion and venue of such courts. I 16. BILLING AND DOCUMENTATION: The Consultant shall bill the Ciry �!� for work on a mondily or agreed upon basis and shall include a summary of � work for whidi payment is requested. The summary shall include time and I hourly rate of each individual, nan�ative description of work accomplished, i and an estimate of work completed to date. , 17. REASONAQLG ASSURANCTS: Each party to this agreement undertakes II the obligation that the other's expectation of receiving due perforn�ance will I not be impaircd. When reasonable �rounds for insecw�ity arise, with respect to perforn�ance of either party, the otl�er may, in writin�;, demand ade�uate assurance of due pertormance and �mtil Yhe requesting party receives such assurance may, if commercially reasonable, suspend any performance for which the agreed retm-n has not been received. "Convnercially reasonable" includes not only the conduct of the party with respect to performance imder this agreemcnt but also condtiict with respect to other agreements with parties to this agreement or others. After receipt of a justified demand, failure to provide within a reasonable time, not to exceed 30 days, such assurance of due perfomiauce as is adequate under the circwnstanees of the particular case I� 7 Russian River Watershed Association —Virginia Anderegg � July 1, 2012 � is a repudiation of this agreement. Consultant will administer gencral RRWA voice-mail and perform regular general con•espondence o�� behalf of RRWA. Consultant will also prepare monthly progress reporCS, itemized invoices and maintain project controls. Included in this task is � $1,800 compensation for thc ndministrative Agency, the City of Ukiah which is administered as a credit to Ukiah's annual fees. �I.s.strmplions: • No more than 6 two-hour Board meetings or comparable, with 4 hrs prep plus meeting attendance including travel time for each meeting • General communications (emails, phoue, distribution lists) performed routinely • File sharing system among Consultlnt and ECON (sub-consult�tnt) will be maintained � • Up to 4 letters per year as part of general correspondence • Board meeting material distribution provided for each meeting by Consultant Subtask 1.2: Technical Working Group Consuhant will provide Working Group meeting notitication, coordinate, prepare for and attend Technical Working Group sessions as well as develop meeting summaries. As.surnptrons: • No more than 8 two-hour mee[ings, with 4 hrs prep plus meeting attendance including travel time for each meeting • AYtendance at all meetings Subtask 1.3: Work Plan llevelopment ' Consultant will coordinate witlt RRWA Working Group and Board of Directors to develop and present a draft, revised draft and final Work Plan for 2013-2014. , Asszrmptions: j • 2013-2014 Work Plan will follow similar structw�c and format as 2012-2013 Work Plan • Projects for inclusion in Work Plan will be developed during Working Group sessions 9 Russian River Watershed Association -Vir inia Andere I g gg July 1, 2012 I Task B: General I3enefit Projects Subtask 2.1: Implementation of Outreach Strategies Consultant will foctiis on providing outreach to increase RRWA's "whole watershed" perspcctive for programs canied out by RRWA, our member agencies and by otlier � watershed organizations. This program is generally based on [he individual outreach plans developed and regularly updated by the Working Group. Consultant will make up to two presentations to regulatory groups or professional organizations. Consultant will coordinate with local watershed and environmental groups to help sponsor creek and river cleanup activities within the watershed as part of RRWA's public outreach. Regular � maintenance and update of thc RRWA website and associatecl programs pages as well as davelopment of a watershed map are in this year's outreach program. The environmental column will be continued as in previous years - member agency staff will write the columns and Consultant will coordinate the review and distribution of the columns to newspapers and to RRWA's outreach email group. This year special focus will be placed on tlle "Rethink your Drink/Take it fi�om the Tap" message in outreach efforts. Consultant will make email notification rcgarding training for water and wastewater system professionals. Consultant will also coordinate with the Sonoma County Waste Management Agency regardin� the annual recycling guide. Consultant will continue to perform outreach to eligible entit'ies such as the City of Sebastopol and the County of I Mendocino. Ass2+mptions: '� • Website and associated program pages will be updated at least quarterly � • The new web interactive map will be maintained and 3-4 new data layers will be developed i • Each member agency will author at least one column during the year and ' Consultant will distribute to newspapers and outreach list • Emironmental column as well as student video contest will be coordinated in- kind in conjunction with the Working Group and Consultant • Up to 2 Speaker's Bureau presentations will be presented to regulatory groups, professional organizations, or other eligible entities • RRWA will provide sponsorship of Russian River clean-ups and coastal clean-up at the same level as last ycar Subtask 2.2: Russian River Friendly Landscape Guidclines Consultant will continue to maintain momentum from publication and launch of the RRFLG and respond to professionals and agencies. Special focus this year will include an event in the Yall of 2012 and developing interpretive materials for demonstration sites. Assurnptions: I • Hold an event in the fall of 2012 similar to the 2010 launch event, with in-kind support from the City of Santa Rosa. • Develop ai�d produce interpretive materials, e.g. signage or brocl�urc for examples � of RRPLG principles and practices in the Russian River watershed. I • Respond to inquiries and requests for use of the RRFLG as needed. ' 10 Russian River Watershed Association —Vir inia Andere , , 9 99 July 1, 2012 • Maintain contact with landscape inclustry professionals, SR.iC, Sonoma State � University, and Mendocino and Sonoma Master Gardeners during the year � regarding integration of Guidelines principles into existing curricula. � • Maintain membership in the Bay Friendly Coalition. I Subtask 2.3: Regulatory Forum and Advocacy � Consultant will coordinate and Pacilitate the regular meetings with Regional Water � Quality Conh�ol Board (RWQCB) stafl�and attend up to 4 meetings oP the RWQCB. In � ordcr to devclop a united voice for regular dialogue on permitting anci policy issues, the ' work will indude regular prioritization of inember agency permitting and policy issues to be addressed with the RWQCB 1 Executive Officer. Issues and topics for RWQCB meetings will be developed during Working Uroup meetings. Consultant will take the lead on researching and crltting comment/issue/response letters with review and input from the RRWA Working Group and Board. The project includes up to $1,500 for as- needed support' from RMC Water and Environment. Assumptions: • Up to 4 issue letters and monitoring member agency permitting and policy issues I • Up to 4 mcerings and prioritized a�endas with RWQCB Executive Officer ! • Attendance at up to 4 meetings of thc RWQCB � • Legislative Yracking emails as appropriate I Subtask 2.4: MS4 Permit Support Consultant will provide support to member agencies with implementation of stormwater BMPs required in the MS4 (Phase 1 and 2) permiCS. RRWA will serve as a forum for sharing ideas aud coordinating efforts to meet permit requirements. Cons�iltant will focus efYorts on tl�e Low Iinpact Development Tcclmical Design Manual review and eomments. 'Chis subtask focuses on Phasc 1 and Phase II permit requirements and is a general benefit project. Asszrmptions: • Consultant will provide a forum far coordination, review and implementation strategies for stormwater permit documents, including a hydromodification plan. • In August 2012, Consultai�t will develop a technical memorandwn that describes all stonnwater related activities undertaken by member agencies during the 2011- 2012 Work Plan. Subtask 2.5: Agricultural Recycled Water Users Guidance Consultant will work with C�lifornia WateReuse and in collaboraYion with thc RWQCB to build on the work plan developed in the previous year and to tinalize guidance tools Yor the use of recycled water in agricultural applications in the Russian River watershed. ds.rumptions: • Consultant will work with California WateReuse to develop guidance standards or BMPs for iirigation ol'agricultural lands with recycled water in the watershed. • Continue to involve stakeholders in review of g�iidance tools. �' > > i I — -- —-- — Russian River Watershed Association -Virginia Anderegg �I July 1, 2012 Subtask 2.6: North Coast IRWMP Support Consultant will assist RRWA in continued support of activities far the North Coast IRWMP and to further the success of RRWA's project in the IRWMP. Assumptions: • Consultant will develop letters of support for the IRWMP process and projects. • Consultant will coordinate modifications to RRWA's project as needed. I • Consultant will facilitate discussion of the [RWMP process and projects at TWG � meetings. Subtask 2.7: Coordination with Partner Agencics Consultant will track partner agency programs and activities, respond to partner agencies inquires, and contact parmers in fw�ther development of RRWA programs in PY 2012- 2013 and beyond. Assz�mptions: • The Consultant will coordinate with parmer agencies including the ]ocal Resources Conservation Dish�icts, the Sonoma County Regional Climate Protection Authoriry, the Laguna Foundation, Occidental Arts and Ecology Center, LandPaths, Daily Acts, and other agencies/groups regarding regional efforts. Task C: Special Benefit Projects I� Subtask 31: Stormwater Phase II Support i Consultant will coordinate up to four NPDES Phase [I Agency Forums after regular TWG meetings, and lssist MS4 Phase II agencies in responding to the proposed new i Phase II Statewide permit, including evaluating options for collaborative implementation, � joint development of planning documents and eval�iating the potential for joint repoRing. i Asswnptions: , • Up to four (4) Phase II meetings to follow Working Group when possible , • Participation in monthly California Storntwater Quality Association (CASQA) � conference call meetings and transmittal of notes from these calls to Phase II � agencies I Subtask 3.2: Storm�vater Training The purpose of the 2012-13 Stormwater Training subtask is to continue the stormwater trainiog coordination activities for member agencies and contractors and constiltants responsible for implementing Stormwater Pollution Prcvention Plans (SWPPPs), and to ( assist in coordinating a MS4 permit related training oppoRunities and informational � meetings (by the SWRCB and others) in the Russian River watershcd. � � As.sumptions: i 12 �I _ _ _ _ Russian River Watershed Association —Vir inia Andere �I 9 99 July 1, 2012 • MS4 Permit-Related "rraining or Comparable - RRWA staff will support one MS4 permit-related training or comparable with member agencies as lead or in coordination with SWRCB. • Construction General Permit QSP and OSD Training - RRWA staff will , coordinate witl�mamber agencies and professional certified trainers to hold QSP �I (Qualified SWPPP Practitioner) and QSD (Qualified SWPPP Developer) certificaYion training Yor contractors and designers that work in the watershed, followed by State Board certification testiug. Tlie professional trainer will char�e � a fee for this ri�aining. RRWA's role is to coordinate with member agcncies and outside trainers to provide this training opportuility locally. Schedule: The �� training will be held prior to July 2013. Subtask 3.3: Stormwater Awareness Survey I�he purpose of this task is to clriy out one stormwater awareness survey consistent with the Phase I permit requirements. The survey will be conducted in the service area of the City of Santa Ros1, County of Sonoma and Sonoma County Water Agency. RRWA will contract with Data Instincts to carry out the survey. A.sa unaption.s: • Consultant will facilitate formulation of a questionnaire which will be developed with guidance from Data Instincts and input from Phase I agency staff. • Phone or comparable survey to be clrried out in Santa Rosa and unincorporated Sonoma County service areas, with 200 complete surveys in each for a total of 400 surveys. I • Final report of survey data and findings will be presented to the RRWA Board. Subtask 3.4: Creek Week/Pollution Prevention Weck Campaign II This subtask helps meet the Outreach and Gducation requirements of the Phase I and Phase II MS4 Permits. The member agencies will work in conjunction with RRWA stafY I to develop a combined Creek Week and Pollution Prevention Week campaign. RRWA � will support member agencies by developing and circulatin� a drafr proclamation, coordinating with agencies to present campaign messages to elected ofticials, and helping with outreach Yor activities to be sponsored by member agencies. Assumptio�as: • The Consultant will attend up to three stakeholder workshops planned for the Salt/Nutrient Management Plan. • RRWA will provide a forum for information transfer to agencies and commenY and disetiission of the Plan in the TWGs. Subtask 3.7: Regional Safe Medicine Disposal Progrlm — Hauling and Disposal The purpose of this program is to address issues regarding water quality and pharmaceuticals in the watershed by providing appropriate locations for individuals to dispose of unwlnted medicatious. The Consultaut contracts with a waste hauler and I coordinates pick-up from existing disposal locations in Windsor, Healdsburg and I Cloverdale. A.ssumptrons: • The Consultant will coordinate regular pick-ups of full disposal bins. • The Consultant will coordinate with the waste hauler and review and pay invoices Subtask 3.8: Regional Safe Medicine Dispos�l Program —Coordination and Outrcach 'The purpose of this program is to address issues regarding water quality and pharmaceutieals in the watershed by providing outreach to residents about properly disposing of unwanted medication.
