AGRGCMENT FOR PROFESSIONAL SERVICES
Russian River Watershed Association —Executivc Director Services
The following is an agreement between the City of Ukiah, hereinaYter the "CiTy", '
on behalf of the Russian River Watershed Association and Virginia Anderegg doing
business as Virginia Porter Consulting herein�fter. "Consultant".
� WHEREAS, Consultant is a duly qualified consulting firm, experienced in a
project and program adtninistration and man�gement in the fields of water resources,
wastewater and water recycling.
WHERF.AS, in the judgment of the Board of Directors of the Russian River �
Watershed Association, hereinafter Russian River Watershed Association, it is necessary i
and desirable to employ the services of the Consultant for the purpose of Executive I
Director services in administration of the Association.
WH�RCAS. the Board of Directors of the Russian River Watershed Association
has requested that the City serve as tiscal agent to the Russian River Watershed
Association and contract with the Consultant for [hese services. ,
NOW, THF,REFORE, in consideration of the mutual covenants contained
herein, the partics hercto agree as follows:
PART A —SPECIFIC PROVISIONS: I
1. D�SCRIPTION OF SF.RVICES AND PAYMFNT: I;xcept as moditied in
this agreement, the services to be provided and the payment schedule are:
a. The scope of work covered by tl�is agreement sl�all be that included in �
Attachment A of this aareement and is based on the scope oY work
outlined within the RRWA 2013-2014 Work Plan as approved by the
[3oard of Directors of the RRWA at its regular meeting on May 2, 2013.
The total amount of this contract is equal to the total budget in the Work
Plan ($309.827), less a credit to the City for the Administrative Agency
services ($2,000).
b. �I'he fee and fee payment for such work shall be as stipulated under the fee
schedule included in Attachment B of this agreement and shall not exceed
$307,827 in total. I

PART B — GENERAL PROVISIONS
I' 1. ASSIGNMENT/DELEGATION: Except as above, neither party hereto
shall assign, sublet or transfer any interest in or duty under this agreement
without written consent of the other, and no assignment shall be of any force I
or effect whatsoever unless and until the other party shall have so consented. ,
2. STATUS OF CONSULTANT: The parties intend that the Consultant, in I
performing the se�vices hereinafter specitied, shall act as an independent
contractor and shall have the control of the work and the manner in which it is
performed. The Constiiltant is not to be considered an agent or employee of
tl�e City, and is uot entitled to participate in any pension plan, ins�irance,
bonus or similar benefits the City provides its employees.
3. INDEMN[FICATION: The City is relying on professional ability and I
training of the Consultant as a material induce�ment to enter into this
agreement. Tlte Consultant hereby agrees that 111 its work will be performed
in accordance with generally accepted professional practices and standards, as
wel] as [he requirements of applicable federal, s[ate and local laws, it being �
understood that acceptance of the Consultant's work by the City shall not ,
operate as a waiver or release.
a. Witl� respect to professional services �mder this agreement, Consultant
shall indemnify, hold harmless, release and defend the Ciry, its officers,
directors, agents, volunteers, and emp�oyees Yrom and against any and all
actions, claims, damages, disabilities, liabilities and expenses, including
attorney�'s and expert fees and witness and litigation costs that may be
asserted by any person or entity, including the Consultant, its officers,
agents, employees and/or subcontractors arising out of tl�e ne�;ligent acts,
errors or omissions, tailure to perform or �villful misconducl of the
Consultant in connection with this agreement and the activities necessary
to perfonn the task provided herein.
b. With respect ro all other than professional services under this agreement,
Consultant sltall indemnify, hold hannless, release and defend the City, its
officers, agents and employees from and against any and all actions,
daims, damages, disabilities, liabilities, and expenses, induding attomey's
and expert fees and witness costs thlt may be asserted by any person or
en[ity, inch�ding the Consultant, arising out of or in connection with this
agreement and the activities necessary to perform those services and
complete the tasks provided for herein, �,
This indemnitication is not limited in any way by any limitation on the
amount or type of dainages or compensation payable by or for the City or its
agents �mder workers' compensation acts, disability benefit or other employee
benetit acfs.

4. PROSCCUTION OF WORK: Consultant has been previously authorized '
by the RRWA Board of Directors to proceed with Executive Director Services
under this Agreement which is now being executed. Thc execuYion of this �
Agreement shall constitute the Cons�4tanYs authority to proceed immediately
with the invoicing and collection of payment for performance under this
contract beginning ,Tuly l, 2013. Pcrforn�ance of the services hereunder sl�all �
be completed by June 30, 2014, provided, however, that if the performance is
delayed by eartltquake, flood, high water or other Act of God or by strike,
� lockout or similar labor disturbance ("Acts"), or by other cause beyond
� Consultant's reasonable conh�ol, the time for the Consultant's performance of
this contract shall be extended by a number of days equal to the nwnber of
days tlie Consultant has been delayed by such Acts.
5. METHOD AND PLACG OF G1V[NG NOTICE, SUI3MITTING BILLS

in writing and may be givcn personal delivery or by mail. Notices, bills and

and when so addressed, shall be deemed given upon deposit in the United
States Mail, postage prepaid. In all other instances, notices, bills and

payments shall be deemed given at the time of actual delivery. Changes may
be made in the names and addressed of the person to whom notices, bills and
payments are to be given by givin� notice pursuant to this paragraph.
6. M�RG�R: This writing is intended both as the final expression of the
agreement between the parties hereto with respect to the included terms of the
agrsement, pursuant io CaliYomia Code of Civil Procedure Section 1856 and
as a complete and exdusive statement of the terms of the agreement, No
moditication of t11is agreement shall be effective unless and until such �
moditication is evidenced by a writing si�ned by both paMies.
7. 5EVERABILITY: Each provision of the agreemant is intended ro be

servable. If any term of any provision shall be determined by a court of ��

� competent jurisdiction to be illegal or invalid f'or any reason whatsoever, such �
provision shall be severed from this agreement and shall not affect the validity �
of thc remainder of the agreement. �
8. TERMINAT[ON: At any time and without cause, the City shall have the
right in its sole discretion, to terminate this agreement by giving written notice
to the Consultant In the event of such tennination, the City shall pay the
Consultant for services rendered to the tem�ination date. �
In addition, if the Consultant should fail to perform any of its obligations
hereunder, within the time 1nd in the manner herein provided, or otherwise I
violate any of the terms of this agreemenC, the City may terminate this
agreement by giving the Consultant written notice of such termination, stating
the reason for such termination. In such event, the Consultant shall be entitled �
to receive as full payment for all services satisfactorily rendered and expenses
incurred hereunder, an amount whicil bears the saine ratio to the total fees
specified in the agreement as tlie services satisfactorily rendered hereunder by
the Consultant bear to thc total services otherwise required to be performed
for such total fee, provided however, that there shall be deducted from such
amount the amount of damage, if any, sustained my the City by virtue of the '
breach of the agreement by the Consultant.
9. TRANSFER OF RIGHTS/OWNERSHIP OF DATA: Tbe Consultant
assigns the City all rights throughout the work in perpetuity in the nature of
copyri�ht, trademark, patent, and right to ideas, in and to all versions of any
plans and specitications, reports, video tapes, photographs, and docwnents i
now or later prepared by the Consultant in connection with this contract.
The Consultant agrees to take such actions as are necessary to protect the
rights assigned to the City in this agreement, and to refrain from taking any
action which would impair those rights. The Consultant's responsibilities
under this contract will include, but not be ]imited to, placing proper notice of �
copyright on all versions of plans and specifications, reports and documents as
the City may direct, and refraining from disclosing any versions of the reports
and documents to any third party without first obtaining written permission of
the City. The Consultant will not use, or pennit another to use, any plans and
specifications, reports and documents in connection with this or any other
project withoirt tirst obtaining written permission ofthe City.
All materials resulting fi•om the efforts of the City and/or the Constdtant in �I
connection with this project, including documents, reports, calculations, maps,
photographs, video tapes, computer programs, computer printouts, digital
data, notes, and any other pertinent data are the exclusive property of the City.
Reuse of tilese materials by the Consultant in any manner other than in
conj�mction with activities authorized by the City is prohibited without written
permission of the City.

10. COST DISCLOSURE: In accordance with Government Code Section 7550,
the Consultant a�rees to state in a separate portion of any report provided the
City, the numbers and the amounts oF all contracts and subcontracts relating to
the preparation ol�the report.
11. NONDISCRIMINATION: The Consultant shall comply with all applicable
federal, state and local laws, rules and regulat�ions in regard to �
nondiscrimination in einploy�nent because of race, color, �ncestry, national
origin, religion, sex, n�arital status, age, medical condition or physical
handicap.
12. �XTRA (CHANG�D) WORK: Gxtra work may be required. The
Consultant shall not proceed nor be entitled to reimbursemcnt for extra wark �
unless that work has been authorized, in writing, in advance, by the City. The
Consultant shall iuform the City as soon as it determines work beyond the ,
scopc of this agreement may be necessary and/or that the work under this
agreement cannot be completed for the amount specified in this agrcement.
Failure to noYify the City shall constitute waiver of the Consultant's right to
reimbw�sement.
13. CONFLICT OF INTERGST: The Consultant covenailts that it presently has �
no interest and shall not ac�uire airy interest, direct or indirect, which would
conflict in any mauner or degree with the performance of its services
hereunder. The Consultant further covenants that in the performance of this
contract no person having any such interest shall be employed.
14. INSURANCE: The Consultant shall obtain insurance acceptable to the City
in a company or companies with a [3esYs rated carrier of at least A:VII. The
reqtiiired documentation of such insurance shall be furnished to the City at the
time it returns the executed contract. The Consultant shall not commence
work nor shall it allow its employees or subcontractors or anyone to
commence work until all insurance required hereunder is in effect.
The Consultant shall have and maintain at all times during the life of this
agreement, up to the date of acceptance, the following policies of insurance:
a. Workers' Compensation Insurance: If Consultant has employees,
Workers' Compensation Insurance to cover its employees, as required by
the State of Californil, and shall require all subcontracrors similarly to
provide Workers' Compensation Insurance as required by the Labor Code
of the State of Califoruil for all of the subcontractors' employees. All
Workers' Compensation policies shall be endorsed with the following
specific language: '�

� "This policy shall not be canceled without first �
giving thirty {30) days prior notice to the City,
Attn: Jane Chambers, by certified mail."
The Workers' Compensation Insurance self-insured deductibles and
retentions for both the Consultant and its subcontractors shall not exceed
$1.000.
b. Public Liability Insurance: Personal Injuiy (i��cluding bodily injury) and �
Property Damage Insurance for all activities of the Consultanl and its
subcontractors arising out of or in connection with this agreement, written
on a coinmercial general liability fonn whicl� provides coverage at least as I
broad as 1S0 Commercial Gea�era] Liability Occurrence Form CG 00 O1
11 85 or 88 or any subsequent revision or equivalent including benefit
contractual coverage, completed operations coverage, Consultant's
protective coverage, and automobile coverage. The automobile coverage
should be at least as broad as ISO f3usiness Auto Porm CA001 edition 187
or equivalent it�cluding employer''s non-ownership liability. All
deductibles or self-insured retentions shall not exceed $1,000. Coverage
in an amotmt not less than $1.000,000 combined single limit personal
injury ($2,000,000 in the Aggregate}, including bodily injury, and
property damage for each occurrence is required. Each such policy shall
be endarsed with the following language:
1. The City of Ukiah, its officers, a�ents, employees and volunteers are
additional insured under this policy.
2. The insurance shall be primary as respects the insured shown in the
schedtile �bove.
3. The insurauce afforded by this policy shall �1ot be canceled except
aYter thirty days prior written notice by mlil has beett given to the City.
4. The referenced policy does not exclude explosion, coll�tpse, ,
imderground excavation hazards or removal of Iateral support, I
5. The inclusion of more than one insured shall not operate to impair the
right of one insured against another insured, and the coverage afforded
in the policy shall apply as though separate policies had been issued to �
� eacl� insured. ��
Consultant's policy shall be endorsed with an "Additional Insured
EndorsemenY' form.
The General Aggregate Limits of Insurance in the referenced policies
apply separatcly to tllis project. i

' c. Professional Liability [nsurance: The Consultant shall procure and
maintain throughout the term of this agreemcnt, Professional Liability
Insurance in an amount not less than $I,000,000. All insurance
deductibles or self-insurcd retentions shall not exceed $50,000. All
Professional I.iability [nswance policies shall be endorsed with the
following specitic language:
(i) This policy shall not be canceled without (irst giving Chirty (30) days
prior notice to t�l�e City by certified mail.
d. Documentation: The following documentation of insurance shall be
submitted to the City:
(i) A Certificate of Insurance of Workers' CompensaYion Insurance for
Consultant if Consultant has employees. A copy of the required policy
endorsements specified in subparagraph a. shall be attached to each
such Certificate submitted. �
(ii) Certificates of Liability Insurance showing the limits of insurance 'I
provided. Copies of the required endorsements specitied in '
subparagraphs b. and e. shall be attached to each Certiticate submitted. i
15. DISPUTE R�SOLUTION: California law shall govern any dispute �
betwcen the parties to this agreement. Any litigation between the parties
shall be tiled in Mendocino County Superior Court, each party agreeing to �
the jurisdiction and venue of such courts.
16. BILLING AND DOCUMENTATION: The Consultant shall bill the City i
for work on a tnonthly or agreed upon basis and shall indude a summary of li
work for which payment is requested. The summary shall include time and I
hourly rate of each individual, narrative description of work accomplished,
and an estimate of work completed to date.
17. REASONABLG ASSURANCES: Each party to this agreement undertakes
� the obligation that the other's expectation of receiving due performance will
� not be impaired. When reasonable grounds for insecurity arise, with respect
to perforniance of either party, the other may, in writing, demand adequate
assurance of due performance and until the requesting party receives such
assurance may, if commercillly reasonable, suspend any performance for
which the agreed return has not been received. "Commercially reasonable°
includes not only the conduct of the party with respect to performance under
this a�rcement but also conduct with respect to other agreements with parties
to this agreement or others. Afrer receipt of a justified demand, failure to
provide within a reasonable time, not to exceed 30 days, such assurance of
due performance as is adequate under the circumstances of the particular case I,

i is a repudiation of this agreement. Acccptance of any improper delivery,
service. or payment does not prejudice the aggrieved partys right to demand i
adequate assurance of future perforn�ance.

Attachment A
Virginia Porter Consulting Scope of Work
Russian River Watershed Association
(I3ased on July 1, 2013 —June 30, 2014 Work Plan)
Task A: Administration
Subtask 1.1: General Administration
Consultant will provide Board of Directors meeting email notitication, will attend all
Board meetings as well as prepare meeting agendas, presentations and minutes as
necessary. Consiiltant will administer general RRWA voice-mail and perform regular
general correspondence on behalf of RRWA. Consultant will also prepare monthly
progress reports, itemized invoices and maintain project controls. Included in this task is
$2,000 compensation for the Administrative Agency, the City of Ukiah, whieh is
administered as a credit to Ukiah's annual fees.
Assumplions:
• No more than 6 two-hour Board meetings or comparable, with 4 hrs. prep plus
meeting attendance including travel time for each meeting
• General communications (emails. pl�one, clistribution lists) performed routinely
• File sharing system among Consultant and ECON (sub-consultant) will be
maintained
• Up to 4 letters per year as part ot'general con�espondence
• Board meeting material distribution provided for each meeting by Consultant li
Subt�sk 1.2: Technical Worlcing Group ''
Consultant will provide Working Group meeting notification, coordinate, prepare for, and I
attend Technical Working Group sessions as well as develop meeting summaries.

, Task B: General 6ene5t Projects
Subtask 21: Implementation of Outreach Strategies
Consultant will Yocus on providing outreach to incmase RRWA's "whole watershed"
perspective for programs carried ou[ by RRWA, our member agencies and by other
watershed organizations. This program is generally based on the individual outreach
plans developed and regularly updated by the Working Uroup. Consultant will make up
to two presentations to regulatory groups or prolessional organizations. Consultant will
coordinate with local watershed and environmental groups to help sponsor creek and
river cleanup activities within the watershed as part of RRWA's public outreach. Regular �
maintenance and update of the RRWA website and associated programs pages as well as
development of a watersl�ed map are iv this year's outreach program. The environmental
eolumn will be continued as in previous years - member agency staff will write the
columns and Consultant will coordinate the review and distribution of the columns to
newspapers and to RRWA's outreach email group. This year the "Rethink your
Drink/Take it from the Tap" message will continue in outreach messages. Considtant
will make email notifications regarding training for water and wastewater system
proYessionals. Consultant will also coordinate with the Sonoma County Waste
Management Agency regardin� the annual recyding guide. Consultant will continue to
perform outreach to eligible entities such as the City of Sebastopol and the County of
Mendocino.
Asstu�tptrotts:
• Website and associated program pages will be updated at ]east quarterly
• The new web interactive map will be maintained and no uew data layers will be
developed this year
• Gach member agency will author at least one column during the year and
Consultant will distribute to newspapers and outreach list
• Ei�viromnental column as well as student video contest will be coordinated in-
kind in conjunction with the Working Group and Consultant
• Up to 2 Speaker's Bureau presentations will be presented to regulatory groups,
professional organizations, or other eligible entities
• RRWA will provide sponsorship of Russian River clean-ups and coastal dean-up
at the same level as last year
Subtask 2.2: Russian River Friendly Landscape Guidelines
Consultant will continue to maintain momentum from publication and launch of the
RRFLG and respond to proYession�ls and agencies. Special focus this year will include
signage on demonstration landscapes and implementing suggestions from the January
2013 event.

• Develop and produce interpretive signa�e for demonstration landscapes identifed
by member agencies

regarding integration of Guidelines principles into existing curricula

Subtask 2.3: Regulatory Forum and Advocacy �
Consultant will coordinate and Cacilitate the regular meetings with Regional Water
Quality Control Board (RWQCB) stlff and attend up to 4 meetings of the RWQCB. In
order to develop a united voice for rc�ular dialogue on permitting and policy issues, the
work will include regular prioritization of inember agency permittin� and poliey issues to
be addressed with the RWQCB 7 Executive Officer. Issues and topics for RWQCB
meetings will be developed during Working Group meetings. Consultant will take the
lead on researching and crafting comment/issue/response letters with review and input
from the RRWA Working Group and [3oard.
Assurnptrons:
• Up to 4 issue letters and monitoring member agency permitting and policy issues
• Up to 4 meetings and prioritized agendas with RWQC[3 Executive Ofticer
• Attendance at up to 4 ineetings ofthe RWQCB
• Legislative [racking emails as appropriate
Subtask Z.4: MS4 Permit Support
Consultant will provide support to �uember agencies with implementation of stormwater
BMPs required in the MS4 (Phase 1 and 2) permits. RRWA will serve as a forum for
sharing ideas and coordinating efforts to meet pennit requirements. This subtask focuses
on Phase 1 and Phase II permit requirements and is a general benefit project.
Assumptions:
• Consultant will provide a forum for coordination, review, and implementation
strategies for srormwater permit documents, such as the hydromodification plan
• In August 2013, Consultant will develop a technical memorandum (TM) that
describes all stormwater related activitics widertaken by member agencies during
the 2012 -2013 Work Plan. This TM can be used into member agencies Annual
Reports
Subt�sk 2.5: Russian River W�tershed Urban Creek C�re Guide
Consultant will develop a �uidance documeut for Russian River watershed homeowners
to help take care of creeks. The document will be modeled after existing creek care
guides with an emphasis on urban enviromncnts. Pioject does not include funds for
document printing.
Asszunp�ions:
• Develop "Urban Creek Care Guide." This includes research, writing, design, and
review. Assumes no document printing this work plan year i

Subtask 2.6: North Coast 112WMP and Grant Support
Consultant will assist RRWA in continued support of activities for the North Coast
IRWMP and to further the success of RRWA's project in the IRWMP. This project may
also support identitication of other grant and funding opportunities for both RRWA
projects and for member agency projects.

Subtask 3.1: Stormwatcr Ph�se II Support I
Consultant will coordinate up to Your NPDES Phase II Agency Farums afrer regular
TWG meetings wl�en possible, and assist MS4 Pl�ase II agencies in responding to the
proposed their new permit requirements, including evaluating options for collaborative �
implementation, joint development of planning documents and evaluating the potential
for joint reporting.

• Up to four (4) Phase II Forums with member agencies to follow Working Group
when possible to review and discuss permit challenges
• Participation in monthly California Stormwater Quality Association (CASQA)
conference call meetings and transmittal of notes from these calls to Phase II
agencies
Subtask 3.2: Stormwater Training
The purpose of the 2013-14 Stormwater Training subtask is to continue the stormwater
training coordination activities for member agencies and contractors and consultants
responsible for implementing Stormwater Pollution Prevention Plans (SWPPPs), and to

assist in coordinating a MS4 permit related training opportunities and informational
meetings (by the SWRCB and others) in the Russian River watershed.

State and local regulations regarding use of recycled wafer; State and focal regutations
regarding wastewater.

Subtask 3.4: Creek WeeWPollution Prevention Week Campaign
This subtask helps meet the Outreach and 8ducation requirements of the Phase 1 and
Phase II MS4 Pennits. The member agencies will work in conjunction with RRWA staff
to develop a combined Creek Week and Pollution Prevention Week campaign. RRWA �
will support member agencies by developing and circulating a drafr proclamation, �
coordinati��g with agencies to present eampaign messagcs to elected ofticials, and helping '
witli outreach for activities to be sponsored by meinber agencies.
Assumptions:
• Consultant will coordinate circulation of a Draft Proclaination
• Cousultant will assist with outreach activities sponsored by agencies
Subtask 3.5: Laguna TMDL Forum and Comments I
RRWA will provide a forum for discussions with RWQCB and affected member
agencies as the Laguna de Santa Rosa Total Maximum Daily Load (TMDL) is
developed; and coordinate comments from RRWA member agencies and provide forum �
for RWQCB staff to receive comments and have a dialogue with member agencies.

Subtask 3.6: Clcan Business Recognition Program
The purpose of this program is to develop a means of recognizing restaurants and other
businesses that employ good practices for wastewater and stormwater program Best
Management Practices. There will be an emphasis on programs that works with existing
recognition efforts.

• Coordinate with member agencies on identifying standards for what makes a
"Clean Business"
• Develop program options and work with member agencies to define a program

Subtask 3.7: Regional Safe Medicine Dispos�l Program — Hauling and Disposal
The purpose of this program is to address issues regarding water quality and
pharmaceuticals in the watershed by providing appropriate locations for individuals to �
dispose of unwanted medications. "rhe Consultant contracts with a waste hauler and
coordinates pick-up from existing disposal locations in Windsor, Healdsburg and
Cloverdale.
Assumylions:
• The Consultant will coordinate regular pick-ups oP full disposal bins
• The Consul[ant will coordinate with the waste hauler and review and pay invoices
Subtask 3.8: Regional Safe Medicine Disposal Progr�m —Coordination and
Outrcach
The purpose of this program is to address issues regarding water quality and
pharmaceuticals in the watershed by providing outreach to residents about properly
disposing of unwanted medication.

single safe medicine disposal event for each of the following member agencies: Ukiah, I
Healdsburg and Windsor. Event will be comparable to and coordina[ed with special i
collection events carried out by Santa Rosa and SCWA for other member agencies.
Project includes funds for purcl�ase of a drop box for the City or Ukiah for permanent
placement after the event.
