AGREEMENTFOR
PROFESSIONAL CONSULTING SERVICES
[Design Professional]
This Agreement, made and entered into thisl(o�'h day of Oc�fob2r 2012 ("Effective Date"), by
and between CITY OF UKIAH, CALIFORNIA, hereinafter referred to as "City" and GHD, INC., a
corporation organized and in good standing under the laws of the state of California, hereinafter
referred to as "ConsultanY'.
RECITALS
' This Agreement is predicated on the following facts:
a. City requires consulting services related to preparation of the Northwestern Pacific Rail Trail
Phase 1 bid documents.
, b. Consultant represents that it has the qualifications, skills, experience and properly licensed to
provide these services, and is willing to provide them according to the terms of this
Agreement.
� c. City and Consultant agree upon the Scope-of-Work and Work Schedule attached hereto as
Attachment "A", describing contract provisions for the project and setting forth the completion
dates for the various services to be provided pursuant to this Agreement.
TERMS OF AGREEMENT
1.0 DESCRIPTION OF PROJECT
1.1 The Project is described in detail in the attached Scope-of-Work (Attachment "A"), which
includes the ConsultanYs proposal, supplement to proposal dated September 6, 2012, and
� City's request for proposal.
2.0 SCOPE OF SERVICES
2.1 As set forth in Attachment "A".
2.2. Additional Services. Additional services, if any, shall only proceed upon written agreement
between City and Consultant. The written Agreement shall be in the form of an Amendment to
, this Agreement.
3.0 CONDUCT OF WORK
3.1 Time of Comqletion. Consultant shall commence performance of services as required by the
Scope-of-Work upon receipt of a Notice to Proceed from City and shall complete such services
within 185 days from receipt of the Notice to Proceed. Consultant shall complete the work to
the City's reasonable satisfaction, even if contract disputes arise or Consultant contends it is
entitled to further compensation.
4.0 COMPENSATION FOR SERVICES
4.1 Basis for Comqensation. For the performance of the professional services of this Agreement,
Consultant shall be compensated on a time and expense basis not to exceed a guaranteed

maximum dollar amount of $154,316. Additional work to prepare a Stormwater Pollution
Prevention Plan, if authorized by the City, shall be performed for a fee of $5,400. Labor
charges shall be based upon hourly billing rates for the various classifications of personnel
employed by Consultant to perform the Scope of Work as set forth in the attached Attachment ,
"B," which shall include all indi,rect costs and expenses of every kind or nature, except direct
expenses. The direct expenses and the fees to be charged for same shall be as set forth in
Attachment "B." Consultant shall complete the Scope of Work for the not-to-exceed
guaranteed maximum, even if actual time and expenses exceed that amount. �
4.2 Chanqes. Should changes in compensation be required because of changes to the Scope-of-
Work of this Agreement, the parties shall agree in writing to any changes in compensation.
"Changes to the Scope-of-Work" means different activities than those described in Attachment
"A" and not additional time to complete those activities than the parties anticipated on the date
they entered this Agreement.
4.3 Sub-contractor Pavment. The use of sub-consultants or other services to perform a portion of
the work of this Agreement shall be approved by City prior to commencement of work. The
cost of sub-consultants shall be included within guaranteed not-to-exceed amount set forth in
Section 4.1.
4.4 Terms of Pavment. Payment to Consultant for services rendered in accordance with this
contract shall be based upon submission of monthly invoices for the work satisfactorily
performed prior to the date of invoice less any amount already paid to Consultant, which
amounts shall be due and payable thirty (30) days after receipt by City. The invoices shall
provide a description of each item of work performed, the time expended to perform each task, '�
the fees charged for that task, and the direct expenses incurred and billed for. Invoices shall �
be accompanied by documentation sufficient to enable City to determine progress made and
the expenses claimed.
5.0 ASSURANCES OF CONSULTANT
5.1 Independent Contractor. Consultant is an independent contractor and is sotely responsible for
its acts or omissions. Consultant (including its agents, servants, and employees) is not City's
agent, employee, or representative for any purpose.
It is the express intention of the parties hereto that Consultant is an independent contractor
and not an employee, joint venturer, or partner of City for any purpose whatsoever. City shall
have no right to, and shall not control the manner or prescribe the method of accomplishing
those services contracted to and performed by Consultant under this Agreement, and the
general public and all governmental agencies regulating such activity shall be so informed.
Those provisions of this Agreement that reserve ultimate authority in City have been inserted
solely to achieve compliance with federal and state laws, rules, regulations, and interpretations
thereof. No such provisions and no other provisions of this Agreement shall be interpreted or
construed as creating or establishing the relationship of employer and employee between
Consultant and City.
Consultant shall pay all estimated and actual federal and state income and self-employment
taxes that are due the state and federal government and shall furnish and pay worker's
compensation insurance, unemployment insurance and any other benefits required by law for
himself and his employees, if any. Consultant agrees to indemnify and hold City and its
officers, agents and employees harmless from and against any claims or demands by federal,
state or local government agencies for any such taxes or benefits due but not paid by

' Consultant, including the legal costs associated with defending against any audit, claim,
demand or law suit.
Consultant warrants and represents that it is a properly licensed professional or professional
organization with a substantial investment in its business and that it maintains its own offices
and staff which it will use in performing under this Agreement.
5.2 Conflict of Interest. Consultant understands that its professional responsibility is solely to City.
Consultant has no interest and will not acquire any direct or indirect interest that would conflict
with its performance of the Agreement. Consultant shall not in the performance of this
Agreement employ a person having such an interest. If the City Manager determines that the
Consultant has a disclosure obligation under the City's local conflict of interest code, the
Consultant shall file the required disclosure form with the City Clerk within 10 days of being
notified of the City Manager's determination.
6.0 INDEMNIFICATION
6.1 Insurance Liabilitv. Without limiting ConsultanYs obligations arising under Paragraph 6.2
Consultant shall not begin work under this Agreement until it procures and maintains for the
full period of time allowed by law, surviving the termination of this Agreement insurance
against claims for injuries to persons or damages to property, which may arise from or in
, connection with its performance under this Agreement.
A. Minimum Scooe of Insurance
Coverage shall be at least as broad as:
1. Insurance Services Office ("ISO) Commercial General Liability Coverage Form
No. CG 20 10 10 01 and Commercial General Liability Coverage — Completed
Operations Form No. CG 20 37 10 01.
2. ISO Form No. CA 0001 (Ed. 1/87) covering Automobile Liability, Code 1 "any
auto" or Code 8, 9 if no owned autos and endorsement CA 0025.
3. Worker's Compensation Insurance as required by the Labor Code of the State
of California and Employers Liability Insurance.
4. Errors and Omissions liability insurance appropriate to the consultanYs
profession. Architects' and engineers' coverage is to be endorsed to include
contractual liability.
B. Minimum Limits of Insurance
Consultant shall maintain limits no less than:
1. General Liabilitv: $1,000,000 combined single limit per occurrence for bodily
injury, personal injury and property damage including operations, products and
completed operations. If Commercial General Liability Insurance or other form
with a general aggregate limit is used, the general aggregate limit shall apply
separately to the work performed under this Agreement, or the aggregate limit
shall be twice the prescribed per occurrence limit.

2. Automobile Liabilitv: $1,000,000 combined single limit per accident for bodily
injury and property damage. �
3. Worker's Comqensation and Emqlovers Liabilitv: Worker's compensation limits
as required by the Labor Code of the State of California and Employers Liability
limits of $1,000,000 per accident.
4. Errors and Omissions liabilitv: $1,000,000 per occurrence.
C. Deductibles and Self-Insured Retentions
Any deductibles or self-insured retentions must be declared to and approved by the
City. At the option of the City, either the insurer shall reduce or eliminate such
deductibles or self-insured retentions as respects to the City, its officers, officials,
employees and volunteers; or the Consultant shall procure a bond guaranteeing
payment of losses and related investigations, claim administration and defense
expenses.
D. Other Insurance Provisions
The policies are to contain, or be endorsed to contain, the following provisions:
1. General Liabilitv and Automobile Liabilitv Coveraqes
a. The City, it officers, officials, employees and volunteers are to be
covered as additional insureds as respects; liability arising out of
activities performed by or on behalf of the Consultant, products and
completed operations of the Consultant, premises owned, occupied or
used by the Consultant, or automobiles owned, hired or borrowed by the
Consultant for the full period of time allowed by law, surviving the
termination of this Agreement. The coverage shall contain no special
limitations on the scope-of-protection afforded to the City, its officers,
officials, employees or volunteers.
b. The ConsultanYs insurance coverage shall be primary insurance as
respects to the City, its officers, officials, employees and volunteers.
Any insurance or self-insurance maintained by the City, its officers,
officials, employees or volunteers shall be in excess of the ConsultanYs
insurance and shall not contribute with it.
c. Any failure to comply with reporting provisions of the policies shall not
affect coverage provided to the City, its officers, officials, employees or
volunteers.
d. The ConsultanYs insurance shall apply separately to each insured
against whom claim is made or suit is brought, except with respect to
the limits of the insurer's liability.
2. Worker's Com�ensation and Emplovers Liabilitv Coveraqe
The insurer shall agree to waive all rights of subrogation against the City, its
officers, officials, employees and volunteers for losses arising from ConsultanYs
performance of the work, pursuant to this Agreement.

3. Professional Liabilitv Coveraqe
If written on a claims-made basis, the retroactivit date shall be the effective
v
date of this Agreement. The policy period shall extend for the duration of the
work being performed.
4. All Coverapes
Each Insurance policy required by this clause shall be endorsed to state that
coverage shall not be suspended, voided, canceled by either party, reduced in
coverage or in limits except after thirty (30) days prior written notice by certified
mail, return receipt requested, has been given to the City.
E. Acceotabilitv of Insurers
Insurance is to be placed with admitted California insurers with an A.M. BesYs rating of
, no less than A-for financial strength, AA for long-term credit rating and AMB-1 for
' short-term credit rating.
F. Verification of Coveraqe
Consultant shall furnish the City with Certificates of Insurance and with original
Endorsements effecting coverage required by this Agreement. The Certificates and
Endorsements for each insurance policy are to be signed by a person authorized by
that insurer to bind coverage on its behalf. The Certificates and Endorsements are to
be on forms provided or approved by the City. All Certificates and Endorsements are
to be received and approved by the City before Consultant begins the work of this
Agreement. The City reserves the right to require complete, certified copies of all
required insurance policies, at any time. If Consultant fails to provide the coverages
required herein, the City shall have the right, but not the obligation, to purchase any or
all of them. In that event, after notice to Consultant that City has paid the premium, the
cost of insurance may be deducted from the compensation otherwise due the
contractor under the terms of this Contract.
G. Subcontractors
Consultant shall include all sub-contractors or sub-consultants as insured under its
policies or shall furnish separate certificates and endorsements for each sub-contractor
or sub-consultant. All coverage for sub-contractors or sub-consultants shall be subject
to all insurance requirements set forth in this Paragraph 6.1.
6.2 Indemnification. Notwithstanding the foregoing insurance requirements, and in addition
thereto, Consultant agrees, for the full period of time allowed by law, surviving the termination
of this Agreement, to indemnify the City for any claim, cost or liability that arises out of, or
pertains to, or relates to any negligent act or omission or the willful misconduct of Consultant
and its agents in the performance of services under this contract, but this indemnity does not
apply to liability for damages for death or bodily injury to persons, injury to property, or other
loss, arising from the sole negligence, willful misconduct or defects in design by the City, or
arising from the active negligence of the City.

"Indemnify," as used herein includes the expenses of defending against a claim and the
payment of any settlement or judgment arising out of the claim. Defense costs include all
costs associated with defending the claim, including, but not limited to, the fees of attorneys,
investigators, consultants, experts and expert witnesses, and litigation expenses.
References in this paragraph to City or Consultant, include their officers, employees, agents,
and subcontractors.
7.0 CONTRACT PROVISIONS
7.1 Documents and Ownership of Work. All documents furnished to Consultant by City and all
documents or reports and supportive data prepared by Consultant under this Agreement are
owned and become the property of the City upon their creation and shall be given to City
immediately upon demand and at the completion of ConsultanYs services at no additional cost
to City. Deliverables are identified in the Scope-of-Work, Attachment "A". All documents
produced by Consultant shall be furnished to City in digital format and hardcopy. Consultant
shall produce the digital format, using software and media approved by City.
7.2 Governinp Law. Consultant shall comply with the laws and regulations of the United States,
the State of California, and all local governments having jurisdiction over this Agreement. The
interpretation and enforcement of this Agreement shall be governed by California law and any
action arising under or in connection with this Agreement must be filed in a Court of competent
jurisdiction in Mendocino County.
7.3 Entire Apreement. This Agreement plus its Attachment(s) and executed Amendments set
forth the entire understanding between the parties.
7.4 Severabilitv. If any term of this Agreement is held invalid by a court of competent jurisdiction,
the remainder of this Agreement shall remain in effect.
7.5 Modification. No modification of this Agreement is valid unless made with the agreement of
both parties in writing.
7.6 Assiqnment. Consultant's services are considered unique and personal. Consultant shall not
assign, transfer, or sub-contract its interest or obligation under all or any portion of this
Agreement without City's prior written consent.
7.7 Waiver. No waiver of a breach of any covenant, term, or condition of this Agreement shall be
a waiver of any other or subsequent breach of the same or any other covenant, term or
condition or a waiver of the covenant, term or condition itself.
7.8 Termination. This Agreement may only be terminated by either party: 1) for breach of the
Agreement; 2) because funds are no longer available to pay Consultant for services provided
under this Agreement; or 3) City has abandoned and does not wish to complete the project for
which Consultant was retained. A party shall notify the other party of any alleged breach of
the Agreement and of the action required to cure the breach. If the breaching party fails to
cure the breach within the time specified in the notice, the contract shall be terminated as of
that time. If terminated for lack of funds or abandonment of the project, the contract shall
terminate on the date notice of termination is given to Consultant. City shall pay the
Consultant only for services performed and expenses incurred as of the effective termination
date. In such event, as a condition to payment, Consultant shall provide to City all finished or
unfinished documents, data, studies, surveys, drawings, maps, models, photographs and
reports prepared by the Consultant under this Agreement. Consultant shall be entitled to ,

receive just and equitable compensation for any work satisfactorily completed hereunder,
subject to off-set for any direct or consequential damages City may incur as a result of
Consultant's breach of contract.
7.9 Duolicate Oriqinals. This Agreement may be executed in duplicate originals, each bearing the I
original signature of the parties. When so signed, each such document shall be admissible in I
administrative or judicial proceedings as proof of the terms of the Agreement between the
parties. ,
8.0 NOTICES ,
Any notice given under this Agreement shall be in writing and deemed given when personally ,
delivered or deposited in the mail (certified or registered) addressed to the parties as follows:

4. Approach & Scope �
PROJECT UNDERSTANDING II
Thc Ciry of Ukiah Norhwestern Pac:rfic Rail Trail Phase 1 project includes the design and construction o`a Class I trail along the North
Coast Railroad Authoriry(NCRA)corridor between Gobbi znd Clara Streets in Ukiah. This project will likely be the first rail-with-trail �
project to be designed and constructed within the NCRA Right-of-Way in Mendocino County,
Our team has a very strong understanding of the project.Alta Planning +Design(A�ta)completed the 2002 Study Rail Trail Feasibility �
Study,and Alta and GHD(formerly Winzler&Kelly)collaborated on the completion or the 2012 Rail with Trail Corridor Plan, including the
development of the project to the 30%completion stage.We have already reviewed City,County,and Regional planning documents that �
identify the need for the project as well as the'oenefits to the community.
The project was ranked as the highest priority in the 1999 in the Citys Bicycle Master Plan and the 2006 Mendocino County Regional j
Bikeway Plan.The current project was iurther developed in the 2002 Rail Trail Feasibility Study and the 2012 Mendocino County Rail
with Trail Corridor Plan (2012 Trail Corridor Plan).The project has broad based community support and, of critical importance,the '�
support of the NCRA. Recognizing this,the City submitted the project for gran;funding under Caitrars' Bicycle Transportation Account ��
(BTA)and was successful.The BTA grant(along with City matching funds)is the sole funding source for this project and we recognize I
that these funtls must be used to complete both the design and construction or the project. I,
For the project to be successful, it is extremely important to understand how to work miith the NCRA, the Northwest2rn Pacific R2iiroatl
(NWPCO), the Federal Railroad Authonty, and the California Public Utilities Commission.The NCR4 is the public agency that owns most
of the Right-of-Way on which the trail is to be developed and the NWPCO is the contract operator of the railroad.Together they have the i
responsibility for the safety,operation and maintenance of the railroad.We have this understanding and positive working relationships.
We have worked with NCRA and NWPCO staff on the development of three rail-with-trail projects within the last two years including
on the concept design development for this trail project,as well 075 mile trail project in the City of Eureka and the final design and
permitting for a trail project over 5 miles long in the City Arcata.We walked the entire length each o�these projects with John Williams,
(the president of the NWPCO)and discussed safety and operations concems,as well as developed alignments that best meet �'
the needs for the trail, while addressiny the concerns of the operator.We have also conducted project review meetings with Mitch
Stogner,the Director of the NCRA ar.d David Anderson the NCRA consulting enginecr. Modifying exisiing railroad crossings at roadway
intersections could require the approval of the CPUC under General Order 88-B.We have worked wi:h the local feld engineer with the
CPUC to understand the requirements and have been able to address their requirements during the desigr.phase.
NCRA Staff are typically very busy with their o�vn railroad related business and often focused on the projects that are cntical[o railroad
operation.Therefore, it is important to communicate efricienty and submii high quality work products 6om the beginning to avoid an
extended review process. It is also important to communicate with NCR4 staff and the board and keep them inrormed of the project
as it progresses so that that they can plan for the review accordingly. Requesting to present to the NCRA Board at regWary scheduled
meetings can be an efficient way to keep both the staff and board apprised of project progress and the expectations for revi�:ev, tF�ereby

NCRFl. In addition, Alta Planning+Design is recognized nationwide as a leader in the development of trail projects within railroad rights-
of-way and they have also published reports in collaboration with the U.S. D2partment of Transportation that examine safety, design,
and liability issues associated with the development of shared use paths and other trails within or adjacent to active railroad and transit
rights-of-way.
Having just recently completed the draft design and other projects within the project area, we are very familiar with both the
opportunitles and constraints for this project and are uniquely suited to effielently build trom the past work.We have walked the project
corridor with City stan and the NCRA's operator. During our collaboration with the Ciry on the Mendocino County Rail-with-Trail Corridor
Study, we discussed with City staff the many of the opportur,ities available throughout the project corridor, ir,cluding the connections to
some destinations along the way such as the Grace Hudson Museum and the small community garden near Cleveland Avenue.Alta has
designed many trail projects that have become the center piece of communities and recognizes the potential for currently undcrutilized
land to increase in value as the trail gains popularity and there are opportunities for trail-front businesses. Rau recently conducted an
ALTA survey in the project area for the siting of the new County court house and is very familiar with the record maps and railroad
valuation maps covering the entire project area, As Winzler&Kelly, we recently completed a drainage study that covers much or the
project area, and recognize that drainage capacity is limited betw�en Cleveland Avenue and Gobbi Street and that it is critical to not
increase the runoff in this area.
PROJECT APPROACH
It will be critical to develop an approach to efficiently proceed with each project task so that the project can be completed using only
the BTA grant ar,d required Clty matching funds.We recently completed a detailed wst estimate for this project as a part of the 2012
Trail Corridor Plan based on the 30%design completion.The previous estimate covered the design engineering and construction costs
with items considered necessary for the development of the Class I trail;little in the way amenities was included. For instance,the
previous estimate did aot include design or construction items for lighting or landscaping.The previous estimate also did not include the
preparation of documents that will be required by the NCRA(Feasibility Study, Safely Plan, etc).
Regardless,the City is in a great position to complete this project despite the possible budget challenges.We understand the previous
estimafe was approximately$�10,000 more than the current BTA grant award arnount.A great deal of work has been completed on
past projects from which this team can build upon for the current effort. Budgets are often a challenge and our team is in a great position
to help the City work through the challenge on this project
Our project management team has worked with the City on past projects and has an established rnlationship with City staff.We will be
able to focus on the project immediately and quickly move into the design phase.We serve as the Ciry Engineer for other cities on the
north coast and are familiar with the implementation state funded grants. We will use our understanding and our technical exper[ise to
anticipa[e importani decisions during the development of the project and to communicate with the City on key issues that may a"rfect thc
design or implementaton of the prqect.

developed.
Having completed the 30%design, we will be able to focus attention on the key issues and proceed confdently with the development
of the current alignment, which has been developed in consuttation with City Staff and in consultation with the rail operator for both
safety and consistency with future reil operation.The design will be developed to meet or exceed the rail-with-trail guidelines and close
attention will be paid to the detaiis. For example,aRhough the rail-with-trail guidelines allow the trail to be set back a minimum of 3.5
feet from the centerline of the track,the o�fset should be increased to allow for the placement of trail signage.This allows signs to be
adjacent to the trail while still staying outside of the required setback. Our intersection details will also be tleveloped so that they are
suitable for submission to the CPUC for changes to the at-grade crossings. �,
The current alignment was developed to minimize environmental impacts to disturbance of existing drainage patterns by locating it away
from the edge of the Right-of-Way where many of the oak trees are present, as well drainage paths. We will use the new datz collected I
during the topographic survey and continue the approach ot avoiding impacts as much as practical.This will reduce the neEd for costly
drainage improvements and reduce the potential for the need to expand the City's CEQA analysis. Where the drainage options in the
project area are limited.we will seek to balance the runor created by the construction of the trail with vegetated buffers to improve
the infittration adjacent to the trail to avoid any increase In the amount of runoff.The projected area of disturbance of the pro�ect ls �
anticipated to be very close to one acre. We will seek to minimize the input where practical to keep the disturbance area less than one I
acre to help avoid having to develop a Storm Water Pollution Prevention Plan (SWPPP)and the rest of the NPDES stormwater regulatory I
requirements.
Our team has already developed corridor management plans and safety plans for work on past rail with trail projects within t�z NCRA
right-of-way.We will consider the unique aspects of this project, and the leverage the work we have done on other projects:o develop
corridor management plans and safety plans that exceed the requirements of the NCRA and satisfy the City's needs for a plan that
details safe operation of the trail.
The 2012 Trail Corridor Plan included a public process that includetl lwo public meetings and two technicai advisory group meetings
durirg the development of 30%design.The public was made aware of the development of the project and invited to offer input on the
design development.An additional public meeting wiil be held to update the public on the status of the project and to seek input on any
new aspects of the design.
SCOPE OF SERVICES
The proposed scope of services needed to complete the design of this project are described in the following tasks.We welcome tF.e

Task 3:Survey&Mapping
Right-of-Wav and Easement Research
Research of maps of the City Streets and adjacent properties as well as the Railroad Right-of-Way will be completed to document the
existing railroad Right-of-Way and City of Ukiah Right-of-Way,with the goal of desig�i�g the trail to be within either the railroad Right-of-
Way or the Gity of Ukiah Right-of-Way. Rau has already completed an ALTA survey of the railroad Right-of-Way between Perkins Street
and Clay Street as part of an effort by the Ciry to locate the new County Courthouse.There are a15o record maps o5 the railroad Right-
of-Way between Clay and Cleveland to the south and from Perkins to Clara on the north.

Establlsh project survey conirol and prepare Right-of-Way mapping for the project. Horizontal and vertical control points will be set for
project mapping in accordanCe with City of Ukiah horizontal and vertical control requirements including locating monuments on streets
adjacent to the railroad right-of-way if practical.These survey control points will be exhibited on a"Survey Control Data SheeY'and will
be semi-permanent in nature so as to serve as project control during the construction of the project, or subsequent survey activities.
Field measurements would be made by GPS methods on the same horimntal basis as the Redwood Park Improvement projects. This
will allow the work to seamlessly be brought in to the City's GIS system,which is based upon the California Grid System.The horizontal
datum will be based on the North American Datum 83(NAD 83). The vertical datum shall be based on the North American Vertical
Datum of 1 gS8(NAVD 88). All suroeying and mapping shall be in compliance with City of Ukiah standards or with Caltrans standards
when not otherwise specified by the City.Then all of the control can be located by GPS methods at one time.
The topographic mapping will be made by fie!d sun�eys to Iecate surface indications cf underground utilities, drainaye struclures and
inverts, trees,precise locatlons of building corners, signs, and detals where the tra➢will tie into clty streets or cross city streets.The
survey data will be processed and rendered into a�igital Terrain Model(DTM)and CAD basemap.The DTM will provide the designers
with the data needed to determine cross-sections, profles, slopes, spot elevations, all pertinent surface teatures, improvements, and
utilities as observed in the field. Monuments to establish the railroad Right-of-Way and City of Ukiah Right-of-Ways will be searched for
and located.
A topographic strip map will be developed to show the features on the west side of the railroad tracks(including the raip where the trail
has been shown previously.The deliverable will be a map with rights-of-way and topography at a horizontal scale of i"=20',one foot
contours, and spot elevations where required for detailed connections to city streets will be designed.
Veaetation/Tree Survey -
GHD will provide an environmental scientist to identiiy trees along crRical segments of the railroad R1gM-of-Way.We will compile a
description of the trees and identify any constraints to the trail location because of them.A handheld GPS location device will be used to
map these vegetative resources as the botarnst evaluates them.The tree locations will be added to the base map.

mapping effort. It is understood that the drainage system between Clay Street and Gobbi Street is already undersized.There are several
drainage studies, some within City Records and some which Rau has compiled ror priva[e property owners, which will be reviewed. �,
The topographic mapping will include the structures and open ditch conveyances adjacent to the western side of the railroad.A brief
written report will summarize the constraints and recommendations for the drainage improvements necessary for the consiruction of the
trails, induding addressing flood zones. The same approach will be taken in the segment from Clay to where the railroad Right-of-Way
intersects Mason Street and for the segmeM from Mason Street north to Ciara Avenue.This drainage study will be used to help guide
the design plans to address drainage needs. ,

Our team is very familiar with the existing plans and studies since we have helped prepare them.They will be reviewed,and discussed
again at tne kickoff meeting to verify if anything has changed or if new information is available. Once the new surveyed base map has
beer completed, GHD review the new mapping to confirm tha[thc preliminary design does not conflict with any existiny site features
includiny railroad infrastructure, ecvironmental consfraints, or mapped utilities.
GHD will collaborate wiih Alta and Rau to review and revise the preliminary plars to meet the requirements of[he local codes,the
NCRA, and the intended desigr and use of the trail and surrounding lands Once revised, GHD will submit the updated prellminary plans
with a cover letter to the following entities for their review:

The City,the NGRA and the Utility Companies will be requested to provide swnmarized written coinments on ihe updated preliminary

of probable construction cost will also be prepared.The revised 30% plans will be presen[ed at the public workshop in Task 6.Alta will
prepare illustrative plans and sections or simulations that show both the"basic" improvements that can be accomplished within the
projeci budget, and the"long-term vision"improvements that represent the fulfillment of the potential for the irail to be a greenway�that
catalyzes and connects with other downtown area improvements.

Task 5:Prepare Trail Corridor Management Plan,Safety Plan,and Trail Policy
The NCRA has developed its own set of guidelines in its document entitled"Trail Projects on the NWP Line Rights-of-Way: Design,
Construction, Safety,Operations, and Maintenance Guidelines."The GHD team understands that NCRA's top priority remains the
safe operation of freight and passenger rail service,and that any new trail cannot impact this priority.This set of guidelines outlines the
requirements of the NCRA for clearance,access, maintenance,fencing and more within their nght of way.
The project team worked with the NCRA to develop a Trail Corridor Management Plan for the City of Arcata. We also authored the 2012
Mendocino Rail with Trail Corridor Plan, portions of which can form the basis of a Feasibility Study for this project. Drawing from these
experiences, we wili develop a plan for Ukiah specifc to the project site that meets NCRA Rail-with-Trail Guideiines.The plan will contain
all the required NCRA materials in a single comprehensive document, including Feasibility Study, Corcidor Management Plan, Safety
Plan, and Maintenance Plan.The document will include a table outlining the pertinent portions of the guidelines and how the Corridor
Management Plan specifcally compiies.
At frst glance, this task could be seen as merely a requirement of the NCRA that must be completed to acquire NCRA approval.
However,the document produced under this task can serve very useful purposes throughout the design life of the trail. As a part of the
plan,we will consider input from the City, public, and stakeholders and evaluate the project for safety and security issues.This evaluation
will contain recommendations to improve overall safety along ihe trail.The safely assessment will be based on "Crime Prevention
Through Environmental Design"(CPTED)principles to reduce opportunities for crime, perception of crime and undesired behavior that
may be inherent in the corridor.
Specific design recommendations will be custom'¢ed for the project, and will consider access points, public walkways and paths, the
wayfinding system, improving sight lines, eliminating entrapment areas, implementing barriers such as fencing and hostile vegetation to
reduce incidences of trespass and wntrol access, implementing uniform and efficient lighting where needed, and establishing a routine
maintenance program.
In addition to implementing design measures to deter crime and improve safety, integrated enforcement and education components can
increase the overall success and use of a trail. We will work with the City and local law enforcement to outline an emergency response
services plan.We may recommend an additional complement of enforcement and education programs that may include volunteer trail
patrols,adopt-a-trail programs, "Share the Trail"education, interpretive walks, and group rides.Volunteer trail patrols can receive safety
training and assist the City by reporting suspicious activily, posting incident reports, and reporting trail maintenance issues.
The plan will also address a number of other topics, including ADA accessibilily requirements, potential issues of trail user conflicts,
interpretive signage opportunities, risk management,facility preservation strategies, emergency response, 6arrier design, and a long-
term maintenance component that will outline recommendations of how the trail should be maintained and operated. Finally, we will
work with the City to develop a"Trail Policy"or set of guiding principles that condense the above content into a policy that can be
adopted by the City and/or included in future General Plan Updates.

Task 6: Public Workshop
The GHD team will creato and provide the Clty with an electronic version of a flyer that con be posted on the Clty website, mailed out
with utility bills, and posted at key locations around the community in order to assist with advertising the workshop.The putdic workshop
will follow-up on the two public meetings that were held in late 201� and early 2012 on this segment of the overall Corridor.S'tudy.The
presentation will focus on tne specific design elements of the 30% plan set, and provide public opportunities for comment on the design
details. It is assumed the City will be responsible for securing meeting space.
At the conclusion of the meeting all the notes and markups on the materials will be photographed and summarized in writing or
graphically. These comments will be addressed in the revised 30% plans and the Corridor Management Plan, and will proviGe an
important reference for preparation of the construction documeMS. Each comment will be shown in a table along with how i1 was
addressed and included as an appendix to the document.
Alta and GHD will attend a meeting with the City, NRCA, and other key partners,to decide, based on input from public and
stakeholders,which elements of the revised 30%plans will be carried forward in the construction documents, which will remain as
concepts for future implemen[ation, and whicF will be eliminated.A graphic and written record of these decisions will be created.
Task 7:Assist City in Obtaining Encroachment Permit and License or Easement Agreement from NCRA
GHD will assist the City to obiain an encroachmen[permit or license agreement irom the NCRA. It is anticipated tha[this wili be a
City letl effort and GHD will be available to assist the City in up to two meetings with[he NCRFl to review the design development.We
suggest one of these meetings include a presentation at a NCRA board meeting early in the process as we have found this helpf�l
on previous projecfs. GHD will also assist the City to consider which method of securing required right to use a portion of the NGRA
Right-of-Way. It is anticipated that this task will involve close communication with NCRA staff and City staff to develop a stra�egy that
best serves the interest of both the City and the NCRA.The development of the details and the negotiation of a long term lease or
encroachment permit is difficult to predicL Therefore is assumed that our effort will be limited to the hours presented in the fee estimate
forthe project.
Task 6: Review City's Existing CEQA documentation
IS Is our understanding thal Yhe City has already preoared a Categorlcal 6cemptlon (C�for this project.As part of our review and
revision of the prcllminary plans to meet the requirements of the local codos in Task 4,the GHD team will also revlew Yhe Citys exlsting
CEQA CE We will also review the CE code section cited that qualifies the project as a CE. Fortunately, based on our experience with
the conceptual design stage of the project, it appears that the trail should have minimal environmental impacts, should not trigger any
reyulatory environmental permits, and therefore would not require a robust CEQA process. It is our assumption that the Ciry's existing
CE will be sufficlont, and therefore are not aware of any addltional CC-Q�work that woulG be necessary. Therefore we have not included
an optional scope item or fee estimate for additional CEQA work as it is not clear evhat, if any, additional CEQA work would be required.

GHD has a very experienced CE�A team that has completed a range of CEQA documents for a rumber of other trail and non- �
motorized transportation projects.Our team is w=11 qualifed to complete additicnal CEQA tasks if necessary. If conditions or issues
come to Iignt that could iroact tne qualifications cf a CE tletermination,we will discuss any additional CEQA documentation perceived �
necessary.
Task 9: Engineering Design
Once comments have been received by the Cily, NCR4, and NWPCO from the 30%design submittal,GHD will proceed with the
development of the engineered plans for final design of the trail.The engineering design will take info account review comments received
from previous submittal reviews,and will be conveyed on plans,specifications,and an opinion of probable construction costs.Submittal
will be made to the City for review at the 60%and 90%stages oi completion.The final submittal will be the stamped and signed fnal
bid documents.
The engineerirg design will include:
• Trail alignment and setbacks
• Design of trail cross sections throughout project reach for each type of typical cross section
• Pavement section design, with Rau providing geotechnical recommendations for the structural section of the trail based on up to
eight soil samples from the proposed alignment
• Intersection designs at the intersections of Gobbi Street, Perkins Street antl Clara Street
• Location of future trail amenities and amenity details to be included in the plans
• Trail lighting at intersections as needed to comply with required bikeway standards.

Construction Plans
The project will be designed using English Standard units in AutoCAD at a scale of 1 in=20 ft depicting the preferred alignment.
Electronic copies of the graphic files will be provided in PDF and/or AutoCAD format using GHD's AutoCAD standards,induding project
folder structures, layer names, line styles and font resources,color tables,etc.
The Construction Plans will be developed on 22"x 34"sheets that allow scaled reduction to 11"x 17"sheets. Design plans will likely
include the a title sheet, sheet index, notes symbols and abbreviation sheet,typical cross sections, civil site plan and profles including
demolition notes, specifc site and grading plans for each iMersection design, civil and typical details, a landscaping and erosion controi
plan and other sheets we deem necessary to convey the design intent.All fnal plans will be stamped and signed by a professional
engineer to be used as part of the construction documents. Construction plans will be submitted to the City for review at the 60%and
90% stages.Applicable review comments received will be addressed in the 90%and fnal 100%submittals.
Specifications:
GHD will prepare technical specifcations utilizing Construction Specifications Institute(CSq Master format. The technical specifications
will be developed and submitted to the City for review at the 60%and 90%stages.Applicable review comments received will be
addressed in the 90%and fnal 100%submittals.
Enaineers Opinion of Probable Construction Cost
The Engineers Opinion of probable construction costs will be prepared using standard engineering estimate procedures for each design
submittal(60%,90%,and 100%).Actual construction costs may vary due to availability of labor,equipment, materials, or market
conditions.Applicable review comments received wiil be addressed in the 90%and final 100%submittals.

REQUEST FOR PROPOSAL
NORTHWESTERN PACIFIC RAIL TRAIL PHASE 1
JULY 2012
GENERAL INFORMATION/PROJECT LOCATION
The City of Ukiah has a population of 16,075 people and is located approximately 115 miles north of San
Francisco, CA on the US Highway 101 corridor. Ukiah is also the retail, government, and medical service
hub to an area reaching a 50 mile radius and experiences a daytime service population exceeding 35,000
people. The Northwestern Pacific (NWP) rail corridor runs north-south through the eastern area of the City
of Ukiah, approximately two city blocks west of US Highway 101. The proposed Northwestern Pacific
(NWP) Rail Trail Phase 1, will extend from East Gobbi Street to the south, to Clara Avenue to the north (see
site map, Attachment "A") with a length of approximately 078 miles. Street crossings will be required at
East Gobbi Street, Perkins Street and Clara Avenue. The Rail Trail is intended to serve as a multi-use trail
for bicyclists and pedestrians (providing ADA accessibility), and will consist of a minimum eight foot wide
paved path with 2 foot wide graded shoulders on each side of the pavement in accordance with Caltrans
Standards for a Class I Bikeway. The project is to include security lighting and a barrier fence between the
trail and the railroad tracks, meeting the requirements of the North Coast Railroad Authority (NCRA). The
trail is to be located as close to the edge of the NCRA right-of-way as possible while allowing for a drainage
swale and protection of existing vegetation (typically 10 to 12 feet from edge of right-of-way). A preliminary
project feasibility study for the Ukiah NWP Rail Trail was completed in November 2002 and approved by the
NCRA Board of Directors October 2004. A Notice of CEQA Exemption, categorical exemption Section
15304 Class 4 (See Attachment "B"), was prepared for the project in January 2005. Preliminary design of
this project was recently completed for Mendocino Council of Governments (MCOG) as part of the
countywide Rail with Trail Corridor Study, and included a review of the proposed alignments by NCRA. The

The City of Ukiah is requesting proposals from qualified firms for completing the design of the NWP Rail
Trail Phase 1. Inspection and construction contract administration are not part of this request for proposal.
The NWP Rail Trail Phase 1 project will be funded by a Bicycle Transportation Account grant from Caltrans,
and a Local Transportation Fund grant from MCOG for bicycle and pedestrian projects, with a total
budgeted amount of$662,000 for design and construction.
SCOPE OF SERVICES
The scope of services of this project is to complete the design of the NWP Rail Trail Phase 1. This shall
include the review and confirmation of the preliminary engineering and preliminary feasibility study. The
Consultant shall develop the final Feasibility Study and Trail Corridor Management Plan meeting the
requirements of the NCRA's Rails with Trails Project Guidelines. View the "Trail Guidelines" document on

approval from the City and NCRA (for the purpose of obtaining an encroachment permit and easement
agreement from NCRA) the final design phase of the proposal shall begin. The final Rail Trail design and
construction bid packet shall include improvement plans, specifications, estimate, and any necessary
permits and approvals. The ConsultanYs proposal shall include, but not be limited to, the following:
• Coordinate a pre-project kick-off meeting.
• Review and evaluate existing documents and data.
. Perform a topographic survey, determine location of street and railroad rights-of-way and easements,
determine existing drainage pattems, facilities, and flood zones, identify and locate existing street and
railroad improvements and utilities, perform existing tree and vegetation survey, identify and locate any
other pertinent natural and man-made features, and constraints. Set horizontal and vertical control
points as needed for future construction.

• Review the existing preliminary engineering plans and preliminary project feasibility study. Edit and
refine as required to meet NCRA Rails with Trails Project Guidelines. Consideration shall be given to
current and future adjacent land uses and uses of the railroad, access points, design of street
crossings, potential environmental impacts, and future trail extensions. The Consultant shall coordinate
closely with, and obtain approvals from, the City, NCRA, and utility companies, in developing the draft
Conceptual Plan and Feasibility Study.
• Prepare a draft Trail Corridor Management Plan meeting the "Safety Plan" requirements of NCRA Rails
with Trails Project Guidelines, and to the satisfaction of the City and NCRA. The Trail Corridor
Management Plan shall include a "Trail Policy," or set of guiding principles which outlines how the trail
will operate, and detailed maintenance and crime prevention plans.
• Conduct a public workshop to present the project at 30% design phase (including all proposed
amenities, crossing details, barriers, lighting and other features) and Trail Corridor Management Plan,
and accept public input. Based on comments received, finalize the Conceptual Plan, Feasibility Study
and Trail Corridor Management Plan to the satisfaction of the City of Ukiah and NCRA.
• Prepare final Engineer's Estimate of cost based on approved Conceptual Plan.
• Provide assistance to the City resulting in obtaining an Encroachment Permit, and a License or
Easement Agreement from NCRA for the proposed trail.
• Upon completion of the 30% design phase, review CEQA documentation completed for the project,
make recommendations, and if directed by the City, prepare any necessary additional CEQA
documentation. Proposal shall provide optional cost for CEQA document preparation.
. After approval of the 30% design phase (including the Conceptual Plan, Feasibility Study and Trail
Corridor Management Plan) by the City and NCRA, Consultant shall begin final design of the Rail Trail.
Scope of work shall include, but not be limited to, the following. pavement section design, including
geotechnical investigation as required; grading and drainage plan and drainage report; design of street
crossing(s); barriedfence design; signing and striping plan; lighting and electrical plan; landscape and
irrigation plan; erosion and sediment control plan; trail amenity details; and all components of the
approved Conceptual Plan, Feasibility Study and Trail Corridor Management Plan.
o Rail Trail design shall meet Cakrans Standards for a Class I bikeway. Note that the proposed
trail may need to be designed to support and accommodate access for emergency, security,
and maintenance vehicles.
o Based on estimated project costs and budget, design shall consider options for the phasing of
portions of the improvements.
o Where existing trees are potentially impacted by the proposed design, an arborist or other
qualified expert may be required to evaluate those impacts and provide recommendations.
o Design shall incorporate best management practices for stormwater run-off, as practicable.
• Submit design plans, specifications and cost estimate to the City for review and comment at the 60%,
and 90% stage,
• Prepare a Storm Water Pollution Prevention Plan (SWPPP) for submission to the North Coasl Regional
Water Quality Control Board for the purpose of obtaining coverage under the General Permit for
Discharges of Storm Water Associated with Construction Activity, if the disturbed area of the project is
over one acre. Proposal shall provide optional cost for preparation of SWPPP.
. Receive comments and prepare final plans, specifications and cost estimate for bid purposes. Provide
one set of reproducible mylar plans and one copy-ready set of specifications; 25 copies of plans and 25
copies of bound specifications; and electronic copies of the final bid package, with plans in both PDF
and AutoCAD formats.

Employee time will be billed in accordance with the fees listed above. These rates are subject to change on a semi- ,
annual basis. For other than professional employees,time spent over 8 hours per day,time spent on swing shifts, and '
time spert on Saturdays will be charaed at 1.5 times the hourly billing rate. Work on Sundays will be charged�t 201imes
lhe nourly billing rate and holiday work will be charged at 25 times the hourly billing rate. All field personnel charges are
portal to portal. Professional employees will not be charged out at premium charge rates for overtime work.
Expenses and other similar project related costs are billed out at cost plus 15%. The cost of using equipment and
specialized supplies is bllled on the basis of employee hours dedicated to projects. Our rates are:
