TERMINATION OF PROFESSIONAL CONSULTING AGREEMENT i
Effective July� 2013 ("Effective Date°),the City of Ukiah ("City") and GP Strategies hereby
terminate the Agreement for Professional Consulting Services, dated June 25, 2012 ("AgreemenY'). I
GP Strategies has been fully paid for the services performed prior to the Effective Date and
acknowledges that the City owes no further compensation under the terms of the Agreement.
The City accepts the work performed by GP Strategies under the Agreement and that the work
will be completed under a contract with Cooper Compliance Corporation.
Upon condition that Cooper Compliance Corporation assumes full responsibility for the
satisfactory completion of the full scope of services set forth in Attachment A to the Agreement, the City
agrees that Cooper Compliance Corporation is responsible for the satisfactory performance of said
scope of services.

Recently, GP Strategies sent coirespondence announcing that we are in the process of transitioning our i
NERC Compliance Coasulting business to Cooper Compliance Corp. Cooper Compliance Corp. was '
incorporated in Califomia in February 2013 by Mary Jo Cooper, to create an organization whose primary focus �
and expertise is NERC Compliance Consulting. Therefore, GP Strategies and Cooper Compliance Corp. believe it �
is in the best interests of all parties to work to transition this business.
In accordance with our current NE12C Compliance Services agreement with you, GP Strategies is seeking your i
written consent to assign the agreement to Cooper Consuliing Corp. Tfie terms of assignmen[ as agreed between
GP Strategies and Cooper Consulting Corp, an Approval of Assigcunent (for your signature), and a copy of the
subject agreement are enclosed. We are asking that you review these materials and if you concur with our
position and request, to please sigu and retum the Approva] of Assignment document via email or FAX to:
